Employment of Contractor. The Department hereby agrees to engage the Contractor and the Contractor hereby agrees to perform the services hereinafter set forth. 2. Scope of Services. (a) The Contractor shall do, perform, and carry out Tn a satisfactory and proper manner, as determined by the Department, the scope of services described in Appendix A. (b) Area Covered: City of Kenai and vicinity. `• 3. Personnel. (a) The Contractor represents that he has or will secure at his own expense all personnel required in performing the services under this Contract. Such personnel shall not be employees of or have any contractual relationship with the Department. Time of Performance. The Department agrees to compensate or ream- burse the Contractor the sum of $51,200 for the satisfactory performance ,, , of services in the completion of the work program described in this -' Contract. The total of $51,200 provided by the Department shall be Federal Coastal Management funds. The Contractor agrees to contribute to the project the sum of $12,800, said contribution to be provided in cash and through in -kind services. r The sum of the amounts above is $64,000, which amount is the total project cost. Travel or per diem required for the completion of this Contract i - ! will be reimbursed in accordance with established municipal policy, but -- not to exceed the General Government Bargaining Unit State rate. Where no municipal policy exists, travel required in completion of this Con- tract will be reimbursed at the State rate and in accord with estab- lished State policy. Written authority must be obtained from the i I Department for all out -of -State travel. The Contractor agrees to keep a record of expenses for travel and subsistence, which shall be open to inspection by the Department. ! _ y I 6. Method of Payment_. The Department will pay to the Contractor the amount or amounts set forth in paragraph 5, Oich shall constitute { full and complete compensation for the Contractor's professional serv- ices hereunder. Such sum will be paid in the following manner, in every case, subject to receipt of a requisition for payment and a progress e -! report from the Contractor specifying that he has performed the work �"- under this Contract and that he is entitled to receive the amount z7 requisitioned. All expenditures incurred against the Contract must have i recorded documentation, and such documentation shall be made available to the Department upon request. Payment will be reimbursable and made on the basis of work com- pleted. Certified billings may be submitted to the Department monthly. Such billings shall reflect the total costs to date, less 20 percent for Contractor's share, less 10 percent of the amount eligible for payment by the Department. The billing shall be itemized by category of expense claimed, which itemization shall reflect total project costs incurred. A sum of $5,120, or approximately 10 percent of the amount of compensation set forth on the part of the Department in paragraph 5 shall be retained, in the manner described above, until the services have satisfactorily been completed, as determined by the Department. It is expressly understood and agreed that in no event will the total compensation and reimbursement on the part of the Department, if any, to be paid hereunder exceed the maximum sum of S51,200. Termination of Contract for Cause. If, through any cause, the Contractor shall fail to fulfill in timely and proper manner his obliga- tions under this Contract, or if the Contractor shall violate any of the covenants, agreements, or stipulations of this Contract, the Department shall thereupon have the right to terminate this Contract by giving written notice to the Contractor of such termination and specifying the effective date thereof, at least five (5) days before the effective date of such termination. In that event, all finished or unfinished docu- ments, data, studies, surveys, drawings, maps, models, photographs, and reports or other material prepared by the Contractor under this Contract shall, at the option of the Department, become its property, and the Contractor shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and materials. Notwithstanding the above, the Contractor shall not be relieved of any liability to the Department for damages sustained by the Department by virtue of any breach of the Contract by the Contractor, and the Department may withhold any payments to the Contractor for the purpose of setoff until such time as the exact amount of damages due the Depart- ment from the Contractor is determined. 8. Termination for Convenience of Department. The Department may terminate this Contract at any time by giving written notice to the Contractor of such termination and specifying the effective date there- of, at least fifteen days before the effective date of such termination. In that event, all finished or unfinished documents and other materials as described in paragraph 7 above shall, at the option of the Depart- ment, become its property. If the Contract is terminated by the Depart- ment as provided herein, the Contractor will be paid an amount which bears the same ratio to the total compensation as the services actually performed bear to the total services of the Contractor covered by this Contract, less payments of compensation previously made: provided, however, that if less than 60 percent of the services covered by this Contract have been performed upon the effective date of such termina- tion, the Contractor shall be reimbursed (in addition to the above payment) for that portion of the actual out-of-pocket expenses (not otherwise reimbursed under this Contract) incurred by the Contractor during the Contract period which are directly attributable to the un- completed portion of the services covered by this Contract. If this Contract is terminated due to the fault of the Contractor, paragraph 7 hereof relative to termination shall apply. 9. Chan es. From time to time, either party may propose changes in the scope of services of the Contract to be performed hereunder. Such changes, including any increase or decrease in the amount of the Contractor's compensation, which are mutually agreed upon by and between the Department and the Contractor, shall be incorporated in written amendments to this Contract. Page 3 of 9 i 10. Equal Employment Opportunity. (a) The Contractor will not discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin. The Contractor shall take affirmative action to ensure that applicants are employed and that employees are treated during employment without regard to their race, color, religion, sex, or national origin. Such actions shall include, but not be limited to, the following: employment, upgrading, demotions, or transfers; recruitment or recruitment advertising; layoffs or termin- ations; rates of pay or other forms of compensation; selection for training, including apprenticeship; and participation in recreational and educational activities. (b) The Contractor shall keep such records and submit such reports concerning the racial and ethnic origin of applicants for employment and employees as the Department may require. (c) The Contractor agrees to comply with such rules, regulations, or guidelines as the Department may issue to implement these require- ments. 11. Interest of Members of Department and Others. No officer, member, or employee of the Department and no members of its governing body, and no other public official of the governing body of the locality or localities in which the Project is situated or being carried out who exercise any functions or responsibilities in the review or approval of the undertaking or carrying out of this Project shall participate in any decision relating to this Contract which affects his personal interest or the interest of any corporation, partnership, or association in which he is, directly or indirectly, interested or having any personal or pecuniary interest, direct or indirect, in this Contract or the proceeds thereof. 12. Assignability. The Contractor shall not assign any interest in this Contract and shall not transfer any interest in the same (whether by assignment or notation) without the prior written consent of the Department thereto: provided, however, that claims for money due or to become due to the Contractor from the Department under this Contract may be assigned to a bank, trust company, or other financial institution without such approval. The Contractor covenants that he presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the per- formancn of services required to be performed under this Contract. Any reports, information, data, etc., given to or prepared or assembled by the Contractor under this Contract which the Department requests to be kept as confidential shall not be made available to any individual or organization by the Contractor without the prior written approval of the Department. 15. Officials Not to Benefit. No Members of or Delegatc to the Congress of the United States of America and no Resident Commissioner shall be admitted to any share or part hereof or to any benefit to arise herefrom. All reports, maps, and other documents completed as a part of this Contract, other than documents exclusively for internal use within the Department, shall carry the official logo of the Alaska Coastal Management Program and the following notation on the front cover or a title page (or in the case of maps, in the name block) containing the name of the Department: "The preparation of this (report, map, document, etc.) was financed in part by funds from the Alaska Coastal Management Program and the Office of Coastal Zone Management, National Oceanic and Atmospheric Administration, U.S. Department of Commerce, administered by the Divi- sion of Community Planning, Department of Community and Regional Affairs." 17. Publication Reproduction, and Use of Materials. No material produced, n whole or in part, under this Contract shall be subject to copyright in the United States or in any other country: The Department shall have unrestricted authority to publish, disclose, distribute and otherwise use, in whole or in part, any reports, data, or other materials prepared under this Contract. 18. Audits and Inspections. At any time during normal business hours and as often as the Department and/or the Comptroller General of the United States may deem necessary, there shall be made available to the Department and/or representatives of the Comptroller General for examination all of its records with respect to all matters covered by this Contract and will permit the Department and/or representatives of the Comptroller General to audit, examine, and make excerpts or trans- cripts from such records, and to make audits of all contracts, invoices, materials, payrolls, records or personnel, conditions of employment, and other data relating to all matters covered by this Contract. APPENDIX A SCOPE OF SERVICES KENAI ADVISORY HARBOR CO.? -(MISSION ADMINISTRATIVE SUPPORT GRANT Introduction The City of Kenai has recently reactivated its Advisory Harbor Com- mission as a result of existing or potential impacts upon the area caused by the following factors: * Preparation of the Kenai Peninsula Borough Coastal Development Program and proposed designation of the harbor area as an "Area Meriting Special Attention" under the program; * Recreational boating activity, salmon fishery production, and bottomfish industry development; * The presence of extensive wetlands within the City and its harbor area which fall under federal regulation (Section 404 of the Fed- eral Water Pollution Control Act as amended by the Clean Water Act of 1977) by the U. S. Army Corps of Engineers, and the need to participate in the recently begun federal -state -local intergovern- mental effort to improve wetlands management in the area; and * The funding of a $500,000 harbor feasibility and design study by the State of Alaska during the 1980 session of the Legislature. The Advisory Harbor Commission has identified establishment of admin- istrative support as its first priority for accomplishing the workload created by these circumstances. Since the City currently does not have the -resources to provide the necessary support to the Advisory Harbor Commission, the City has requested that the Department, through the Kenai Peninsula Borough, provide partial funding for the needed services from funds provided under the Alaska Coastal Management Program. This grant contract is designed to assist the Kenai Advisory Harbor Commission in meeting its responsibilities by providing 80% funding for administrative support. The tasks this contract is intended to provide support for are: grant and contract administration, research, technical writing, attendence at meetings, testifying at hearings, briefing local governing bodies, responding to daily communications and other general administrative duties as required to carry out duties of the Advisory Harbor Commission. This contract is between the Department and the Kenai Penninsula Bor- ough. It is anticipated that the project and funds will be subcon- tracted by the Kenai Peninsula Borough to the City of Kenai. The primary objective of this project is to provide administrative support to the City to facilitate participation in the Kenai Coastal Development Program, and to assure harbor planning and design is carried out in a manner consistent with State and local coastal programs. A monthly summary of work accomplishments by the City of Kenai, including evidence of active participation in the Kenai Peninsula Borough Coastal Development Program, the City of Kenai Wetlands Project, review and implementation of the City of Kenai's Comprehensive Plan, and progress made in completing the feasibility and design study for City of Kenai's harbor; b. A monthly accounting of funds spent to date, including appropriate documentation; c. Trip reports for project related travel, noting persons contacted and tasks accomplished; d. Notification of upcoming Advisory Harbor Commission sessions or other important meetings or events related to this project; and e. Copies of any project related materials or correspondence produced by the City (submit to the Department and the Office of Coastal Management). 2. The City of Kenai will administer the 5500,000 special legis- lative appropriation from the State of Alaska to determine the feasibility of constructing a new small boat harbor in the City of Kenai. Associated with the administration of this project the Borough will be responsible for assuring the following are accomplished. a. Developing a Request for Proposal from qualified engin- eering firms for a feasibility and design study; b. Analyzing the proposals when they are received; and c. Responding to communications related to the harbor feasibility and design study. 3. The Borough will be responsible for assuring the City's active participation in the Kenai Peninsula Borough's Coastal Devel- opment Program as it relates to the City of Kenai and its harbor area. Assignment. The duties and obligations of the Consul- tant under this Agreement may not be assigned or subcontracted by the Consultant without the written consent of the Borough's representative, Mr. Philip Waring. 7. Suspension and Termination of the Contract. A. The Borough, may at its sole option, by 15 days' notice in writing to the Consultant, suspend at any time the performance of any or all portions of the services to be performed under this Agreement. Upon receipt of any such notice, the Consultant shall immediately discontinue services, placing orders, contracts and rental agreements to the extent that they relate to the services suspended and on the date and to the extent specified in the suspension notice. In the event of suspension, the Consultant will be reimbursed for costs reasonably incurred, without duplication of any item, in the effectuation of suspension of services. B. The Borough shall have the right to terminate this Agreement in whole or in part at any time and for reasonable cause. Upon receipt of any termination notice, the Consultant shall immediately discontinue Its services on the date and to the extent specified in the notice of termination. .The Consultant shall be paid in the amount earned by or reimbursable to.it, including fee payments received or otherwise due and all reasonable costs incurred by the Consultant prior to and in connection with the discontinuation of work. Roper lease to Tract B, City of Kenai boat ramp to include a financing provision similar to that included in ' Paragraph 37 of Roper's lease on Tract C. Since I expect this request to be placed on the agenda for the Council meeting of November 19, 1980, and since I will not be ! present for the meeting, this memo is being prepared so that my views can be presented to Council. KMC 21.15.100 sets forth the provision for financing and rights of mortagee or lienholder to be set forth in all leases, and this j is the provision that is included in Paragraph 37 of Roper's lease to Tract C. This provision was carefully drawn to make financing by Lessees more feasible in order to encourage and facilitate improvement of properties and is contained in all I ! current leases. It is drafted so as to protect the rights of the City, and it merely allows that the financing party, if there is foreclosure, be allowed to take the place of the lessee and that certain time elements of required actions be extended in order to allow time for such financier to take the necessary actions. Since these provisions are now placed in all City leases, and since the City's rights are amply protected thereunder, I would recommend that in furtherance of the request of Mr. Roper that the Council pass a motion to authorize the City Manager to amend anv of the older leases at the request of the Lessee by including ' provisions as provided in KMC 21.15.100 where such provisions are not already contained in the Lease. 4` • U � _ l r5- i •,y I do not believe that it is the intent of Council to discriminate between lessees, but the financing provisions have been added as a result of past experience and there should be no reluctance in including them in former leases in order to facilitate financing. As you are aware, Mr. Roper is the Lessee of both Tracts ,o B and C of the Kenai Boat Ramp, and is at this time attempting to obtain financing for the construction of a small boat harbor. The Lease of Tract B appears to be silent with regard to the procedures to be followed in making an assignment of the Lease for collateral purposes only. I have advised Mr. Roper that Paragraph 4 of that Lease could be construed to require him to submit to the City of Kenai for approval any proposed assignment of lease for security -:" purposes. Obviously, this is cumbersome and will slow down any eventual construction of the boat harbor in the event he first has to obtain the financing, and then has to obtain �.� Planning Commission, and then City Council approval of a simple collateral assignment of lease. The Lease dealing with Tract C has an execellent provision which has apparently been used in prior city -: leases, which deals with this problem. That provision is found at Paragraph 37 of the Lease on Tract C. My client requests that a provision similar to the Paragraph 37 of the Tract C Lease be included in and added to the Lease on Tract ' { B. This would result in clarifying the provisions of the Y g Lease on Tract B, and also it will bring into the harmony the procedures and provisions relevant to obtaining long-term or short-term financing on both of the Leases. Our proposal Is based on the grant requirements. As you are probably aware, I have been Involved with the Kenai Arts and Humanities Council, as well as the '!Mayor's Committee" for the planning and development of the Civic Center for the past two and. one half years. -1 have provided Schematic Designs, at no cost, for the purpose of promoting the ' facility to the State CFDC for funding. Further, I worked with Ch es Brown In the preparation of the Grant Charles Application to the CFDC submitted last December. More recently, I attended the four day "Design -in" sponsored by the CFDC In Juneau on behalf of the Kenai Arts and Humanities Council. At this affair, we met In seminars and workshops with cultural facillfly consultants from around the country. We feel it Is Important that the City use the grant received, to In- dicate continued Interest In the facility, and'that the City get as much out of those dollars as possible. I ell eves s oven rank ahead of the main street loop project. This area is the Thompson Park and Valhalla heights area and the problem is sewage disposal and pure water for household use. Soils conditions are such that "on site' sewage disposal is difficult at best and nearly impossible on some lots. It has become a health hazzard in that several wells have been contam- inated by infiltration of sewage. We can not wait for the first case of typhoid or cholera to act. Additional to the health hazzard it is becoming increasingly difficult for property owners to sell their homes in these subdivis- ions. An approval from D.E.C. must be received before any lender F will approve a mortgage. Most properties will not pass inspection by D.E.C. and a few are nearly impossible to reconstruct to meet these specifications. Many have had to replace the leach field or 'crib' before an approval can be gotten. Further expansion of this area is impossible. It would generally require 2 or more lots to meet the state requirements for on site I well and septic. The people living in the area can not afford the cost of con- structing the lines and � g pump stations that would be needed. Perhaps an L.I.D. can be formed to carry some of the cost. I fully realize that this will be a tremendously expensive project and that state or �., Federal funding must be gotten to make it possible. !� I again ask your assistance in making this our number one project. Initial discussions centered around whether or not the Dept. of Natural Resources (DNR) should be included in the group. OCM wants to keep the group as small as possible, and thinks that because of the small amount of involvement of DNR they should not be included. The more members of the group, the less chance of reaching a consensus - says OCM. Because of the DNR landholdings in an environmentally touchy area (Sec. 16) USPWS thought DNR should still be included. EPA also thought they should be included because the whole program was established to get all involved agencies at a table to work out the problem. If DNR isn't included then the exercise would not prove to be an acceptable approach on another future similar project. COE (Corps of Engineers) thought DNR should be included because there are numerous areas they are asked for input during the 404 permit process. I expressed the fact that since they are a responding agency in the 404 permit process, and since they would have some pertinent resource data available that could be helpful in our project, they should be included. They have the idea it is a "commitment" rather than an agreement. The i representative said she couldn't make any decision at this time and would have to go through D.C. to get authorization to sign. No other agency had a problem with the semantics of the MOA. There were several recommended changes to the 2nd draft of MOA, however, it was felt that they are strictly word changes, i.e. "could" vice "will". It was suggested by DEC that a preamble be included so each agency has a clearer idea of the purpose of the group. Some agencies are seeing this as an all -encompassing study to all of their concerns in the Kenai area instead of just studyIng those areas relevant to the 404 , permit process. The preamble will clarify this! Word changes should be put in writing and sent to OCM for consideration in new draft. I suggested that the wording related to the consultant, "expert in scientific issues pertaining to Wetlands", would limit our selection field - all agreed; new wording will be inserted. I had a question about an Attachment A spoken to in the 2nd draft but not included. Amy Kyle pointed out that the Attachment would be compiled from each agency as their rep- resentatives are selected. After the meeting Phil Waring told me he wasn't too encouraged by the meeting. He felt it didn't appear that the agencies were going to get into agreement, and that his report to the new Borough Mayor would indicate these impressions. This could be a problem since the Borough is being requested to put up $43,000 as the local share of this study. COE distributed some Mailing Lists that are part of their requirement under the 404 process. Many names are not relevant to this project and some should be added. With that in mind, the following views represent a consensus of both groups. I. The main effort of the Kenai Harbor Commission is in the planning and development of the mouth of the Kenai River. This effort includes the'assistance to a private small boat harbor developer, a municipal solution to the bluff erosion problem, coping with the Wetland and Coastal Management requirements and other developments within the City. II. In coordination with the City's economic development efforts for the siting of a major petro-chemical facility outside the City limits and in view of the recent vote by Borough citizens rejecting the assumption of Borough non - area wide harbor powers, the Harbor Commission has informed DOW and other proposers, the Harbor Commission would support the usage of City harbor powers outside the City if no other municipal power were available. Rather than lose the competition to Valdez or Mat -Su Borough by not having any municipal power in existance, the City is willing to exercise it's existing harbor powers. III. The Harbor Commission further wants it understood it is receptive to, and will cooperate with the creation of a Borough Service District designed to offer municipal powers for the development of a major cargo dock facility outside the City, but including the City in it's boundaries providing the develop- ment plans for the mouth of the Kenai River continue and are protected from interference. Mr. Davis reported he attended Pacific Northwest Waterways Association's annual meeting in Portland, October 14 - 17. Mr. Davis discussed Wetlands with Steve Lindstrom, Mr. Lindstrom indicated it should be directed to the appropriate committee. Harry Cook of the National Waterways Association spoke on how to get into the laws that are before Congress. Be spoke on the Bonneville Power Association. They are building a new lock at the Bonneville Dam. Mr. Davis spoke to Mr. Cook about wetlands. Mr. Cook gave Mr. Davis the name of a man in North Carolina who is heading a group to deal with Wetlands at the D. C. level. Mr. Davis stated he would get in touch with him on that. Mr. Davis felt there were only one or two committees that are significant to our interests. Mr. Davis spoke on a Wetlands meeting held October 20. Those present were Murray Walsh, Amy Kyle, Mark Stephens and Roger Haggard of the Division of Community Planning, Mayor O'Reilly, Mr. Brighton and Phil Waring. There was some concern expressed on the new Borough Assembly, and the effect on wetlands. At the meeting Murray Walsh introduced his program for the Kenai Wetlands Study. His department (Dept, of Community & Regional Affairs) is to issue the grant to Fish & Game, and Fish & Wildlife to hire consultants to do their studies, The Division of Geological & Geophysical Surveys is a a State agency that will be doing water quality and hydrologic studies. OCM hopes to have the agencies provide in-house studies rather than hiring consultants, which would drastically reduce costs. The $400,000 is over two fiscal years. The Borough presently has a match for the first year. Phil Waring will hopefully adopt a resolution to specifically state what that money will be used for. It will be spent on a Wetlands study for the City of Kenai. The State feels the Borough will provide the local match because the result of the study will be part of the Borough's Coastal Management Program, Mr. Davis reported Amy Kyle has developed a Preliminary Memorandum of Agreement, It was reviewed and all the agencies felt quite secure with it, with a few changes. The study should be underway sometime in December if everything falls into place, Mr. Davis noted, part of his job description is to coordinate the City's involvement on that, He pointed out the Kenai City Council isn't up to date. Mr, Davis submitted a copy of the Preliminary Memorandum of Agreement to Mr, Brighton and it should be presented to the City Council. Mr. Davis felt he should be there to explain what it is about, and get the OK for him to represent the City. On the Borough/State Coastal Management Grant Mr. Davis reported it should have been signed at this time. The date it is signed is the date the City can begin to spend the monies, Mr, Davis noted there wouldn't be anything spent until he had the signed contract, On the City/Borough Contract Mr. Davis noted it had been approved by the State. Mark Stephens had indicated to Mr. Davis that he would like a "not to exceed" figure on Mr. Davis' expenses that is to be covered by the City, so it won't exceed the total amount of money. it was brought to the Borough last Wed. or Thurs. and should be done by the time City Council approves scmething, if they do, next week. 3 I� I 1 '.6 1' �Y 1 • q Mr. Davis further reported he has fallen behind on sane of the tasks he has been asked to do. This is because of the PNWA trip in Portland, trips to Anchorage on wetlands, and his mobile office. Mr. Brighton questioned whether Senator Towers is trying to get COE out of Wetlands that aren't navigable. He asked if that happens are we in a worse position. Perhaps F. & W. or someone else will be tougher to deal with. Chairman Peterkin pointed out the question has alot of merit in Alaska. If it was asked in the Pacific Northwest, it has a different reception. He gave the example of the Bonneville Dam project, and how there were 17 environmental type lobbying companies against the project. The project was submitted in 1977 and is still sitting there. He explained they want to put in a canal so shipping can go into the upper Columbia. People there are very concerned about water rights. Mayor O'Reilly stated he thought we should stay involved with PNWA. A situation could develop where we will be part of the separate service district. We could be talking about a deep draft port. The contacts we are establishing now are important. Mayor O'Reilly commented, on the funding, we must realize . that the Borough may pull Coastal Management monies, but we all started off on the basis that we would fund this ourselves anyway. Mr. Davis stated he hasn't gotten the real flow of authority. The people in the working group for all other agencies have authority from the Commissioner to represent the agency. Chairman Peterkin didn't believe he could appoint Mr. Davis without the direction of the Council. Mayor O'Reilly didn't see any problem with Mr. Davis bringing the problem to the {-s attention of the City Council, and ask them to authorize him i to speak for the City in the development of this. i Mr. Davis commented he would also like something from the 4 1 q i Borough. G. 2. Referring back to PNWA, Chairman Peterkin stated he thought their next meeting will be in Anchorage. PNWA has alot of committees that handle day to day business. Through PNWA there are many valuable contacts, port directors, etc. Mr. Davis stated they have high powered speakers such as Howard Baker and Harry Cook. Chairman Peterkin spoke on the Senator from New Mexico and how he has tried to destroy the water bound freight in the Columbia River. Chairman Peterkin turned the report on DOW over to the Mayor. G. 3. Mayor O'Reilly reported there were three representatives from DOW who met with Union, Tesoro and Chevron. Their questions were geared toward labor, community aspects, water supply and the shipping situation. The Chamber of Commerce put together a warm reception Friday morning. Mayor O'Reilly spoke on the meeting. DOW may be putting together approximately 30 people as a task force in the Alaska effort. They must know some municipality has the power to put together port and harbor authority, in terms of the years 1990-2000. They say they can build an environmental tract with a greenbelt. DOW is concerned about the effect on the area, if there is no planning and zoning it could be cause for rejection by the State. They have also looked at the Point McKenzie area. Nothing can be developed by the Harbor Commission or the City Council, but it is senething to be considered. Commissioner Williams stated he would be in favor of any harbor powers concerning the City, but did not want to get involved with the Borough's planning and zoning. Chairman Peterkin spoke on his presentation to DOw. DOW mentioned needing 4,000 to 5,000 acres for the plant site. The product is a solid form of animal stock in bale form. There was sere further discussion on dock facilities, Mayor O'Reilly reported Fluor Corp. called and they are doing a D u- i I feasibility study for Exxon for petrochemicals. Prank McIlhargey of the Borough and the Mayor would leave to meet with them the following morning. Exxon is looking for 800 acres and a harbor. The Commission discussed the memorandum to Kenai City Council on area industrial development efforts and City port and harbor powers, H. 1, Commissioner Wagoner commented on the Mayor's letter to Mrs. Dimmick. He stated Mrs. Dimmick's comment to him was "What does Mayor O'Reilly want me to do?" Mayor O'Reilly stated he asked the Admin. Assistant to send a letter to Mrs. Dimmick asking her reaction. ---- Commissioner Ackerly pointed out that Margaret Branson also sits on that committee. Mayor O'Reilly stated they meet again in mid -November so we have a little time. H. 2, Chairman Peterkin referred to the article in the Clarion (Oct. 28), In it Mr. Roper stated he was going to build the harbor within 6 months for 0500,000. Chairman Peterkin reported there was to be a meeting with himself, Mr. Brighton, Mr. Delahay, and Mr. Roper's attorney, Rick - Baldwin on Tuesday, November 4, at 1 0 0. There will also be a Harbor Commission meeting that night. He stated the Chair would entertain any suggestions, It may be premature until that meeting. Commissioner Wagoner referred to the article where Mr. Roper discussed the City of Anchorage working with free enterprise, certainly the City Council could in Kenai. Mr. Brighton pointed out the free enterprise project in Anchorage is bankrupt, Commissioner Wagoner asked if there was sane way to find the o exact amount invested so when Chairman Peterkin sits down with Mr. Baldwin, he can show him chat happens. He referred to another statement where it said Mr. Roper has offered the City a million dollar share in his project or to sell back his leases for $300,000. It said the City offered to buy 1 back his leases for $75,000. Commissioner wagoner stated as 6 i i . I far as he knew, the City never made an offer to buy back anything. Mr. Brighton stated not in his presence. He felt we should ask Mr. Baldwin if Mr. Roper really wants to build the harbor or sell his leases back. Mayor O'Reilly commented before you can help you roust know what his plans are. This gives you an opportunity to see what his development and construction plans are then you base judgement on whether or not you want to help. The second question is if we can't assist you, what would be the price you want to sell those leases. Mayor O'Reilly stated it was the only situation he had seen him say he needs sane help like that which was done in Anchorage. There was further discussion. Chairman Peterkin called a recess. Mayor O'Reilly left the meeting at this time. H. 3. Chairman Peterkin stated there was a problem for secretarial services for Gary Davis. Mr. Brighton stated he wasn't at the meeting. The City r� Council said the City employee would not take the minutes. _J Commissioner Williams, who was at the Council meeting explained, first they assigned the project to CH2M Hill. There was not a copy of the contract available. what he would like to see is the contract approved and get around to the secretarial later. It was the all around feeling that Gary Davis provide secretarial services. Mr. Brighton stated all the documents for the contract will be in the next City Council packet. Commissioner Ackerly stated the total contract is $64,000 and he was under the impression that it includes a secretary. Commissioner Williams stated only in taking the minutes was there a problem. Mr. Davis stated the City Attorney and the Finance Director discussed the legal problem on the contract employee 7 J' rtL I 1 relationship. They decided it would be best if the City employee took the minutes, if it was Mr. Davis' secretary it could be interpreted as a employee contractor situation, and could be skirting IRS problems. Chairman Peterkin reported he has made the recommendation of -Ray Poland to Mayor O'Reilly to fill the vacancy on the Harbor Commission. Mr. Weller has declined. Chairman Peterkin stated the DOW situation was covered under reports. Mayor O'Reilly made two comments. One, we offer the industry a situation where it's possible for 1 i j 0 harbor powers to be available. Two, we can explain to the Borough if they can put something together we would support it. H. 7. Chairman Peterkin stated the letter to Senator Stevens would be postponed until the next meeting. H. 8. On ASMA, Mr. Davis reported there has been a group formed called the Kenai Wetlands Working Group. P & W is a member of the group. The group will provide possible solutions to the problem. H. 9. Chairman Peterkin stated the meeting with Mr. Roper's attorney, Rick Baldwin has already been addressed. (H. 2.) H. 10. Chairman Peterkin stated the Letter to the Borough has already been addressed in discussing the DOW situation. Chairman Peterkin asked Mr. Davis if he could get with Larry Porter on Port of Entry. Chairman Peterkin asked if Mr. Davis could see if Kramer, Chin & Mayo could meet with us sometime when they were in our area. Chairman Peterkin asked Commissioner Williams where we were with the CH2M Hill contract. Commissioner Williams stated it is waiting to be acted on. Mr. Davis mentioned all the firms have been notified by telephone. Commissioner Williams stated we need to follow up with a letter. Mr. Brighton stated he has a "to do" list from the Council meeting he was not able to attend. He directed Mr. Davis to take care of the letters. Mr. Davis stated Mark Stephens indicated there should be a "not to exceed" figure on his contract so it would not exceed the total. 9 Commissioner Ackerly suggested a not to exceed figure of F1 $8,000. Commissioner Wagoner suggested we pursue the existing engineering reports and see if it is sufficient for the bond monies. I. 1. COMMUNICATIONS Chairman Peterkin stated he has received a copy of a letter from Mayor O'Reilly to Commissioner Burnett thanking him for his work on the Harbor Commission. He stated Mr. Burnett's term is up January 1, 1981. F. Ste' =S 1. Mr. Davis reported there is a letter from him to Mr. Brighton in the packet. It is a combined trip report and a request on the issue discussed at the last meeting where the City should appoint, either through a letter or a resolution, someone as a representative to the Kenai Wetlands Working Group. He spoke on the preliminary draft of a Memorandum of Agreement which is in the packet. This was the subject of the meeting October 23. He 1 • 1 -� said one of the significant changes in the MOA is, it states that "Each representative shall be appointed directly by the person who is empowered to sign this MOA. Each representative shall be delegated adequate authority and shall have adequate seniority, technical knowledge and experience to speak definitively for the agency for which he or she represents." MOTION Commissioner Williams moved, seconded by Commissioner Ackerly, j the Harbor Commission recommend to the City Council that they + appoint Mr. Gary Davis, the Administrative Coordinator for the Harbor Commission, as the City of Kenai's representative to the Kenai Wetlands Working Group. There was discussion on the motion. Mayor O'Reilly stated he was going to introduce it in the Mayor's report at the Council meeting and ask for a motion to appoint Mr. Davis to represent the City within the powers of the Charter. There was a roll call vote. The motion passed unanimously. Referring to the MOA, Mr. Davis reported the follow up meeting is Friday, November 7, and written comments, recommendations or action will be received in writing at this time. The Mayor has read it and commented on it. Mr. Davis said he will compile a �' I written comment sheet if anyone wants to submit comments before Thursday afternoon. He stated a full involvement of the public on the Wetlands planning process is essential to the sucess of the project. On the studies, on page 4, "Three studies will be undertaken to this agreement." Also, the hydrology and water studies will be done by the Division of Geological and ! , Geophysical Surveys of the State. Mr. Davis stated he made sure all the agencies will contact the City and let us know they will be here so 'it is coordinated. We may be able to assist them. The agencies regularly inform the City of Kenai of the activities and assist in a public information program by preparing materials for distribution to the job. f On Kramer, Chin and Mayo, Mr. Davis felt they should know the City's concern of the bluff problem. There are areas in the Alaska Code addressing our bluff. On the heavy industrial zone areas on the Tidelands and the proposed and preferred harbor 0a 0 =T= i i i o I site, we want to make sure it's given the utmost consideration. There is the possibility of some monies for other studies on the bluff and maybe some maintenance action. Mr. Davis reported he is combining the feasibility report required for the 1974 State Bond monies. He is combining all the existing reports and studies relevant to the plan. He called John Tully (DOT&PF) who is handling those bond monies. They will be reviewing the report and seeing if it is complete enough. He indicated we may be looking at land acquisition, planning, and possible ramp renovation of the existing ramp. Mr. Tully indicated these sounded in step with the regulations. Mr. Davis bad a meeting scheduled with Mr. Tully, at 2:00 Friday, after the KWWG meeting. Mr. Davis contacted Kramer, Chin and Mayo to see if they would be available for a meeting with us. They said they are on hold until they get a call from the Borough saying go ahead with Coastal Management. Mr. Davis reported he still had the POE to research and after the meeting with Ted Stevens there is more information that is needed. There seems to be some discrepancies with what he says and what the local people really feel. Mr. Davis said he would check with the oil refinery people and make the initial contacts this week. Mr. Davis stated tomorrow night at the City Council meeting he would bring up the discrepancies he felt between Administration and City Council on his providing secretarial services. The motion from the Harbor Commission and his contract was in the City Council packet. We want to have the State/Borough and City/Borough contract for them to review. As far as the State is concerned, the effective date is October 22. That is the date the money can be spent. Chairman Peterkin thanked Mr. Davis. He said he was doing a tremendous job and without the position he didn't know how we would represent the City in these affairs. Mayor O'Reilly complimented Mr. Davis for his excellent report. PW 7N Stevens. The first question presented to Senator Stevens was on the DPR funding. Ted Stevens said that budget is already in, and is impossible to change for 81. They got into the standing on the Roper situation. He said we can get his assistance in 81 - 82 to get the DPR study. The second question was in reference to POE. Senator Stevens said Chairman Peterkin was pressing development versus high cost of gasoline and heating fuel. They discussed why we should have a POE. Senator Stevens said we don't have enough traffic for a POE at the dockside. There are discrepancies in the rules and regulations about the movement of fuel through a POE. Senator Stevens says it is not a requirement that we physically move it through a POE. Also, there is probably a blending process, that is why it had to go to Anchorage and come back. Chairman Peterkin was under the impression the fuel was a finished product at dockside. Senator Stevens said it was not. Chairman Peterkin said he was not prepared to offer him anything in rebuttal. When the cost for people to come down into the area got to the point where people started to scream, the demand would be made. Mayor O'Reilly understood when the traffic is at a certain level in a particular spot, then it will be granted a POE, not a POE first. Chairman Peterkin stated after the meeting he instructed Gary Davis to go out to Tesoro and find out why the cost of the fuel is higher. He stated he would like to take the facts back to Ted Stevens and maybe he can help us. Commissioner Wagoner stated it would be necessary to talk to the marketing people in Anchorage. Tesoro dosen't ship to Anchorage for blending. He thought there was same federal regulation that the gasoline has to go through a POE. There was futher discussion. Commissioner Williams said same went to Anchorage for blending and same didn't. , G. 2. b. Chairman Peterkin reported on the meeting with Rick Baldwin, Mr. Ropers attorney. Those in attendence were himself, Mr. Brighton, and Mr. Delahay. It was the first such situation. , Proposals were thrown back and forth both ways. Mr. Baldwin indicated Mr. Roper would like some type of sharing situation, possibly, he keep Tract B and give Tract C to the City. There was same discussion on whether the City can get in this type of d / f f. F, f i agreement with an individual. Chairman Peterkin indicated he would like to get a definite offer. There were circumstances brought to light Mr. Baldwin was not aware of. Chairman Peterkin stated Mr. Roper would have to bring in some justification for the dollars and cents factor. Mr. Baldwin understood he was going to have to do J something along those lines to satisfy the City Council. Mr. ' +) Baldwin did alot of questioning to find out the exact situation. Mr. Baldwin made a comment that Mr. Roper would settle for less than the latest figures we have. Chairman Peterkin indicated, along with Mr. Brighton, that Mr. Roper had better do it quickly, and he explained the City's position on the funding in order to make the Legislative session this season. Commissioner Ackerly asked if there was another meeting scheduled? -- - Mr. Brighton stated there would be. Chairman Peterkin stated he asked Mr. Baldwin to contact Mr. - Brighton and schedule a meeting at the earliest possible date. , Mr. Brighton said Mr. Roper was scheduled to appear on the agenda the following night at the City Council meeting. One of the reasons was to ask the Council to approve his putting up his leases for collateral for a loan. Mr. Baldwin was going to ask him not to appear. Mr. Brighton said it would only complicate a complicated situation. Some discussion followed.9 G. 3. a. Mayor O'Reilly reported that he and Frank McIlhargey i visited Irvine, California to discuss the feasibility study Fluor 1 was doing for Exxon. They are doing a parallel petro-chemical study. The study picks a site and it's the one they will get the best definable cost on, so when the study is complete, they can defend those costs. They will not necessarily chose the ultimate site. That is Phase I. Phase 2 is relating to the community, _.� relating to the government body and the intra-structure of having a major facility will have on the area. There was a lot of discussion on port location. Exxon is looking at a different . type of product mix than DO11. Exxon is talking in terms of LTG's ' and liquid product afteL: processing. They are talking 60 million pellets annually, 330,000 tons, or 33 ships per year. 5 Mayor O'Reilly said they are thinking in terms of doubling in four or five years. They were talking about other locations, none of which they have visited. Valdez has similar problems. Seward has a considerable land problem. They anticipate problems in any of these areas. Mayor O'Reilly reported there is a local Economic Development Committee that has been formed through the Chamber of Commerce. Watt Taylor will Chair the Committee. The Committee will possibly be getting more recognition. Mayor O'Reilly spoke to Watt Taylor, and in addition to being involved with DOW and Exxon, they assist fishery locally. Mayor O'Reilly and Mr. Delahay had spoken with Mrs. Dimmick. She is on the State committee that is revising Title 29 of the State Code. They have asked her to include a specific provision that a city can exercise port and harbor outside it's borders. Mrs. Dimmick will include that recommendation to the committee. Mr. Davis asked what acreage is Exxon looking at? Mayor O'Reilly reported 2,000. Mr. Davis asked if that would be doubled in 5 years? Mayor O'Reilly said yes. There was discussion on the necessary acreage required. Mayor .,'Reilly reported on communications with Jerry Reinwand of the Governor's office. About two weeks ago there was an article in the Anchorage Times in which the Governor gave his early thoughts on the budget. There were further comments made by Jerry Reinwand to the effect that there will no longer be a large amount of Capital Improvement Monies coming through this budget. Reinwand made the comment that he has heard from a great many mayors that these Capital Improvement Monies must be maintained. Mayor O'Reilly stated he hoped through previous comments, Mr. Reinwand didn't think the Mayor was against Capital Improvement Monies. The Mayor wrote Mr. Reinwand and stated he had never heard that sentiment expressed. He was going to ask that the Conference of Mayor's be polled. At some point the mayor may ask 6 1 the Harbor Commission to say we are counting on Capital II Improvement Monies to built a boat harbor. H. 1. Chairman Peterkin stated the Harbor Commission Vacancy would be discussed after it was presented to Council. H. 2. Commissioner Dragseth reported he was working on the business cards for the Commission. On the Governor's Boards and Commissions Vacancy List, Chairman Peterkin asked if there were any recommendations. Commissioner Wagoner recommended Ginger Steffi, of the Community College, for the Alaska Council on Science and Technology. Chairman Peterkin explained the Harbor Commission felt there should be some representation in lieu of development of petrochemicals and fisheries areas that we should be informed of what was going on at different levels of government. It will be put on the agenda for the next meeting. MOTION Commissioner Williams moved, seconded by Commissioner Isaacs, to bring back to the table the Letter of Recommendation from Tom Wagoner. There was a roll call vote. Commissioners Ackerly, Dragseth, and Williams voted no. Commissioners Isaacs, Peterkin, and Wagoner voted yes. It was a tie vote. Discussion followed. Commissioner Williams stated he understood both sides, of why there should not be a member of the City Council on the Harbor Commission, and he understood Commissioner Wagoner's not wanting to take the line of action the Commission did. However, he had qualms of why it was brought up at this specific time. There are times when these actions can be taken and received, and times when they can't. N J 4 r • WHEREAS, the City has airport lands not devoted to airport uses which may be sold and other lands which may be sold in addition j to lands received from tax foreclosures, and WHEREAS, it is desirable to sell these lands so they can be put to private use, so that the tax roles of the City will be expanded, so that the City will obtain funds to advance City j projects, and also so that funds from the sale of airport lands can be devoted to investments to secure income for airport development and operations, and I WHEREAS, it is desirable to provide by ordinance for a program of j land sales so that such sales can be promoted and the above purposes accomplished, and WHEREAS, in order to facilitate such sales and advance the program, it is felt desirable that terms be provided for the sales of such lands so that the City will carry notes secured by Deed of Trust for a portion of the purchase price thereof, and WHEREAS, the City Council desires to set policies to initiate a I program to encourage the sales of all City lands not set aside for a public purpose, NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF KENAI, ALASKA, as follows: KMC 22.05.060 is hereby repealed. That K14C 22.05.010 is hereby amended as follows: 1 jl i > p. a 022.05.010 Power to Dispose of Real Property: The City may sell, convey, exchange, transfer, donate, dedicate, direct or assign to use, or otherwise dispose of City -owned real property, including property acquired, held for or devoted to a public use, only in accordance with this chapter, and, with respect to properties acquired through foreclosure for taxes, in compliance with those terms and provisions of AS 29.53.360-385 which home -rule municipalities are required to comply with. Disposal or sale of lands shall be made only when, in the judgment of the City Council, such lands are =k [NO LONGER] required for A,public [MUNICIPAL] purpose[SI." section 3: That RMC 22.05.030 is hereby repealed and re-enacted to read as follows: 022.05,030 Sale: (a) All lands to which the City of Kenai holds title which are not restricted from sale by the Deed of Conveyance to the City, or which have been released from such restrictions, which the City Council has determined are not required for A [MUNICIPAL OR OTHER] public purpose[S], shall be listed for sale by the City Manager, except that lands which have been leased and have substantial improvements constructed thereon shall not be sold unless the Lessee has made a written request to the City to place the land for sale. "(b) Such sale may be made at not less than the fair market value set by an independent appraiser within six months prior to the date of filing of application for sale or the date of the offer or advertisement for sale (whichever first occurs), either, at the option of the City Manager: 01. By negotiated sale, or "2. By outcry auction to the highest responsible bidder, or 03. By competitive sealed bids to the highest responsible bidder." section 4: That RMC 22.05.040 is repealed and re-enacted to read as follows: E i h 022.05.040 Sale Procedure: (a) If the land to be sold has not been appraised by a qualified appraiser within six months of application for sale or the date of the offer or advertisement of land for sale (whichever first occurs), then the City Manager will obtain such an appraisal for a determination of the minimum price on said land. "(b) Where any party, hereinafter called "Applicant," requests that a tract or tracts of land be sold for which an appraisal will be required, which will require subdividing, platting, or surveying and staking, or which will require advertising or incurring any other expenditures by the City prior to sale, "(1) No actions in preparation for sale will be taken by the City until an agreement to purchase shall be properly executed and filed with the City Manager for the purchase of such land with payment of sufficient good faith deposit (which shall consist of cash or its equivalent deposited with the real estate broker, if any, and if none with the Finance Officer of the City of Kenai, as may be determined by the City Manager, to cover all expenses of the City if the applicant subsequently fails to bid or buy the land and the land is not sold, and such agreement to purchase shall further contain the agreement by applicant to pay any additional costs if said good faith deposit is insufficient to pay all costs incurred by the City. 0 (2) If at any time during the process of preparing for sale, the applicant gives notice to the City Manager of withdrawal of the request for sale, the City Manager shall stop all procedures, shall pay expenses incurred prior to termination of sale procedures, and shall reimburse applicant for any good faith deposit advanced in excess of all expenses incurred. (However, if another party desires the sale to proceed, files an application for sale, executes and files an agreement to purchase, and advances sufficient funds therefor, then the prior applicant will be reimbursed for expenses charged which can be attributed to the subsequent applicant.) "(3) If all actions necessary for preparation for sale have been accomplished, and if neither the applicant nor any 3 1 - 1 I a other party purchases said land when first offered for sale after such request, then all expenses incurred in preparation for the sale will be paid from the good faith deposit, and the balance, if any, shall be returned to the applicant. If the sums advanced as good faith deposit are insufficient to pay all of the costs, the applicant will be billed for the balance due and normal collection procedures followed. "(4) If the land applied for is sold on public sale set in response to such request to anyone other than applicant, then on closing of said sale the good faith j deposit will be refunded in total to the applicant. "(5) If the land in question is sold to applicant, the good faith deposit advanced will be applied on the payment due at closing. "(c) If the City Manager knows of no competitive interest in the purchase of the tract of land proposed to be sold, he may negotiate the sale of said land Qaly after a one time publication in a newspaper of general circulation within the City of a notice that it is his intent to sell said tract (giving the legal description thereof) by negotiated sale �. unless he receives notice of interest to purchase said tract' from other parties within seven days after the date of publication of said notice. w(d) If it ap pears to the City Manager that more than one party might be interested in the purchase of the tract proposed to be sold, or if after publishing notice of negotiated sale, the City Manager receives notice from other parties of interest therein, then the City Manager shall put the tract or tracts of land up for sale, at his option, either by outcry auction or by competitive sealed bids. If the tract or tracts are to be put up for such competitive auction or sealed bid sale, notice of sale and the manner in which the land is to be sold shall be published in a newspaper of general circulation within the City once each week for two successive weeks not less than 30 days prior to the date of sales such notice shall also be posted in at 1 least 3 public places within the City at least 30 days prior to the date of sale, and such other notice may be given by such other means as may be considered advisable by the City n i 1 i i( r� Manager. Said notice must contain: "(1) the legal description of the land, "(2) a brief physical description of the land, "(3) the area and general location of the land, "(4) the minimum acceptable offer for the land (which shall be its appraised fair market value), "(5) the terms under which the land will be sold, "(6) any limitations on the sale of said land, "M the time and place set for the auction or bid _ opening, NO) any other matters concerning the sale of which the City Manager believes the public should be informed. "(e) If no offers are submitted meeting the minimum • acceptable offer (or appraised valuation), the City Manager may negotiate for sale of said tract or tracts of land with a modification of proposed terms or for less than the appraised valuation provided that no such negotiated sale for less than appraised value shall be binding upon the City unless the terms and price therein are approved by resolution of the City Council. "(f) Where a real estate agent furnishes a buyer or grantee for City land, the closing agent shall be authorized to pay to said agent a real estate commission not to exceed 10% of the purchase price for the land or 10% of the appraised fair market value of the land, whichever is higher, under the following terms and conditions: "(1) The City Manager may grant exclusive listings of one or more parcels of land to one or more real estate brokers with the real estate commission set forth to be divided in accordance with normal practices of real estate brokers in the event that sale or conveyance is consummated. 0(2) If a parcel of land not subject to exclusive 5 i listing as set forth above is sold to a buyer furnished by a real estate agent, whether on negotiated sale or after a public sale, then the authorized real estate commission will be paid to the real estate agent furnishing said buyer by the closing agent on closing the transaction. "(3) if a parcel of land not subject to an exclusive listing as set forth above is sold at public sale, and the applicant who instigated procedures for such public sale was furnished by a real estate agent, and the buyer at said public sale was a different party furnished by a different real estate agent, then on closing of the transaction the closing -agent shall be authorized to pay the real estate commission set herein to the real estate agents concerned, divided in accordance with normal real estate practice as though the real estate agent furnishing the applicant had been granted a listing to the property and the real estate agent furnishing the ultimate buyer had furnished the buyer of the property. "(g) Closing of sale of City lands shall be handled by a title or escrow company within the City which specializes in closing of real estate sales. "(h) Conveyance of City lands shall be by quit claim deed a furnished by the City, and buyers are advised that all such conveyances are subject to all liens, encumbrances,' restrictions, and covenants of record and are specifically, without being limited thereto, subject to any unreleased restrictions contained in the deed or deeds by which the City receive title to the land. if a buyer desires to obtain a preliminary commitment for title insurance or title insurance to the land, then it r shall be the responsibility of the buyer to obtain such commitment or insurance and to pay for the same. "(j) Except furnishing of the quit claim deed to the tract or tracts of land sold, all closing costs shall be borne by buyer. "(k) if the tract or tracts of land are sold under terms by which the City is to accept a note as a portion of the purchase price, the note and accompanying deed of trust must 6 i be prepared by an attorney at the expense of the buyer, but ---_ must be approved by the City Attorney prior to closing. "(1) Said note shall be placed for collection with a bank selected by the City Manager, which may be changed from time to time, and which shall be the bank in which City funds are deposited, and the buyer shall pay the set up fee and annual „ collection fees for such bank collection." Section 5: That the Kenai Municipal Code is hereby amended by adding a new section to be numbered KMC 22.05.045 which shall read as follows: - 022.05.045 Terms For Financing sale of City ands: (a) In order to expedite and facilitate the sale of City lands, the j City Manager is hereby authorized to accept terms for such , sales and may accept a note secured by a deed of trust for a portion of the purchase price thereof. Sleight, City Engineer SUBJECT: What's Happening Report for City Council Meeting November 19, 1980 FIDALGO SUBDIVISION IMPROVEMENTS A request was filed by Judge Hanson to do some additional grading on the Fidalgo Subdivision project near the Court house. Great Northern Construction Company was contacted. They did the work and Judge Hanson was pleased. I found Great Northern to be quite helpful. SEWER TREATMENT PLANT EXPANSION Four Pay estimates have been handed in. One is for the Sewer i Treatment Plant work. This week will be the last week of work i until spring as the contractor shut down period begins next week. 1980 KENAI HWIICIPAL AIRPORT ELECTRICAL IMPROVEMENTS The next pay estimate is for Airport Electrical work. The generator building floor was poured this week. Some additional problems have occurred as the roof trusses have not been installed as needed. Some corrective action will be required. FRONTAGE ROAD OF THE KENAI SPUR HIGHWAY The third pay estimate is for the Frontage Road Project. This project is now also awaiting spring start up. WARM STORAGE BUILDING The fourth pay estimate is for work on our Warm Storage Building by Alaska Boiler and float Exchanger Service, Inc. 1 have reduced their requested pay amount from $42,000 to $36,000. During routine inspection prior to approval of this pay estimate, I found that our 24" culvert, 250' long was installed crushed and closed. As such, I am suggesting the following course of action now and in the future. 1. Contractor be notified that he is to do no further work without the presence of City Engineer. 3. Payment of the $10,000 which I have withheld not be made until the contractor has submitted specifications for culvert installation and they are approved by me and damaged culvert is dug up and replaced and approved.
