Let us ask the City to do it like the people want it - not like the wild design of some engineer who doesn't live here. We live here and will continue to live here so let us do it right. Some suggestions to think about: 1. The crown of the street should be raised to within six inches of the terrain on either side. 2. Blacktop ALL streets, install sidewalks and gutters - eliminate the ditches. 3. Make ALL driveways safe and driveable for winter. 4. Put gravel back on driveways and culverts topped with wash or fine gravel. Driveways should be put back to original condition. PLEASE, DON'T FORGET THE MEETING. We need everyone at the meeting. We are one of 9 states that must comply with these requirements, this wee necessitated because of Alaska requirements to read and write the English language to be able to vote. Every municipality in Alaska is required to conform to this. Before the State or any municipality can make a change that may affect voters, the change must be pre -cleared by the Federal Dept. of Justice. The 2 questions asked eras 1. Does the change directly impact a voter? 2. Does the change have the potential to impact a voter? If either of these questions can be answered yee, the State or municipality musts 1. The three bids received were from Peninsula Ford, Hutchings Chevrolet, and Craycroft Chrysler. Craycroft Chrysler was the low bidder with $129327.45 per unit. There were some irregularities in Crayeroft's bid. The bid wes not signed and it was receivipd ten minutes before the time the bids were opened (50 minutes late). The question presented is whether the City may waive the defects in Creycroft's bid acid accept them as the low bidder or whether the City must accept the second lowest bidder. POINTS AND AUTHORITIES The first point of inquiry is the Kenai Municipal Code (KMC). KMC 7#15.040 controls competitive bidding. Subparagraph (a) of this ordinance provides: "that the purchasing authority may repeatedly reject all bids and again may submit to the same or other persons, firms, or corporations, a request for quotation (or invitation to bid) and/or again publish notice of the proposed purchase." 1 r Y a - - - -- -- - -- - - -- -- - - --- L- a V )1 The ordinance does not provide for waiver of defects in the bidding proceea, aside from this complete rejection of all bids. Because the KMC does not provide for waivers, one must look to Federal, State or common law to see whether waivers of defects may be acceptable. The general rule is that when a bid does not conform to the epecificatione, the bid is non -responsive. The U.S. Comptroller General has expressed a rule of responsiveness In these termes "the test to be applied in determining the responsiveness of the bid is whether the bid is submitted as an offer to perform, without exception, the exacting thing called for in the invitation, and upon acceptance will bind the contractor to perform in accordance with all the terms and conditions thereof. Unleea something an the face of ttic t'.i.4 Cr specifically made a part thereof, either limits, reduces or modifies the obligation to perform in accordance with the invitation, it is responsive." 49 Comp.Gen. 553, 556 (1970). An important exception to the above rule is that minor Irregularities and formalities in a bid will not render it non -responsive. FPR 1-2.405 for example, defines the parameters of this rules "A minor informality or irregularity Is one which is merely a matter of form and not of substance or pertains to some immeteritli and consequential defect or variation of a bid from the exact requirement of the invitation for bide, the _ correction or waiver of which would not be prejudicial to other%bidders. Defect or variation in the bid Le immaterial and inconsequential when its significance as to price, quantity, quality, or delivery is trivial or negligible, one contrasts it with the tcgtal cost or scope of the supplies or services being procured." The contracting officer shall either give the bidder an opportunity to cure any deficiency resulting from a minor informality or irregularity in a bid or waive such deficiency, i whichever is to the advantage of the government. i Under FOR 1-2.405, examples of minor informalities or Irregularities includes A failure of a bidder to sign his bid, but only 1f9 1) the unsigned bid is accompanied by other material indicating the bidder's intention to be bound by the unsigned bid document, such as the submission of a bid guarantee or letter signed by the bidder with the bid referring to and clearly Identifying the bid itself; or 2) the firm submitting the bid has formally adopted or authorized, before the date set for opening .of bide, the execution of documents by typewritten, printed, or stamped signature and submits evidence of such authorization and the bid carries such a signature. 2 r 011 These are federal opinions. The State of Alaska has also had an opportunity to address minor technical defects in bide, it is generally been held in Alaska that a minor technical defect or Irregularity which does not and could not affect the substance of a low bid in any way does not justify the rejection of that bid on the ground that it is non-reeponeive, when the agency is required by law to award the contract to the lowest responsible bidder. The Court noted•that there was not mutuality of obligation, hence no contract. DISCUSSION The instant problem can be separated into the two irregularities: 1) the failure to sign, and 2) the failure to submit on time. The latter is the simpler of the two and will be addressed first. 1- May the City waive the technical defect that the bid was not time y ed? Clearly, this is a minor irregularity because the bids were all opened at the same time. If the other bids had been opened first, that would have given the low bidder an advantage which would compel rejection of the low bid on fairness grounds. This 3 I i ,I I-N defect does not effect the substance of the bid. I would conclude that this defect may be waived because to do so does not effect the substance of the bid or raise questions of unfair advantage. 2. May the City waive this technical defect that the bid was unsigned? This is a more difficult question. As suggested in the Finelli ease, an unsigned bid does not impart mutuality of obligation end hence may not result in an enforceable contract, especially in. this case where no bid bond or anything else indicates an intent to bind the parties. In a large construction project, this may be a problem, but in this case the City could simply re -bid the contract if Craycroft refused to perform. irnm A i*g9l standpoint, however, it would seem that this irregularity would be unable to be waived absent more facts. If the City were to follow the Federal example, the City would be able to obtain the beat deal from the City. Under the Federal model, the bidder is given a chance to correct the minor Irregularity* Because this does not go to the substance of the contract, it cannot be said that any one bidder has obtained an advantage over the other. Keeping in mind that the City has a duty to obtain the best value for its citizens, the Federal approach, which would allow Craycroft a chance to sign the bid, would appear to provide the best solution. The bottom line as pointed out in the Chris Berg case, is judicial review. Because the City has a reasonable basis for allowing Craycroft to cure its one defect and waive the other, and becsueb the action is discretionary, a reviewing court will be unlikely to overturn the City's decision. Even if the Court did reject, the City's actions, the 'disappointed bidder would probably only be awarded the costa of preparing the bid, which in this case likely did not run too high. r CONCLUSION Federal, State and Common Law all provide for waivers of minor Irregularities in bide which do not affect the substance of the bids. In this case, a waiver of the failure to timely file is •.` permissible. In addition, the bidder should be allowed to cure the lack of signature absent other documents indicating an intent to be bound. Amount Hutchings Chevrolet $25,087.36 Peninsula Ford $25,473.20 Craycroft Chrysler $24,654.90 WHEREAS, the bid from Craycroft Chrysler was received after the deadline of 9s0D a.m. on the bid day, but prior to the bid opening; and, WHEREAS, the bid from Craycroft Chrysler was not signed when delivered to the City, but has since been signed; and WHEREAS, the City Council has determined that these two irregularities are minor and are to be waived; and WHEREAS, all the bide met the specifications, and Craycroft Chrysler was the lowest responsible bidder. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF KENAIv ALASKA that the bid from Craycroft Chrysler for two police cars in the amount of $249654.90 be accepted. Charles Brown's November 14, 1985 memorandum implies that the legal department memo suggests that we must not waive the irregularities. The only point to be made by the legal memorandum is that the decision whether to waive the irregularities is a policy decision, a decision which cannot be made by myself, Charles Brown or Chief Rose. The decision whether to waive the irregularity rests solely in the sound discretion of the City Council. The following are my suggestions you requested in writing. My most urgent concern is that our three EMT III's and paramedic need to spend time working with and communicating with other paramedic teams, ` using in a clinical setting the knowledge they gain in our classroom setting. They need this clinical practice not only to feel competent but to be competent in treating cardiac arrests and other serious injuries. This clinical on the job training can best be carried out in Anchorage; a reasonable goal would be two weeks of this training per year for each EMT III/paramedic. Our misting problem is that the department does not have enough trained EMT III's/paramedics to permit this type of absence from the job. i believe a workable solution would be for the city to negotiate with a neighboring fire department to have one of their paramedics come in pnd replace our EMT III/paramedic for that period of time. If the city administration could accomplish this, than I could get on with setting up the clinical training. The next pressing problem is our immediate need for an additional EMT III/ ' paramedic so we can provide coverage of all the shifts with an EMT trained in cardiac resuscitation and defibrillation. I'm suggesting that any new firemen hired be at least an EMT II and that the individual agree in writing prior to hire to upgrade himself to an EMT III within six to twelve months and the paramedic level within two years. The third recommendation is that council expedite planning ahead for the future needs of Kenai's emergency medical services. I believe it's -- --- reasonable to assume we are going to need fully trained paramedics within a couple of years, not only because of the growth of our city, but because of the rapid changes taking place in emergency medical care. This includes the administration of various types of IV medications coming on the market and becoming a part of pre -hospital care in many progressive communities our site. Why not approach the Landscaping Board to come up with a compromise on trees and buffer. Chairman Lewis asked if any of the Commissioners had attended the meeting at ERA. Commissioner Smalley stated that both himself and Howard Hackney (present in the audience) attended. A representative of Pizza Hut came with a full set design of their building plus an appraisal of moving existing trees existing to create at least a 10, buffer. Some time ago the Parks & Ree Commission had decided that they could not handle the strip as a park, therefore leaving it as a buffer strip. At the time Croycroft was developed, at a Council meeting, Mayor Wagoner indicated that that section of land would be a trade-off, i.e. it would remain conservation for those residents across the road in Inlet View and Central Hts. Pizza Hut sesuree us that they will do their best to bid and obtain the property. The gamble comes when the property does go up for bid, there is always a chance that they may not be able to bid high enough. Commissioner Corignon asked if there was any discussion regarding the availability of other lends. Commissioner Smalley indicated he had spoken to Mr. Schilling and Mr. Lowry. The representative of Pizza Hut had stated that economics was not an issue, however it would be nice if they owned the building and property for the tax advantage. The Commission asked why the bellfield had not been chosen, Administrative Assistant Geretlauer answered that the Council will have to determine if they will release the property, plus the fact that should the area be released and rezoned, there has already been a request to purchase the entire section including the bollfield. Commissioner Smalley stated that as one member, he would like to see that comprehensive plan before proceeding, the Commission agreed. Most of the people at the meeting were definitely in favor of the Pizza Hut but not in that greenbelt area. One concern is over an alcohol franchise so close to a residential area and a ,junior and senior high school. The bike path is fast becoming useless due to the development in the area. 11. COMMISSION COMMENTS 6 QUESTIONS Commissioner Carignan, "every time we have a public hearing, we're dealing with feedback from people, and what impact is that feedback supposed to have regarding our vote, what is the overriding factor. If I recall, when there to overall public sentiment against something, it requires a more weighted vote, i.e. it takes 5 votes to pees instead of 4." I believe I read it somewhere, probably in the Anchorage papers regarding an issue. Its a way of weighing something that if there is is overall public sentiment against it, it requires more votes to pass it. That is the kind of situation that takes into account what the sentiments of the people are and still hoe a chance of passing, but takes that sentiment and feel into account. I know we are dealing with it individually, but there comes a time when people are against something but if we are to continue to grow and be a dynamic city, its going to have to happen. Planning Specialist Loper asked to check on E "o this and report back at the next meeting. Commissioner Carignan commented that, with this public hearing coming up, we have heard the some people several timee, if there was some way we could get one person to speak for the group stating that they either have or have not changed their minds, we can save an awful lot of time. This is not to restrict the public's right to speak, and surely would not do so on a basis where the issue has not been heard before, however in this case it is repetitive. Chairman Lewis suggested meeting with the public before the meeting to ascertain if they would go along with this. Commissioner Smalley stated that there to construction going on at the River Bend Sand do Gravel Pit on Beaver Loop currently owned by Pat A Mary Doyle. Many years ago there were 2 pits side by side, one owned by Borgen, one by Doyles. When dealing with the pits, there was a limitation on the permit that no construction woe to take place. A residence appears to be constructed. Howard Hackney agreed stating that there are also plans to build a shop. In issuing a building permit it is assumed that the buildings are a natural part of operating a gravel pit. The permit was approved contingent upon the Doylee operate the pit under the same restrictions as the former owners, Borgen. Mr. Hackney stated that the house is for the gatekeeper. Commissioner Smalley felt concern that the permit was transferred with the understanding that there would be no additional buildings, that the pit was going to be operated in the same manner as PLANNING COMMISSION November 13, 1985 Page 5 under Dorgan utilizing the existing buildings. Mr. Hackney stated that a cabin is for more appealing than the old trailer left by the previous owner. Commissioner Osborne stated that in the last Council meeting, regarding leased lands, the FAA wants the City to hold the land for at least 2 years before it is sold. Commissioner Osborne feels this is good policy whether it be FAA or not. Administrative Assistant Gerstlauer explained that FAA felt that the City was circumventing the bid process by leasing property to an individual who then proceeds to purchase in a short period of time, this person not under the restrictions of having to go to bid. Tne committee has prepared a number of draft recommendations and the workshops will serve to test and refine the committee's work. The results of the workshops will be incorporated into the committee report prior to its presentation at the Advisory Board meeting in January. The workshops will be conducted by Kirk Wickersham, Jr., an attorney and land -use piunner who has used this technique for over 160 communities in the western United States since 1978. The workshop format provides an excellent opportunity for the participants to resolve conflicts and actually develop regulatory provisions. Phase I is approximately 90% completed, with the installation of signs, pavement markings, seeding, setting of luminaires, 50% of the paving and some general clean up left to be done. Phase ii is approximately 80% completed, with the signs, paving, pavement markings, seeding, setting of luminaires, 50% of lift station, 200 of topsoil and some general clean up, still remaining to be done. Also remaining in phase Ii, are the installation of gas, power, telephone and TV lines which is under separate contract by the developers, McLane and Associates. it is estimated that the contractor will take approximately 3-4 weeks to complete the remainder of the subject project. As part of the remaining work, we feel that two additional items should be included into the contract in the form of change orders. The first of these items would be the addition of thaw pipes to the two storm drain discharges into the pond along Backwoods Ave. Due to the higher than usual water table this year, it appears they will be necessary if similar conditions occur in the future. The second item, would add a man platform in the Lift Station which the DEC will require betore a certificate to operate will be issued. The Contractors request for winter shut down came on Nov. 1, 1985, although work this year by Doyle Construction Co. was finished by October 23, 1985. In the request for a winter shut down, the Contractai requested closing all streets in Inlet Woods Subdivision except Leeward Drive!.snd Inlet Woods Drive from Redoubt Ave. to Leeward Drive. Protect through October 30, 1985. WORK COMPLETED The Contractor has completed underground on East Aliak from Linwood to Highbush and on North Highbush, South Highbush, Bumblebee and Swires. The storm drain and two water and sewer stubouts remain to be completed on East Aliak between Highbush s. and Swires. Roadway excavation is complete and Type i gravel is in place in the same locations except Swires and on East Aliak from Highbush to Swires where additional excavation is required. Other remaining Contract work to be accomplished by the j Contractor includes the storm drain on East Aliak which is currently under construcion, trimming slopes, topsoil, seeding, driveway approaches, signage and miscellaneous clean up. SCHEDULES The Contractor has made good progress towards getting back on j schedule but he will not meet the original Contract date of October 31, 1988. Change Order No. 1 and 2 have extended the Conract by 3 calendar days, to November S, 1988. it will not be possible for the Contractor to finish by that date. The Contractor has requested a 30 day time extension for additional work and a 18 day time extension to finish topsoil and seeding after May 189 1986. We are reviewing our records j regarding additional work to verify how much extra time was required for the additional work such as extra water and sewer services, extra water mains and excavation quantities. r n H.A.S. Project - Monthly Report Page Two COLD WEATHER CONDITIONS Due to the seasonal cold weather we have informed the Contractor that no more blue tops will be set and that gravel will not be placed to a final depth. This is because the gravel cannot be compacted prior to freezing solid. Instead, blue topping will resume next spring after the ground thaws. We have allowed the Contractor to continue working on the excava- tion and underground portions of the project. FREEZE PROTECTION OF 12" WATER LINE As we discussed previously, the 12" AC water main running beneath East Aliak will have a relatively shallow depth of bury when this project is completed. The attached letter from Winston Zirjacks, P.E. of Frank Moolin and Associates contains recommendations regarding insulation procedures to compensate for shallow burial depths as a means to provide protection against waterline freeze up. We utilized the Contractor's men and equipment to excavate, expose and record the elevation of the existing water line at 200 foot intervals between Station 23+00 and Station 38+00. The results were then compared to the proposed finished grade to determine the approximate depth of burial upon completion of this .project. Based on the recommendations from Mr. Zirjacks and the results of the Contractor's recorded data, it is my recommenda- tion that the water line be insulated with 8' wide X 2" total thickness DOW SFHI continuously between Station 29+00 and Station 37+00. From available data this is the section which would be likely to freeze if a low flow condition of up to three days duration occured in the line during the coldest point of a normal winter. This work would be performed by the Contractor on a Force Account basis. Our estimate for this work is $209000.00. We are faced with a problem, however of accomplishing the insula- tion procedure this fall to insure adequate protection this winter. The recent cold weather has resulted in current frost depths of up to 26" on East Aliak Street. By the time the storm drain installation is complete I would expect the frost to be deeper. It is necessary to place the storm drain prior to placing the insulation since it will also be below the insula- tion. Therefore it will be impractical to dig approximtely 2 feet down and then backfiil with frozen chunks up to 16" thick in the roadway. H.A.S. Project - Monthly Report Page Three Therefore it will be necessary to delay the insulation procedure until next spring. This will increase the risk of waterline freeze up this winter if high flow conditions are not maintained in the waterline if flow is interrupted for a period. I recommend that the City take interim steps necessary to protect the line from damage due to freezing. DRIVEWAY APPROACHES/DITCH DEPTHS We have reviewed the project and believe that only 5 driveways will present a problem on the project if completed per plans. These are located at Station 13+10 left and right on Highbush and at Stations 1+159 2+00 and 2+80 tail right) on Bumblebee. We propose to contact the owners of the Bumblebee parcels to see if they will allow the Contractor to excavate beyond the right-of- way on private property to provide a flatter driveway grade. We will warp the crown slightly on Highbush to accomplish the some thing* When complete, the driveways on East Aliak from Highbush to Swires will slope from the right-of-way to the road shoulder. Grades will be less than 101 and in most cases they will be less than 7%. This winter however, since the 1 foot of Type I material will not be in place and since the ground may be too I frozen to excavate driveways out to the right-of-way line, the ` citizens will be faced with excessively steep driveways. I would also like to point out that if it is expected that East f Aliak will be paved in the not to distant future, it would be ` possible to construct the ditches shallower than is currently planned. As you know, we redesigned the road in order to reduce ditch depths from approximately 4.5 feet in some areas to a maximum depth of 2.5 feet. We used a depth of 2.5 feet in order t to compensate for the expected gradual filling in of the ditches .� due to grading, slope erosion, and sanding operations. Normally -.-. -- this occurs over a period of many years. However, if the roads are paved with curb and gutters in the future then the ditches need not be as deep as planned. In this case it may be possible to reduce the depth to 1.5 to 2.0 feet. This option is possible t only on East Aliak from Highbush to Swires and on Swires since approach culverts have not yet been set in these areas. Please i; let me know the desires of the City. ` CUL-DE-SAC APPROACHES Several Cul-de-sac approaches on East Aliak between Highbush and Swires will require some excavation to obtain flatter approach grades onto East Aliak. Inis added approximately 1600 board feet of insulation at $1.00/B.F. to the coat of the project. An existing manhole located at Station 33+40 was found to serve Shamrock Circle and Blarney Circle. The manhole is not a typical City of Kenai installation in that it does not directly connect the two laterals to the main on East Altak Street. Instead a line leaving the shallow manhole apparently drops into the main and connects with some sort of grouted connection. It is reported that unusual amounts of sand have been found in this line which may be the result of this situation. �• It is also impossible to lower the manhole rim sufficiently below proposed grade since as shallow manhole there are no removable barrel sections, only a cone and a base. We will have to warp the road crown to achieve even minimal (4"-611) cover. Under these conditions the insulation quantities stated will protect the line from freeze-up for three (3) days. A year or two ago a Councilperson requested street lights in various areas around town including some areas on Forest Drive, Main Street Loop, etc. Council looked at the individual spots and made a decision on some of them. We - subsequently contacted HEA and had them installed. 2. An individual in VIP approached the City Council for Installation of street lights especially along bus routes in the City of Kenai. Council directed the Administration to approach the Burton Carver Bus Company and ask for ideal locations for lights along the bus routes. I contacted Burton Carver and received a list of 40 locations for street i lights which I mailed out to City Electric, Air Tek, and HEA. A copy of this list is attached as Attachment A. 3. 1 received a cost to install the 40 street lights and submitted a letter dated March 15, 1985 for the Council i Meeting of March 209 1985. This letter is listed as Attachment A. The letter showed a capital coat estimate for + the 40 poles at $56,000 with an annual coat of $34,480 per i year. That letter oleo pointed out that we need an additional $27,440 to replace the fixtures and ballasts on __.-.-..i the street lights in Woodland, Redoubt Terrace, and Inlet View. At this Council Meeting, the Council directed us to reevaluate the annual coot estimates to determine if the c estimate I received from City Electric is correct. ' 4. At the next Council Meeting of April 3, 1965, Charles A. Brown submitted a letter dated March 279 1985 which is Attachment B. Basically, this letter states that the figures i that I showed on the March 15, 1985 letter are correct. r. 5. Recently, I have taken the list that I received from B Carver and have found that the following street lights eliminated from the list. a. McKinley from the south side# and WHEREAS, the Alaska Division of Parks has determined that Curry Midge is the best location available in the park to provide the viewing opportunity to the greatest number of visitors while maintaining the high quality of the experience: and WHEREAS, the development of appropriate visitor facilities on Curry Ridge could service as many as 350,000 visitations per year# and WHEREAS, Governor Sheffield has indicated his interest in developing visitor facilities without state financial involvement; BE IT THEREFORE RESOLVED, that the Resource Development Council supports the development of a visitor complex at Curry Ridge, BE IT FURTHER RESOLVED, that the Resource Development Council encourages the Alaska Division of Parks to leave as much of the planning and development of any facilities as possible to the private sector. The use of state funds for planning, feasibility, site design and development should be minimized. Flexibility on the type of facilities to be developed, the services to be offered and the manner in which the services are provided should be insured at all steps in the development process. After review by the Department of Law, the Lt. Governor signs the final regulations. The entire process can take up to eight months. A major Item on the agenda for the November 14 Advisory Beard meeting will be the presentat- ion of the findings of the River/Plsherles Committee. The primary focus of the committee Is the biological factors which support fish and wildlife resources. The committee will reco- mmend that a two -flared habitat corridor should be designated for all private and public prop- erty along the Kenai River. Boundaries for the Inner tier Protection Area of the corridor should be based on high value contiguous wetlands, riparian ecosystems. and other habitats within the 100 year floedplaln. The primary purpose of this Area Is to maintain the natural functions that support fish and wildlife resources by maintaining natural vegetation. The outer tier (Conservation Buffer) Is recommended to extend from the boundary of the Protection Area 300 feet upland. The purpose of the Buffer Is to dissipate Impact$ from nearby devet- opmentt this Buffer would allow for hone Construction and a variety of other activities that maintain a high percentage of natural vegetation.
