ORDINANCE NO. 1216-87
AN ORDINANCE_OF_THE COUNCIL OF THE CITY OF KENAI, ALASKA,
AMENDING CHAPTER 17.30 OF THE KENAI MUNICIPAL CODE BY ADDING
A NEW CODE PROVISION KMC 17.30.080, PROVIDING FOR LIMITED
INTERGOVERNMENTAL COOPERATIVE AGREEMENTS FOR DISPOSAL OF
WASTE MATERIALS.
WHEREAS, Kenai Municipal Code at KMC 17.30.040 provides that

discharge into the City of Kenai sanitary sever system of
any materials must be from locations With the city of Kenai,
and
WHEREAS, it may be in the best interests of the welfare,
health and safety of the citizens of Kenai to provide for
intergovernmental cooperative agreements for disposal of
waste materials through the City sanitary sewer facilities,
and
WHEREAS, it is the desire of the City of Kenai Council and
Administration to provide for cooperative agreements for
disposal of waste provided such disposal poses no threat to

the public health, welfare and safety of the citizens of

Kenai, and
WHEREAS, various governmental entities have indicated a
willingness to pay appropriate fees for disposal of waste
materials.
NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF
KENAI, ALASKA, that KMC 17.30 be amended as follows:
27.30.080 XNTERGOVERNMENTAL AGREEMENTS EXEMPTION:
Notwithstanding any provision in this chapter to the

contrary, the City may enter into cooperative agreements
with other units of government for disposal of waste
products through the City of Kenai sanitary sewer system,

4. The City of Kenai can stop the operation at any time when the ,!
City feels that the material is detrimental to our wastewater
treatment operations. Kenai Peninsula Borough will be
responsible for complete disposal and clean up of this material
deemed unacceptable for our STP. ;
5. Kenai Peninsula Borough will haul and place all of this
material into our sewer treatment plant aeration basins. The
Kenai Peninsula Borough will also haul all of the solids or L
sludge that settles out of their material in the City•s aeration
basins and dispose of them.
6. The Kenai Peninsula Borough will provide better and
---- - - - continious access to the dump site -at the landfill where the City
dumps its sludge and will provide assistance when our vehicle
gets stuck at the landfill.

Community Schools Program
SUBJECTs Clarification of Kenai Community Schools Position

This is to address concerns of City administration and council raised at the
May 20 meeting.
1. Community Schools is defined as the maximum use of school facilities,
subject to the necessary rules and regulations as prescribed by the Board
of Education. it also recognizes that life experiences are part of one's
education and .are not limited to formal instruction alone. Rather, it
emphasizes that learning is a life-long process and that educational,
social, and recreational opportunities should be afforded all
I residents, regardless of age. Recreation should be both physical as well
I as mental that is done in your leisure.

2. Community Schools provides over 150 classes/activities for all ages. The G
i
.� instructors are primarily volunteers and served over 2,000 residents this E
past year.
4i Since its inception six years ago Kenai Community Schools has provided
many classes/activities that ere not provided by the Recreation
Department.
Kenai Community Schools has aided local business development though
III classes such as real estate, health and wellness, - financial planning,
etc.
Kenai Community Schools has -networked with other local agencies such as f
C.P.R. with the Kenai Fire Department, Hospice of Anchorage, Chemical
People, Art Guild, Mental Health Center, Peninsula Learning Resources
Center, Senior Center, Division of Youth and Family Services, Kenai
Recreation Center, and Senior Center (see brochure).
{A Kenai Community Schools has also provided a remedial summer school
program for youths in grades 1-6.
3. The position shall be funded equally by the District and the City. The
_ provide $22,000 with a match from the City _District shall Y that can be
f supplemented through user fees.- This year --user -fees- generated
approximately $12,000.
„f Kenai Community Schools has had to be creative in programming and fund
raising to meet current budget nhortfalls.

Whether or not schools will be closed after the normal school day is not
a decision that is made on the Community School level. Not will Kenai
funding/not funding this position be a factor. It was mentioned as a
strong possibility because of the impact on Kenai recreation. Regardless
of school closure/non-closure Peninsula -wide, the Community Schools
Program shall have access to the building at no cost since we are pact of
the District.

Funding relief on the local level is not a realistic possibility.
According to the District three budget tiers, Community Schools will be
cut regardless of a possible supplemental appropriation from the Borough
or additional monies from the state.
6.
Qualifications between personnel at the Recreation Center and the
District ace similar but job duties and responsibilities are not. The
Community Schools Coordinator is responsible fors
a. Brochure publication
b. Schedules over 150 classes/activities
c. Recruits, hires, supervises, and pays qualified instructors.
d. Supervises four school facilities plus off -campus sites.'
e. Works cooperatively with principals, faculty, secretaries,
custodians.
f. Writes state grant for funding.
g. Keeps accurate records of all income/expenditures, participants,
class/activities for six-month statistics report and
statistics/narrative section for the Department of Education Annual
Report.
h. Speaks with community groups about Community Schools.
It
is hoped an agreement can be reached between the City of Kenai and the
Kenai Peninsula Borough School District.

the City. and the Kenai Peninsula borough School District Community Schools
Program. hereinafter referred to as the Program.
WITNESSETH:
WNEREAS. the City has provided recreational facilities and activity j
opportunities and the Program has available additional facilities for
educational and racreational.purposea, and
WHEREAS. the City and the program share Cowan goals to provide `
opportunities and activities for the physical. mental and cultural
development of their respective client group* through the programs. and
WHEREAS, the benefits from limited financial resources can be maximised
by these agencies working together, to provide facilities and progress to
achieve their common Scale.
NOW THEREFORE WITNESSM
In consideration of the promises and agreements contained herein, the
parties hereto agree as follows:
1. C0MUNITY SCHOOLS — CREATION PROGRAM PROVIDED. The Program agrree$ to ! i

b. supervised gym activities such as basketball and volleyballs and
c. periodic spacial ovonto such as Jess* Ovens track meet, field
trips, dances. etc. _
It to understood that the intent is to provide those activities in which }
Interest has boon shown, therefore. continuation of those successful
activities which have been provided by the programor the City
previously are a priority.
3. PERSONNEL. The City shall hire qualified por+oanal with the advice and
covige of the Program to orgenise, supervise and direct recreation
— program services:'" -Such personnel shall be under the direct oupervtoioo
of the Director of Kent Park$ and Recreation, except during his/her
absence at which time supervision of personnel shall be delegated by the 1
principsl to his designee. All personnel employed as Community Schools j
i Specialist -Recreation shall be employeas of the City of Kenai and the
' personnel regulations of aid d*ssnies CitZr shall apply.

The Program agrees to make the Kenai public school facilities available
for recreation program activities with the provision that proloroncs in

Kenai Peninsula Borough Schools.

9. EQUIP The City has various equipment and supplies used in the
conduct of it's programs that say, upon request and approval. be made
available to facilitate and support the provision of recreational and
educational programs conducted under this agreement.

Agreement
pursuant to direction of the Council given at the meeting of
Wednesday, May 20, 1987, the lease and concession agreement
contained in the packet for that meeting, along with a
transmittal letter, was provided to Dick Morgan. In
subsequent discussion with Rick Baldwin, retained counsel
for Dick Morgan, as well as discussions between Morgan and
the City Manager, it was learned that the stated position of
Morgan was that Article XV concerning easements was
unacceptable as drafted.
Baldwin's position was that the proper lease and concession
agreement as to Recreation Area II was to be on the same
terms and conditions and therefore Article XV should except
only "easements of record" and should not include language
making the premises subject to things or conditions
ascertainable upon a visual inspection. The objectionable
language was stricken from a subsequent document which was
then submitted to Morgan's counsel on Friday and that
document was returned executed by Morgan on the next
business day which was Tuesday, May'26, 1987.
While the inclusion of the additional language in the first

against any claim of right by W.M. and Jill Burnett as to
the purported roadway known as Candlelight Extension, it is
not felt that such a claim would prevail in the courts.
However, as insurance against such litigation, and to
protect the City from a claim by Morgan, the additional
language was included. in -that first draft of the lease.

it has the ability to make it available in its now -existing
condition without exposing itself to any contingent Il

liability or litigation. This is especially appropriate due
to the fact that the condition against which the City might

be drawn into litigation was a condition existing on the
property at the time that Morgan entered into a lease and
concession agreement for the initial stage of a Kenai
municipal golf course.

At the time of the first lease and concession agreement for
Kenai municipal golf course it was anticipated that a
perfection of the public use easement may occur prior to the
'
exercise of the right of first refusal contained in that
document. At'this time such perfection has not occurred,
-
however, it appears that a race has now developed between
the Burnetts, who are now attempting to perfect an easement,
(and in fact are scheduled before Planning and Zoning for
that purpose on the evening of May 27, 1987) and Mr. Morgan
who has, as of May 26, 1987, signed a lease and concession
agreement for an expansion of the Kenai municipal golf
_
course into that area known as Recreation Area 11.

Since the document executed by Morgan differs insofar as

Article XV is concerned from the document submitted to
Council May 20, 1967, it is appropriate to resubmit the
document signed by Morgan to the Council for approval of the

night's meeting at which you were present, we hereby give you
official notice that the Council has directed the Administration
to make available lands adjacent to your present golf course for

While you have previously written the City expressing an interest
in acquiring those lands, your notice was premature since the
lands had not at that time yet been made available. Since they

Dear Tim:
Dick Morgan has requested that I respond to your letter to
him of May 21, 1987.
This letter constitutes notification of the exercise by
Dick Morgan of his right of first refusal as set forth in
Article XVII of the lease referred to in your letter. Further,
at Mr. Morgan's requestr I reviewed the draft lease agreement
which accompanied your letter. I find the lease document to be
. in proper form, and Mr. Morgan is willing to execute the same,
subject to three exceptions.
1. it would perhaps be administratively more convenient
to structure the lease so that the primary term of the new
lease coincides with the primary term of the lease originally
1 executed. This may have been already consideredrin that the
lease expires on December 31r 2005, but an additional I
adjustment needs to be made in the term of the lease. Such i
' term should be changed from twenty years to eighteen years. I
would suggest a similar adjustment be made to the option to
renew set forth in Article II, such that the option to renew
would be for an additional term of ten years rather than nine
j years as stated -
of I note that in Article IIi of the lease the blanks for
t rental are not filled in. Evidently the parties -have no
disagreement as to the amounts to be paid. It is Mr. Morgan's
understanding that the same schedule of rates used in the

LESSEE shall provide for the construction and operation and
maintenance of a public golf facility and appurtenances. and the
Premises shall be used only for such purposes unless consent to
some other use at the sole discretion of the City is obtained
from the CITY in Writing.
It is anticipated that areas not being utilized for golf will be
available to the public without charge for jogging and other uses
not inconsistent with or in frustration of the premises primary
use as a golf course.
LESSEE shall cause to be designed, constructed, and iastslled
upon and within the Premises, at a value-ol not less than THREE
HUNDRED THOUSAND 16300,000.00) DOLLARS and at no cost to the
CITY, the improvements listed and described under Paragraph A of
this Article Ili. The preliminary plans prepared by LESSEE and
approved by the CITY shall constitute the Hester Plan for
development of the Premises. Construction shall be started in
accordance with the terms at this Lease not later than thirty
430) days after the date hereof and shall proceed with due
diligence until completed within one (1) year and one hundred
twenty (120) days from the date hereof.

nine -hole golf course will be constructed on the Premises, the
design and subsequent construction of which shall be equal to

discrimination by the LESSEE in the dispensing of food and

facility hereinabove described on grounds of race, sex, religion
or national origin shall be deemed to be a material breach of
this Lease and grounds for cancellation of the Lease.
D. The LESSEE agrees that he will not discriminate against
any employe or applicant for employment, to be employed in the
performance of this Lease with respect to his hire, tenure.

For the purpose of this Lease, "operating season" shall -mean the
period of time in any calendar year commencing on the date when
LESSEE shall open its facilities for use and enjoyment by the
public and ending on the date when the LESSEE shall close its
facilities to the public. The required minimum "operating
season" shall be from June 15 to October 1 of each year unless
otherwise agreed to by the Kenai City Council.
LESSEE agrees that all articles sold or used under this Lease
shall be of good quality and shall be subject to the approval of
the CITY.
For the initial two years of operation, commencing with the 1968
season, green fees shall not exceed five dollars (85.00) per
person for nine holes of golf. Green fees subsequent to the
tirst two years of operation shall be net at the sole option of
the Kenai City Council upon petition of successful bidder.
LESSEE may charge reasonable fees for other uses during the golf
season upon approval of Council.
The premises under this Lease.ere owned by the CITY. However, it
is contemplated that LESSEE shall be subject to taxation upon all
personal property owned by LESSEE and used on or in connection
with the leased Premises. LESSEE covenants to pay any taxes as
may be lawfully assessed against such personal property.
ARTICLE IV

LESSEE shall have sole possession of, and responsibility for
maintenance of the Premises, including all improvements
constructed thereon. The CITY shall have the right to inspect
the Premises and to impose reasonable regulations to insure
proper care, maintenance, and upkeep of the Premises. The degree
of maintenance shall be in keeping with other golf courses. The
CITY, through its City Nanages, shall have the right to require

E. LESSEE agrees that winter usage (November 1 through May
1) of the golf facility by the public for purposes consistent
with CITY policies of winter use on golf courses will be
permitted excepting the clubhouse, tees, and greens areas, which
will remain closed unless otherwise agreed to in writings
provided, however, that damage to the premises resulting from
such authorised winter usage shall be repaired at the expense of
the CITY.
ARTICLE VI

During the term of this Lease, LESSEE shall procure and keep in
force, or shall where appropriate, require LESSEE'S contractors
and subcontractors to procure and keep in force, the following
insurancest
A. Workmen's Compensation insurance, sufficient to meet

employer's liability coverage, protecting all employees of LESSEE
and employees of its contractors or subcontractors during the
term of this Lease.

and, as to property damages, liability of 0100,000.00 for each
occurrence and $100,000.00 in aggregate. Insurance policies

effective prior to the beginning of construction on the golf
course and shall cover construction and, thereafter, operation of

To insure indemnification of the CITY, LESSEE shall procure and
keep in force contractual liability coverage with limits as to

with limits of $100,000.00 for each occurrence and 0100.000.00 in
aggregate. A certificate of insurance shall be delivered to the

delayed in the construction of any condition except: as relates to
rental payments or the maintenanco of insurance which, under the
terms of this Lease, it is required to do so perform within a
specified period of time, the period of time within which such
performance was to have been completed shall be extended by a
period of time equal to that of such delay or prevention, and the
CITY or LESSEE, as the case may be. shall not be deemed to be in
default if it diligently performs and completes such work or
covenant or condition in the manner required by the terms of this
Lease within the specified period of time as so extended.

A. All references to the parties to this Lases and all

heirs, executors, administrators, legal representatives,

to in the singular and neuter gender. However, such words and
all other terms and words used in this Lease regardless of the

B. All notices to the CITY shall be sent by certified or
registered mail addressed to the City Manager, City of Kenai, 210

the CITY may in writing from time to time designate by written
notice to the LESSEE. All notices to LESSEE shall bs sent by
certified or registered mail addressed to LESSEE at Box 1101,

C. This Lease in made under the applicable laws of the

AN ORDINANCE OF THE COUNCIL OF THE CITY OF KENAI, ALASKA,
RESCINDING ORDINANCE NO. 870-83.
WHEREAS, on August 17, 1983 the City Council of the City of
Kenai passed Ordinance No. 870-83 allowing individuals to
perfect an easement for public use along what is commonly
known as Candlelight Drive Extension, and
WHEREAS, Candlelight Drive Extension was not constructed to
City specifications and received no City maintenance, and
WHEREAS, adjacent property owners, including the Burnetts
have physical access to their property via a section line
easement, and
WHEREAS, to date no easement has been perfected along
Candlelight Drive Extension and the City of Kenai has leased
these lands for the purpose of a municipal golf course.
NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF
KENAI, ALASKA, that Ordinance No. 870-83 is hereby
rescinded.
