WHEREAS, the Kenai Police Department works cooperatively with the Drug Enforcement Administration in statewide drug enforcement efforts that directly impact the City of Kenai; and, WHEREAS, the City has received $548.79 as part of the DEA equitable sharing of a forfeiture; and, WHEREAS, the department intends to purchase a new Glock 21 pistol for the purpose of issue to patrol officer(s), or a replacement for a damaged weapon, or a weapon that may be needed temporarily as evidence. A-lo PLEDGE OF ALLEGIANCE Mayor Porter led those assembled in the Pledge of Allegiance. A-2. ROLL CALL Roll was taken by the City Clerk. Present were' Blaine Gilman Joe Moore James N. SO ORDERED. ITEM B: SCHEDULED PUBLIC COMMENTS B-Xo Proclamation/Civil Air Patrol-- Cadet Lt. Paul McBride Cadet 1st Lt. Paul McBride of the Civil Air Patrol gave a brief outline of the Civil Air Patrol history, noting the organization was founded in 1941, one week before Pearl Harbor was attacked. Their initial mission was to chase submarines, and the current purposes include volunteer/community services, ' emergency services and cadet programs. Mayor Porter presented a proclamation to McBride, celebrating the 63rd anniversm3r of the founding of the Civil Air Patrol and the Kenai Composite Squadron, established in 1951. ITEM C: ITEM D: -- None. ITEM E: UNSCHEDULED PUBLIC COMMENTS -- None. REPORTS OF KPB ASSEMBLY) LEGISLATORS AND COUNCILS REPORTS OF KENAI CONVENTION/is VISITORS BUREAU BOARD AND KENAI CHAMBER OF COMMERCE Mya Renken, Kenai Convention/is Visitors Bureau (KCVB) -- Renken presented Porter with a framed poster to hang in her office and gave an update of KCVB activities; noted, in reviewing the original documents of listing the purposes for the facility, the intent was to bring visitors to the city and changes would be made to make that a stronger component of their activities; and, the 2006 art exhibit will have items historical items from the community intertwined into the exhibit. ITEM F: PUBLIC HEARINGS-- None. ITEM G: MINUTES Regular Meeting of November 17, 2004 Approved by consent agenda. City Manager Snow reported RAM Aviation is the company that had been operating Kenai Express. She added, during the November 17 meeting, when the sublease came before council, administration was requested to bring the issue back when Kenai Express had paid all the landing fees they owed. Snow reported, Kenai Express/RAM Aviation had become compliant with the City, paying the fees for September and October (there were no landings in November). Snow added, the Borough had been contacted and Kenai Express/RAM Aviation was compliant with them as well. Discussion -- Schedule Work Sessions December 13, 2004 -- Joint Work Session with Arctic Winter Games (cancel this portion from the December 6 work session). Snow noted, the members of the Arctic Winter Games (AWG) Host Society would not be available to meet on December 6 as previously discussed. They requested the work session be moved to Monday, December 13, 2004. Council approved the scheduling of a joint work session with AWG for December 13, 2004, beginmng at 7:00 p.m. in the Council Chambers. It was noted, the December 6, 2004 work session would be held in the Council Chambers to discuss the development of the capital improvement project list, beginning at 7'00 p.m. Snow reported, a packet would be available with related materials. I-4b. December 9, 2004-- Council, Airport Commission and Supplemental Master Plan Update Consultant, 7'00 p.m. (or immediately following the regular Airport Commission meeting). Clerk Freas explained the Airport Manager had requested the Airport Commission meeting to be canceled because there were no issues to include on the agenda. It was requested the joint work session be held on Thursday, December 9, 2004, beginning at 7:00 p.m. Council approved the scheduled of the joint work session for December 9, 2004 in the Council Chambers. I-4c. December 15, 2004 -- Council and Legislators, 6:00 p.m. It was noted, the legislators had been notified of the intent of holding a work session with them on December 15, however it had not been officially set. Council approved the work session be scheduled for December 15, 2004 at 6'00 p.m. in the Council Chambers. I-5o Discussion -- Appointment of Student as City Council Representative The issue was included on the agenda as previously requested. Council Member Massie noted, he believed the involvement of a student representative would be an opportunity for their involvement in the process. Dennis Dunn, Principal, Kenai Central High School-- Dunn stated his address as 118 Wooded Glen, Kenai. Dunn stated his support of the development of a student representative to the council and suggested parameters, time frame, expectations, etc. be developed. KENAI CITY COUNCIL MEETING DECEMBER 1, 2004 PAGE 4 A brief discussion followed in which other issues needing to be considered were the length of the term the student would serve and participation (attending meetings, etc.). Porter and Massie will work with the school administration and bring the issue back for council discussion. Discussion -- Corps of Engineers/ Report on River Bank Stabilization Project. Patrick Fitzgerald, Corps of Engineers -- Fitzgerald gave an overview of the. bluff stabilization project, including: Conceptual designs of the project were developed prior to the Corps becoming involved. · An application was submitted to the Corps for a permit, which precipitated concerns from other agencies. · Funding was awarded to the city through the Corps for a study. · During the last two years, the Corps has collected baseline data of environmental impact through working with Fish & Game, doing field testing. · The reformat/on was compiled and a report prepared. · Though the report will not provide a recommendation, it will set the environmental consequences and then if the city can obtain funding, the project could then go forward with design, filing permit applications, etc. An additional $500,000 in funding may become available for design work and after the project is designed, the city would then work with the legislative bodies to acquire funding and authorize the building of the project (must be included in the wording of the funding bill). Fitzgerald suggested, when appropriate, the Corps be requested to provide the correct language needed to include in the bill through their Washington, DC drafting office. · An additional one to two years may be needed for development of the design and gathering of additional geo-technical information. During that time, the city would be working to acquire funding for construction of the project. · Fitzgerald will review the report with the agencies to indicate how their concerns were addressed, the city will receive a copy of the report for review, but the Corps will review it first. The public will also be given time for review and comment. ITEM J: COMMISSION/COMMI~EE REPORTS J-X. Council on Aging -- It was noted, the next meeting will be held in J-2. Airport Commission -- It was noted, the December meeting was canceled, however a work session will be held at 7:00 p.m. with the council and the supplemental plan consultant. J-3. Harbor Commission-- Massie noted, the next meeting would be held on Monday, December 6, 2004. J-4. Library Commission -- Council Member Gilman noted the next meeting would be held on Tuesday, December 7, 2004. J-So Parks Ih Recreation Commission -- No report. J-6. Planning Ih Zoning Commission -- Council Member Moore noted the minutes of the last meeting were included in the packet. J-7. Miscellaneous Commissions and Committees J-7a. Beautification Committee -- It was reported the next meeting would be held on Tuesday, December 14. Alaska Municipal League Report -- No report. J-7c. Arctic Winter Games -- Parks & Recreation Director Frates reported the next meeting would be held on December 9 at 5:30 p.m. J-7d. Stranded Gas Committee -- No report. ITEM K: REPORT OF THE MAYOR -- Mayor Porter noted the following: · The Mediallion Foundation's ribbon cutting for the mini-training center, scheduled for December 7 at 5:30 p.m. · The reception celebrating the opening of the Governor's Office at the Old Carrs Mall would be held on Saturday, December 4, 2004. ITEM L: ADMINISTRATION REPORTS L-1. City Manager-- City Manager Snow noted the following: · The information item relating to congressional funding designated for the Medallion Foundation. The reformation item relating to congressional funding of $500,000 designated to the Corps of Engineers for the next phase of the city's bluff restoration project. · Included in the packet was a status report relating to the Planning & Zoning Commission's development of a limited commercial zone. · She is working with Conoco-Phillips relating to a donation they want to make for the multipurpose facility through the Kenai Peninsula Hockey Association. KENAI CITY COUNCIL MEETING DECEMBER 1, 2004 PAGE 6 · She was contacted by the bank regarding the Katmai Hotel and Restaurant who requested a waiver from the lease requirement to maintain operations. Snow noted, no council action was required; administration would appreciate comments from council; the bar was already closed; the bank is in the process of selling the building; and, it is not profitable for them have the cafi and hotel open and requiring them to continue would force the bank to lose money. Snow added, if the city requires the businesses to be kept open, and the bank chooses not to, the city may have to end the lease and take over the building; it would be administration's intention to require the building be maintained in good repair, snow plowed and maintain the yard ff necessary. City~ Attorney Graves gave a brief history of the property ownership. A genera/discussion followed in which comments included: -- Moore stated he was not interested in waiving any of the provisions of the lease (closing the facility) as the matter could take years to conclude. -- Gilman disagreed, and explained he saw it as a large hability with the chance the city would have to take it over. -- Graves noted the parties involved and added, the city does not want to tear the building down or maintain it as either would be a sig~_ificant cost. He added, he believed it was Snow's retention to give a set timeline to avoid a long-term scenario. -- Buffer stated he agreed with Graves and would be interested in supporting the waiver ff the timeline is known. Snow suggested one year, but stated she would support a shorter time if council supported it. Whether other leases include operating requirements was discussed briefly. Graves noted, the original lease for this property was signed in 1968 and there could be old leases which were in the same form. Gilman stated he believed leases were consensual by the city and the risks have to be weighed individually. Discussion continued related to a timeline. It was noted, a six month period could create an incentive for the bank/buyer to deal with the issue better and one year would be too long. The consensus of council was a six-month period, but allow administration flexibility up to one year. · Noted an update as to the progress of developing a limited commercial zone was included in the packet. Council Member Moore stated he initially had concerns the Lawton Acres preliminary plat much larger lots compared to the lot sizes discussed for the limited commercial zone, however the proposed zone noted a "minimum" lot size. He added, he wanted council to be aware, the development of the zone and the prelim/nary plat was happening simultaneously. L-2. Attorney -- Attorney Graves noted the following: · Suggested he prepare a draft ordinance related to the appointment of a non-voting student liaison to council. Council agreed. Stated he would be taking annual leave the last week in December. KEN~ CITY COUNCIL MEETING DECEMBER 1, 2004 PAGE 7 L-3o City Clerk -- No report. ITEM M: DISCUSSION Citizens-- None. M-2. Council Moore -- Asked for an update to the Spisak lease and Snow reported she had prepared a letter and now had a specific mailing address to where she will mail it. Massie -- No comments. Gilman -- No comments. Butler-- Noted the following: He sat in on the last KCVB board meeting and learned they are trying to do some creating things. They are also continuing the possibility of partnering with the Kenai Chamber. The Borough would be receiving a large amount of money for wildfire protection and added, he wanted the city to be proactive in making sure the funds would be used for the mitigation program. Porter -- Noted she requested the City Clerk to write a letter to the Borough regarding the lack of "major road" desi~ation to the City of Kenai, Nikiski and Hope in the Borough's Comprehensive Plan. NOTES ,, Council Present: Staff Present: Porter, Moore, Ross, Massie, Swarner, Buffer, and Gilman Freas, La Shot, Graves, Frates, Snow, Semmens, Komelis, and Tiny CAPITAL IMPRO~MENT LIST DEVEI~PMENT~ Mayor Porter opened the work session at apprommately 7:00 p.m. She thanked administration for preparing the packet of information relating to capital improvement projects; noted, of the items on last year's list, none were funded; and, refemng to the handouts on the table, noted pages 19, 20, and 21 were replacement pages (copy was darker, nothing changed), and page 33 was an addition to the packet, a project from the Fire Department, which was on last year's list. Porter added, the reformation packet could be used for state requests, possible bonding projects, and possible appropriations from the General Fund. A general discussion followed regarding projects included on the list. A more specific discussion took place relating to possible upgrades to the multipurpose facility to satisfy the needs for its use during the Arctic Winter Games in 2006. Rick Baldwin -- Suggested the following: Fix the condensation problems. · Add radiant heating at the player, penalty, and scorekeeper boxes as well as over the bleacher area. Porter noted, a work session with representatives of the Arctic Winter Games is scheduled for December 13, 2004 at 7'00 p.m. A general discussion continued related to choosing projects from the packet. The philosophy of council was to choose projects which probably would be viewed with more favor by the Legislature, i.e. enhancing the city's in/rastructure, as well as health and safety issues. Any funds received from the state could be used by the city to begin right-of-way acquisition work. · Administration is to identify the projects noted on the list and attach cost amounts. Council will prioritize the projects at the December 15, 2004 meeting when the resolution is before them. A kickoff meeting was held with FAA on December 7 and a public work session with Council and Commission on December 9. From these meetings the team will refine the process and timeline and move ahead with various elements. Terminal Access Project: The heated sidewalks are operational and a great benefit to all who utilize the airport terminal. There is still some finish work to be done but the main portions of the project are complete. FedEx' We continue to work on various scenarios with our contacts to encourage FedEx to choose a permanent location on the airport. Airport Certification Manual (ACM): The FAA recently adopted major changes to Federal Aviation Regulation (FAR) Part 139 requiring a major rewrite of the Airport Certification Manual. Administrative Assistant Mary Bondurant attended training on the changes to FAR Part 139 and assumed the lead role in revising the ACM. The completed manual was delivered to FAA for review and approval early this month. Medallion Foundation' Mayor Porter, Henry Knackstedt, and Mike Pannone of the Medallion Foundation cut the ribbon announcing the installation of an Advance Training Device (ATD) in the airport terminal. DOT provided receivers in all other KSR traffic lights when the road was upgraded several years ago. Coordinated hiring of a contractor and placement of an incinerator to bum slash piles at Section 36 Firewise drop site through the Borough Spruce Bark Beetle Mitigation office, approved by the Borough Assembly and the project is ongoing. Met with representatives of the Kenai Peninsula College regarding development of their local paramedic certification program and made suggestions to meet local needs. The Communications Department concluded advertising and interviewed applicants for two full time dispatch/clerk positions at Job Service. The Senior Center is a polling site and we saw a steady stream of people all day November 2 coming to vote. The Alaska Christian College Choir entertained the seniors besides coming in and volunteering their time by shoveling sidewalks and putting up lights on our Solarium windows. It was great to have them here. November was the start of the holiday season. It started when we celebrated our Senior Veterans on Veteran's Day Gala. We served 170 meals. November 17th was our kickoff for Toys for Kids. The seniors in our community donate toys or money to purchase new toys for kids in need within our community for Christmas and are distributed fi'om Sears Elementary School. Kenai Senior Connection and Kenai Performers presented their 2nd Annual Murder Mystery Farce one-act play/dinner fundraiser. The performance was held on Friday, Saturday and a Sunday Matinee. We had a great turnout and fundraiser for both organizations. Tuesday, November 23 we held the annual area-wide senior Thanksgiving Dinner. This dinner was donated by Agrium, their employees helped set-up, serve and clean up the dining room. A great time was had by all with 223 meals served. Our Senior Center was open on Thanksgiving Day for a potluck. Senior Center provided the turkey, potatoes and gravy. Volunteers ran this day and we had 38 present to eat a Thanksgiving Day meal. And finally but not least the seniors participated in the annual Christmas Comes to Kenai and the Light Parade. Seniors donated 75 dozen cookies for Santa to hand out and a float was entered in the parade. We have already processed a large portion of new books and videos on health topics that we were able to purchase thanks to the grant given to us by the State Library. We have also received a collection of videos, free of charge, from the State of Alaska Office of Fetal Alcohol Syndrome. This collection will fit nicely with the Library's mission to provide health information to the public at large. We started a new section in the Library's newsletter devoted to new technical terms or "Geek Speak" relating to the Intemet. Both items would make great Christmas gifts! 12/8/2004 MEMORANDUM TO' FROM: DATE: SUBJECT: Linda Snow, City Manager Larry Semmens, Finance Director A~ December 2, 2004 Monthly Report Taxable sales for the third quarter hit a new high of $40 million, which is 28% higher than the same period last year. This is obviously very good news - hopefully the start of a trend. Unfommately, I received notice from the Borough Assessor that the assessed value of ACS of the Northland was cut from $72,000,000 to $40,000,000. Kenai's portion of this was about $3.7 million. At 4.5 mils this is a revenue reduction of $16,650. The Borough Assessor said that ACS hired a professional appraiser to come up with the new value. The matter was not taken to the Board of Equalization. Assessed value adjustments of this magnitude are unusual, but it is frustrating when it happens. We are working on negotiating a new contract with the Borough for E911 services. The Borough apparently has terminated its contracts with the Cities and is no longer making payments of $12,000 per quarter to the City of Kenai. Other City's in the Borough are similarly affected. The finance department is Starting on preliminary budget preparation. I attended the PERS/TRS board meeting in Anchorage. I am basically disappointed that the Boards did not support development of a new tier at this time. At the direction of the board's, the Division of Retirement and Benefits spent a considerable amount of time and money developing two alternatives. The Tier Subcommittee recommended a hybrid plan of defined contribution and defined benefit that would produce financial benefits quite comparable to the existing PERS tier 3 plan but at significantly less cost. The cost of medical benefits would be reduced by sharing the cost more equitably with retiree's. I am hopeful that the legislature will take up the idea of a new tier. We had a total of 160.25 hours of booked ice, compared to 166.75 in 2003 and 160.25 in 2002. The Homer Hockey Association booked less ice this month and was the difference. As Homer's rink is brought on line next season, we will see some impact, particularly on weekends. Utility expenses remained relatively the same as last season, except water and sewer costs were slightly higher than the previous month. We have seen more games played at the rink this past November then previous months, which could explain the increased water and sewer cost. ConocoPhillips assisted with hanging banners and flags, which were relocated to an area less susceptible to vandalism. The second zamboni has been placed in operation and has been working fine. The Kenai Peninsula Hockey Association is coordinating a large tournament at the end of December and also one for the Peninsula Winter Games at the end of january. A Land & Water Conservation grant was submitted to Alaska State Parks for four (4) soccer fields located at Sect. 36. Since property acquired or developed with LWCF funding is required to be retained and used solely for outdoor recreation, in perpetuity, only the parcel selected for soccer fields (54 acres) was included in the grant proposal. The remaining two properties were excluded. Properties receiving assistance may "not be wholly or partly converted to anything other than public outdoor recreation uses without the prior approval of the Secretary of the U.S. Department of the Interior and Director of Alaska Division of Parks & Outdoor Recreation. Such approval will be given only if other property and facilities of at least equal fair market value and of reasonably equivalent usefulness, quality and location is substituted." If grant request were approved, the City's share would be $223,306.74. Since the cost of restrooms and concession building were very high, these were left out of the funding request and could eventually be phased into the project as needed. Boys and Girls Club requested a fee increase for activities at the Recreation Center. These were reviewed by administration and will go to the Parks & Recreation Commission at their January 6m meeting as well. Among the changes is the offering of monthly and annual passes and corporate membership rates. The draft report is supposed to be ready for in-house review by December 15, and the repo is scheduled for completion in March 2005. ~ - New Well House 4: Kraxberger Drilling and Jeff Coble have completed the flow testing of the wells. It ~ooks like we will be able to get plenty of water with little draw down. West Coast Filt~m has submittt~l a proposal for water treatment, but we am still waiting on one from Fiitronics. I have submitted an ADEC loan questionnaire (not binding) for treatment plants at eac~ well house. Stmetlicjhts: Kachemak Electric is stocking our conex with North Coast Electric parts and supplies. Wastewater Facility Plan; GeoNorth completed our GIS for our sewer system as part of this project. Wetlands Protection - S. Spruce Project:. We only have some sign work to do on this project which is funded with a $12,000 U.S. Fish & Wildlif~ matting grant. The project is to prot®et the wetlands next to S. Spruce and to encourage people to use the trail and stay off the wetlands. USFVVS is willing to give us additional money to purchase signs for this proiect. Boatine Facility Launch Ramp and Road Exit Project: We have received the $350,000 grant from the stato for adding two new launch ramps. Nelson is working on the design. We have a copy of the appmi.~al on the Conservation Fund uplands where we want to build an exit road from this facility to Bridge Access Road. We ordered the appraisal on the city-ownc~l w~tland areas that we may want to trade for this land. I do not think them will be sufficient grant funds to construct the exit road. ClP Projects: The Council work session on December 6 was a good start on CIP list of priorities. Road, suffac~ drainage, and city parking lot improvements have been combin~ into one request, and it does include any needed underground improvements before paving. We have over $10 Million in improvements if we w~m to pave all of our gravel roads and upgrade some pav~l roads. The city can match an ADEC grant with local, federal, or state money other than the Municipal Capital Project Matching Grant Program. I have replaced Casey Reynolds as the new VISTA in city hall, filling the role of Economic Development Projects Coordinator. My primary responsibility in the position thus far has been to familiarize myself with the development strategy written by the KEDS group, and to foster this plan to the community of Kenai. The KEDS group has had several meetings, and it has been my responsibility to facilitate discussions during these meetings. The group has been giving presentations of the KEDS proposal to various groups around town, and I have been compiling a file of feedback that we receive from the community regarding the KEDS that may be incorporated within the final draft, due in February. The goal of the KEDS committee up to this point is to reach as much of the Kenai community as we can about the plan, gather comments, and take into consideration changes that may need to be implemented after the Feb. 5th public forum. Another project I'm working on is the Business Attraction task in conjunction with the Chamber of Commerce. Kenai needs an "inbox" where all interested business parties can express their interest in relocation to Kenai. We are developing a special package to deliver to these significant groups, including an attractive and highly-detailed brochure on what Kenai offers, a photo CD comprised of various images of Kenai, a welcoming cover letter, and word about the forthcoming Bus. Attr. website, which will be professional and very informative. I could still use some photos for the CD if anybody has some to offer. This month I have met the Kenai City Council, City Hall, KCVB Board, attended Chamber of Commerce luncheons, a Rotary Club lunch, and next week I will join the Peninsula Econ. Development Board. Imagine if you could spend 15 minutes writing an e-mail to the Anchorage Daily News and it resulted in $25,000 for your municipality. Your time would be worth $100,000 an hour! We don't [let a chance to earn that kind of money very often! Obviously, while there is no guarantee that by writing a letter to the editor your municipality will receive Safe Communities money, it is certainly worth the effort. The Governor and the Legislature have found that cutting municipal assistance is an "invisible cut." That is, citizens don't seem to feel the effects of the action directly. Until they hear from citizens that restoration of the Safe Communities money is important to your community, they will assume they have taken correct action. I would encourage you to take some time to craft an e-mail to the editor of the Anchorage Daily News. The story of the cancelled insurance has piqued the interest of the press and has gotten attention here in Juneau and statewide. Now is a perfect chance to keep the momentum going. The Governor will unroll his budget in Anchorage next week. It wouldn't hurt to get elders and other respected leaders in your community to write as well. According to the newspaper's rules, letters may not be longer than 225 words -- as a rule, shorter letters are better letters. Your letter must include the writer's address and day phone number for verification (not to be published). So grab a cup of coffee or tea this morning, and simply tell your story about how life in your community has changed since the Safe Communities money has been eliminated. Talk about services you've lost, taxes you've raised, and any troubles you may be having making ends meet at the municipality (in 225 words or less!). I want to reassure you that this does not negatively impact the financial stability of the pool, but rather is an indicator of the plight many of our small sister cities are having with the lack of state-shared revenues. Increased PERS/TRS costs, the cost of fuel, inflation, and other costs have created a situation that makes delivering services and paying the bills a real struggle for many members. Without state-shared monies to pledge to cover the deposit contribution, the pool is unwilling to take the risk of loss from entities that are unable to contribute thier share. I feel the press we are getting is an excellent opportunity to call attention to the dire financial circumstances Alaska's local governments are facing. With this attention, perhaps we will see some positive action from the State in some form of financial aid. I've attached a link to today's stow in the Anchorage Daily News for those who are interested. The story originated in the Juneau Empire and the Associated Press picked it up. Since then, stories have also run in the the Fairbanks Daily News Miner, the Ketchikan Daily News, and has aired on Alaska Public Radio Network's Alaska News Nightly that i'm aware of. Other stories may be in the works. (Let me know if you see or hear one in your local media.) We have had cancellations like this in the past, and in my experience cancelled members are often made current and join again. But you need to be cautious about cancellations, as the Workers' Comp. Division will likely be looking hard at those communities that go bare, particularly with the press this is getting. There are fines for those employers who do not provide the requisite coverage. This is one reason I've refused to give the press the names of those members who are having difficulties. Let's cross our fingers and hope that the Governor and the Legislature see what the lack of a long-term fiscal plan is doing to our communities. As you probably know, the Airport Commission has seat assignments and the vacant seat is for a "lessee" of the airport. A few months ago, it was suggested one of the current members who was appointed to an "at-large" seat, move from that seat to the "lessee" seat. A good idea, but a minor problem exists in that there is no formal authorization of the sublease from the council as required by the lease. So, at this point, it is my understandm§ the lessee has been notified of the need for the council authorization for the sublease and we are awaiting the paperwork from the lessee to take the appropriate steps required. Until the authorization is made, it would be inappropriate to make any changes to the seat arrangement on the Commission. Hold fight -- when the sublease is formalized, I'll forward your applications to council again with a memorandum of explanation. We are anmous to have the seat filled too. Thanks for your interest!
