OPL NION NO.
Upon my recoamendation, the City council deferred action
on a proposal made by a W. Conway to deliver gravel at $1.90 per yard
to Kemai•s streets during the winter months. At the present tine, the
City of Kenai has an existing contract which provides for delivery of
gravel on an as -headed basis for $1.75 per yard. This contract is com-
posed of the specifications for the bids, the Notice to Proceed and
the aaknoaledgment of the Notice to Proceed. (For reference, for the
purposes of this opiuion, see copies attached to the original).
The proposal to deliver gravel in winter raises the
question of whether or not it was intended to gravel City streets
during the winter. Reference to the enclosed bid specifications does
not rev -,al any emotion of a requirement to deliver gravel during the
wiiater rAm froaning canditio-as usually hinder excavation aetivides.
Reference to the contract indicates the Notice to Proceed,
modifies the conditions of the bid by specifying that gravel is to be
utilised on an as needed basis. This qualification could only be infer-
red from the bid regeest and bid tons furnished for responding to the
request.
The bidder commented to deliver pursuant to the contract
at time arranged by Mt. Janes Hollingsworth, who man acting for the
City, as stated in too Notice to Proceed. The Council at the meeting
of 22 November 1%1 was advised that all deliveries were accomplished
at the request of Mr. Hollingsworth.
The matter of need for gravel on the City streets is
cmplicatod by reaama of the fact that a decision has cover been made
on Aich of the streets within the limits of the City are entitled to
maintenance or snow removal nor have priorities for maintenance and
asov removal been established. In order to clarify the satire road main-
teaasce situation in the City, there should be a designation of streets
or rondo entitled to wintennae and the priority Which such designated
road or Money is entitled to have. When such designations and prior-
ities era aecampliahed, then the City would be able to estimate its
total growl needs.
The existing contractual situation apparently was predi-
cated upon delivery as needed and until the entire amount of graved had
been purchased. There were no reservations about the time of delivery,
affect of weather ul m operations, or any of the other contingencies
which might arise in winter operation on the building or maintenance
of roads.
It is possible that the City might demand further per-
form=* during the winter which might be deemed a breach of contract
if the contraarr was usable to perform. However, in via of the eir-
oummotenees involved, it is doubtful that a court would order perfor-

dance of such a contract in vine of the factual situation existing is
