There were no objections. SO ORDERED. ITEM 5: PERSONS SCHEDULED TO BE HEARD -- None ITEM 6: OLD BUSINESS 6-a. Discussion/Recommendation -- Dip Net Report Director Frates referred to Administration's recommendations listed in the dip net report and reviewed the Parks 8v Recreation Commission's recommendations from its meeting of January 3, 2008 as follows: Keep recommendations one through five. Add fish cleaning stations and fines for littering Explore the possibility of making traffic to the right off South Spruce permit only. Supported the increase in the camping/parking fee to $15. Commissioner comments included: Make sure fish waste is deposited into dumpster or fish waste containers. Give the rules to media outlets to distribute in their publications. • Make rules available to the Chamber Visitor's Guide, Anchorage Daily News and Alaska Department of Fish and Game Office. YTEM 7: NEW BUSINESS 7-a. Discussion -- FY2009 Budget Frates reported the FY2009 budget would be similar to the FY2008 budget except for increases in fuel and salaries for additional ramp staff, noting there may be monies directed toward ramp signage. ITEM 8: REPORTS 8-a. Darectox -- Frates noted the Parks & Recreation Commission recommended money be placed in the budget for a drift boat pull-out on the lower river and requested the Harbor Commission think about goals and objectives for the February 11, 2008 meeting. 8-b. City Council Liaison -- None ITEM 9: COMMISSIONER COMMENTS/®UESTIONS Gregory encouraged City Council to support the use of two-stroke motors during July as long as possible so they could be used during the dip net fishery. I requested the Commission to be thinking about various goals to be discussed in preparation of the upcoming season and beyond. I don't think this will be accomplished in one meeting, however, below is a list for consideration. and discussion purposes. 1. Purchase and replace kiosk (information. stand). 2. Pursue Paving of parking lot.. 3. Purchase & replace facility hoses. 4. Replace culvert along road entrance. 5. Install new ramp signage (loading /unloading signs).. 6. Explore use of ramp attendants during dip net season. 7. Complete needed repairs to floats. 8. Replace facility window. 9~ Work jointly with the Kenai Watershed Forum far the planning and eanstnzetion of a viewing platfarm. 1.0. Re-evaluate ramp fee discounts for seniors. 1 l_ Continue support for the bluff erosion project. 12. Continue support far a drift boat pullout in the Tower Kenai River. 13. Protect and maintain habitat values and biolagical productivity along coastal area wsth jurisdiction. 14. Rick Koch City Manager Station No. 2 and Station No. 3 B-1 January 2008 INSTRUCTIONS TO BIDDERS STATION NO. 2 AND STATION NO. 3 BOAT DOCKS, PARKING/BOAT STORAGE AREAS, OFFICES, AND CRANES KENAI BOATING FACILITY I. BID PROPOSALS: This bid is for Station No. 2 and Station No. 3 and Boat Storage Area. All bids must be made on the Bid Proposal Forms furnished by the City (attached hereto), must be properly executed as provided thereon, and be addressed and delivered to the office of the Public Works Manager, City of Kenai, 210 Fidalgo Avenue, Kenai, Alaska, 99611-7794, no later than 2:00 PM, prevailing local time on February 13, 2008. Bids may also be mailed to the Public Works Manager, City of Kenai, 210 Fidalgo Avenue, Kenai, Alaska, 99611-7794, but must be received at the office of the Public Works Manager no later than 2:00 PM, February 13, 2008. REVISION/WITHDRAWAL OF BID PROPOSAL: A Bidder may withdraw or revise a bid proposal after it has been deposited in the office of the Public Works Manager, 210 Fidalgo Avenue, Kenai, Alaska, 99611- 7794, provided: A. The Bidder submits a written request for return of his bid proposal. (The request must be signed by the Bidder, or a duly authorized agent or officer of the Bidder, and notarized.) B. The City is able to clearly identify the Bidder's sealed bid envelope by reading the Bidder's name on the outside. No bid envelope will be opened for Bidder identification or any other reason prior to the time set for formal bid opening. C. The withdrawal or revision is completed prior to the time set for opening of the bids. No telegraphic or faxed bid revisions or withdrawals will be accepted. Ilo. PRE-BID CONFERENCE: There will not be a pre-bid conference. Bidders can contact the Kenai Public Works Department for information and an inspection tour of the boating facility and City Dock. V. BIDDER QUALIFICATIONS: In order to submit a bid proposal, a Bidder must be able to demonstrate that he is qualified and authorized to conduct business in the State of Alaska and as set forth in the Lease Agreement. Each successful Bidder is required to submit a Lessee's Questionnaire and execute a lease agreement, a copy of which is attached. VI. MINIMUM ACCEPTABLE BID: The following will be the minimum acceptable base bid: Lease Station No. 2 (±1200 s.f.) and Lease Station No. 3 (+l- 1344 s.f.) _ $40,000/year Boat Storage No. 2 and Boat Storage No. 3 = $600/month Instructions to Bidders C-2 Station No. 2 and Station No. 3 VII. DURATION OF LEASES: The duration of the (ease for Station No. 2 and Station No. 3 will be from May 15, 2008 to September 30, 2011. The duration of the lease for the Boat Storage Area will be continuous each month from June 1, 2008 to September 30, 2011. By mutual agreement, the lease may be extended for a period of up to two years. At the end of the lease period or the extended lease period, all equipment and materials including any fence has to be removed and the area completely cleaned. VIII. BID DEPOSIT SUBMITTED AND RETURNED: All bid proposals must be accompanied by a certified check or cashier's check on a solvent financial institution doing business within the United States of America, payable to the City of Kenai, in the amount of $500.00 as a Bid Deposit. The City reserves the right to cash such check and hold the proceeds thereof pending the award of this lease. Bid deposits submitted by unsuccessful Bidders will be returned to them as soon as possible AFTER the agreement has been signed by the successful Bidder and the City, or if all bids are rejected, all bid deposits will be returned. The successful Bidder may deduct his $500.00 bid deposit from his first payment to the City of Kenai. IX. INDEMNIFICATION AND INSURANCE REQUIRED: The successful Bidder will be required to have the indemnification and insurance as listed in the attached Lease of Boat Docks and Parking Areas at the Kenai Boating Facility. X, REJECTION OF BID PROPOSALS Bid proposals may be rejected under any of the following conditions: A. If they show any alterations, erasures, irregularities of any kind or additions not called for; if they are conditional or incomplete; or if they fail to comply with any of the requisite conditions. B. If the Bidder is in arrears in any payments owing to the City or is in default of any obligation to the City; or is a defaulter as surety or otherwise upon any obligation to the City; or has failed to perform faithfully and diligently any previous contract with the City. C. If the Bidder fails to demonstrate that he has the ability to perform under Item V (Bidder Qualifications) above. Instructions to Bidders G3 Station No. 2 and Station No. 3 In addition, the City reserves the right to reject any or all bid proposals and waive any defects when in its opinion such rejection or waiver will be in the best interest of the City. The right is reserved by the City to reschedule the bid opening or re- advertise for bid proposals if such action is desired by the City. XI. TIE BIDS: In the event of a tie bid by qualified Bidders, the tie will be broken by awarding the agreement to the Bidder who has demonstrated the most experience in the operation of a similar type of facility as determined by a comparison of the aggregate years of verified experience. This decision will be made by the City of Kenai. XII. LEASE AWARD: The lease award, if made, will be made by the City Manager, or his official designee, for the Kenai City Council A. The Bidder must be capable of performing a!! of the terms and conditions of the contract being offered. The City may request the Bidder to furnish additional information, including financial information, to determine if the Bidder is qualified. B. In the case of any discrepancy between the words and figures in the Bid Proposal, the words shall govern. C. The Lease award, if made, will be to whoever the City of Kenai determines will be in the best interest of the City and the highest responsive qualified Bidder based upon the following: •:• The highest bid exceeding the minimum yearly base bid for Station No. 2 and Station No. 3 of $40,000. :• The award will be made to the highest responsive and responsible bidder. D. The Boat Storage monthly bid will only be considered if the highest Station bids are a tie. E. The conformity of the Bidder to all of the terms, conditions, and prerequisites set forth in the bid documents. XIII. PUBLIC INFORMATION: All bid proposals, including any and all documents and/or statements submitted Instructions to Bidders C-4 Station No. 2 and Station No. 3 with the Bid Proposal, become the property of the City when received by the City. Upon the opening of the bids by the City, all such information submitted with the Bid Proposals becomes public information. XIV. LOCATION AND SIZE OF THE DOCK AND PARKING AREA: The Kenai Boating Facility is boated on the Kenai River at the end of Boat Launch Road, off of the Kenai Bridge Access Road. Boat Launch Road is south of Beaver Loop Road. The Dock is approximately 36' x 170'. The approach trestle is approximately 16' x 200'. Lease Station No. 2 is approximately ±1200 square feet. Lease Station No. 3 is approximately ± 1344 square feet. See attached drawings. The assigned parking area for Lease Station No. 2 and No. 3 is approximately 50' x 50' each. The boat storage area for each station is approximately 120' x 120'. The lessee is responsible for payment of the full monthly amount for the duration of the lease. The lessee is responsible for any snow removal to access this area during the winter months. The City will physically mark the Dock and Parking Lot Lease Areas and the Boat Storage Area, but it will be the lessee's responsibility to physically barricade or close off their own area(s) to keep others from using it. The lessee's barricades or other items will have to be inside the lessee's designated area. The City will not be responsible for people tying up to the lessee's dock face or entering their assigned lease areas. XVI. WHAT IS INCLUDED IN THE LEASING OF STATIONS NO. 2 and No. 3: The Bidder agrees that in submitting the bid, it's understood that the facilities provided. are the dock areas, with cranes, parking areas, and office areas. All other items of the Kenai Boating Facility are available as they are to the General Instructions to Bidders C-5 Station No. 2 and Station No. 3 Public at the same rates and under the same rules and regulations as the Public. Weight Limits: The dock and trestle have a weight limit of 12 tons/axle and a gross limit of 15 tons. There is also a storage limit of 250 Ibs/sf maximum. Parking Area: The lessee of Stations No. 2 and 3 will have an area of approximately 50' x 50' for each station designated for their use. The approximate location for these assigned areas are shown on the plans. The City will locate these areas in the field but it will be the lessee's responsibility to physically barricade or close off their own area to keep others from using it. The lessee's barricades or other items will have to be inside the lessee's designated area. The assigned Parking Areas can be used for whatever the lessee wants that is in conformance with the contract documents including the sample lease agreement (Pages G: 1-13) and the Kenai Municipal Code. Fuel or hazardous waste cannot be stored in any lease area. Overnight camping is not allowed at the Kenai Boating Facility including the (ease areas. Nothing illegal can be performed on the area. This Parking Area lease starts May 15, 2008 and ends September 30, 2011, but may be extended by mutual agreement. Boat Storage Area: The lessee will have an area of approximately 120' x 120' for boat storage. Only those bidding on Stations No. 2 & 3 can bid on this Boat Storage Area. This area is presently leased until May 31, 2008, and the present tenant owns the fence and is responsible for all items in this area. This bid only includes the use of this area, not the fence or anything else. Fuel or hazardous waste cannot be stored in any lease area. Overnight camping is not allowed at the Kenai Boating Facility including the lease areas. This Boat Storage Area (ease starts June 1, 2008 and ends September 30, 2011, but may be extended by mutual agreement. Electrical Power: Electrical power, including 3-phase power, is available at the well house. See enclosed drawings. If the lessee chooses to use this power the lessee will provide their own meter and make arrangements with Homer Electric Association to hook them up and to pay for the power. If many large freezers are to be used the Bidder may want to contact Homer Electric Association to make the necessary inquiries prior to bidding. The City will not pay for any costs associated with electrical power to the leased parking areas. All electrical work will have to comply with all applicable electrical codes -local, State, and Federal. The City will provide a limited amount of power on the dock. Lessee's Crane: The City of Kenai has a crane at each station for the lessees to use. The electrical power, maintenance, and repair for this crane is provided by the City. The lessees will be required to provide their own QUALIFIED operator and to provide their own insurance for the operation of the crane in their lease area. The lessees will hold the City harmless for any operational errors or Instructions to Bidders C-6 Station No. 2 and Station No. 3 accidents that result from operating their crane. The specifications for the provided crane is as follows: 40' Straight Boom 10,000 Ibs at 10' radius & 2,000 Ibs at 40' radius 20 HP motor (230/460 V 30) Continuous Rotation Planetary Winch Internal Power Pack on Pedestal Lessees can also use the City's crane that is permanently located at Station No. 1 on a first come, first serve basis. The rate for the use of the City's crane is set by the City at a price per pound and the poundage does not go towards meeting their yearly base bid. In other words, the lessee has to pay the yearly base bid price for their station plus the price. per pound for fish or other wharfage over the City's station at the rate posted on the City's then current Harbor Rate Schedule. Office Space: Two office spaces approximately 8' x 10' in area each are available above the City storage van for use by the lessee. Phone and power has been wired to the office. Lessees are responsible for phone hookups and any other arrangements necessary. The upstream office space will be assigned to Space No. 2. The downstream office space will be assigned to Space No. 3. Water: The lessee will have at their disposal a fresh water wash down system at their station. This will consist of a 50-foot hose with base reel, valve, and. nozzle. It will be the lessee's responsibility to properly operate and maintain this system. The lessee will not be charged for normal water use from this system. However, the lessee agrees not to leave the water running continually and properly safeguard the use of our water resource. Tenders: There are no restrictions concerning the unloading of tenders. However, the lessee must follow the contract documents and the lease agreement. The lessee cannot encroach on the areas outside of his lease without getting the permission of his neighbor. Do not block the dock face of the person who is operating next to you! Lighting: There is plenty of lighting on the dock and trestle. There is not area- wide lighting for the parking lot. GENERAL CONTRACT INFORMATION: A. The City of Kenai is offering an opportunity to do business at the Kenai Boating Facility and does not in any way guarantee a profit for the operation of the successful Bidder. B. The City may require of any Bidder, other than sole proprietors, signed surety guarantees of all principals, agents, Directors, Stockholders, and/or officers of the successful bidding entity. C. Failure of the lessee to make the yearly payments as scheduled under XIV, will be grounds for termination of the lease. D. Lessee will be required to follow all Federal and State Rules and Regulations including OSHA requirements and will hold the City harmless for violations that they receive. The Lessee will be responsible for their own Health and Safety Program including training and certification. XIX. EXECUTION OF LEASE: A. Execution of Lease -The Bidder must sign and return the agreement and the questionnaire within fifteen (15) calendar days after they have received it from the City. B. Failure to Execute Lease - If the Bidder fails to execute and return the agreement and questionnaire within fifteen (15) calendar days, the City may cancel or annul the award. Uses Not Contemplated Prohibited: Solicitation or donations or the promotion or operation of any part or kind of business or commercial enterprise, other than as specifically set forth herein, upon, in or above the Kenai Boating Facility, without the written consent of the City is prohibited. 4. Boat Storage Areas No. 2 & No. 3: The lessee will have an area of approximately 120' x 120' for boat storage for each of the two stations. This area is presently leased until May 31, 2008, and the present tenant owns the fence and is responsible for all items in this area. This bid only includes the use of this area, not the fence or anything else. Fuel or hazardous waste cannot be stored in any lease area. Overnight camping is not allowed at the Kenai Boating Facility including the lease areas. This Boat Storage Area lease starts June 1, 2008 and ends September 30, 2011, but may be extended by mutual agreement. 7. Office Space: Two office spaces approximately 8' x 10' in area is available above the City storage van for use by the lessee. Phone and power has been wired to the office. Lessees are responsible for phone hookups and any other arrangements necessary. The upstream office space will be assigned to Space No. 2, downstream to No. 3. 8. Water Wash Down: The City agrees to provide a fresh water wash down system at the station, consisting of a 50-foot hose with base reel, valve, and nozzle. Lessee agrees to properly operate and maintain this system. Lessee shall not be charged for normal water use from this system. However, lessee agrees not to leave the water running continually and properly safeguard the use of water resources. 9. Fish Ticket Disclosure: In the event of a dispute as to total poundage of fish unloaded dockside by the lessee over the lease term, within 10 days of written notification from the City, lessee agrees to request pursuant to AS 16.05.815 (a) Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-3 (5), a copy of the Alaska Department of Fish and Game records pertaining to fish tickets submitted by the lessee for the lease location during the term of the Lease. Lessee further agrees to forward copies of the records to the City of Kenai within 10 days of receipt of the records. 10. Totes: Lessee agrees that in the event of a dispute concerning fish weights, for the purposes of computing fish weights a standard 2' deep x 3'10" x 3'6" tote conclusively contains 1000 pounds of fish. 11.Venue: Venue for any dispute arising out of this lease shall be in the State of Alaska, Third Judicial District at Kenai. 12.Assignment or Subletting: Lessee with City's prior written consent, which will not be unreasonably denied, may assign, in whole or in part, its rights as Lessee hereunder. Any assignee of part or all of the leased premises shall assume the duties and obligations or the Lessee as to such part or all of the leased premises. No such assignment, however, will discharge Lessee from its duties and obligations hereunder. 13.Costs and Expenses: Costs and expenses incident to this lease, including but not limited to, recording costs shall be paid by Lessee. 14.Treatment of Premise: The Lessee agrees to keep the premises clean and in good order at its own expense, allowing no damage, waste, nor destruction thereof, nor removing any material therefrom, without written permission of the City. At the expiration of the term fixed, or any sooner determination of the Lease, the Lessee will peaceably and quietly quit and surrender the premises to the City. 15. Payment of Rent: Checks, bank drafts, or postal money orders sha(I be made payable to the City of Kenai and delivered to the City Administration Building, Kenai, Alaska. 16.Construction Approval and Standards: Building construction shall be neat and presentable and compatible with its uses and surroundings. The cost of any additional improvements to the (ease space shall be at the Lessee's expense. All construction shall be done in a manner that will not damage the facility in any way after it is removed. All construction shall be approved in writing by the City of Kenai prior to commencement. 17. Liquidated Damages: Lessee, having above-acknowledged the importance of allowing re-entry of the City in the event of default and here acknowledging that it would be difficult if not impossible to accurately determine damages for lessee's Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-4 failure to timely quit the premises, accordingly lessee agrees to pay the City liquidated damages in the amount of $500.00 per day for every day lessee fails to quit the premises following service of a notice to quit upon lessee. 18. Lease Utilization: Leased space shall be utilized for purposes within the scope of the application (made a part of the Lease and attached hereto} the terms of the Lease, and in conformity with the ordinances of the City and Borough. Utilization or development for other than the allowed uses shall constitute a violation of the Lease and subject the Lease to cancellation at any time. 19.Condition of Premises: The premises demised herein are unimproved and are leased on an "as is, where is" basis unless otherwise indicated in this lease. 20.Offer to Lease Acceptance: The offer to lease is made subject to applicable laws and regulations of City, and may be withdrawn without notice at any time after two (2) days from submission thereof, unless within such two (2) days the Lessee executes and returns the lease to the City. 21. Underlying Title: The interests transferred, or conveyed by this Lease are subject to any and all of the covenants, terms, or conditions contained in the instruments conveying title or other interests to the City. 22. Right of Inspection: City shall have the right at all reasonable times to enter the premises, or any part thereof, for the purposes of inspection. 23.Indemnification and Insurance: Lessee covenants to save the City harmless from all actions, suits, liabilities or damages resulting from or arising out of any acts of commission or omission by the lessee, his agents, employees, customers, invites, or arising from or out of the Lessee's occupation or use of the premises demised or equipment use, or privileges granted, and to pay all costs connected therewith. Lessee, at the expense of Lessee, shall keep in force during the term of this agreement, insurance issued by responsible insurance companies authorized to do business in Alaska, in forms, kinds and amounts as determined and directed by the City for the protection of City and/or Lessee. Insurance requirement hereunder shall be subject to the sole determination of the City. Such insurance shall be by a company/corporation currently rated "A--" or better by A.M. Best. Said insurance may include, but need not be limited to insurance coverage's commonly known as, or similar in kind to, commercial general including broad- form property damage, workmen's compensation, and such other insurance coverage as deemed required in the sole determination of the City. All Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-5 policies or endorsements thereto shall in all cases where possible name City as Additional Named Insured thereunder and shall contain a waiver of subrogation against the City. Upon approval by City of all insurance required, in the forms, kinds and amounts directed to be procured, Lessee shall deliver all policy originals or duplicate originals and endorsements thereto to the City for incorporation within this agreement as attachment thereto. In any event, Lessee is not to commence to exercise any of the rights and privileges granted under this agreement until such time as all insurance directed and required to be furnished by Lessee is in full force and effect. Lessee expressly understands and agrees that any insurance protection furnished by Lessee hereunder shall in no way limit its responsibility to indemnify and save harmless Lessor under the provisions of this agreement. No policy of insurance shall be canceled or amended with respect to the City without thirty (30) days written notice by registered or certified mail to City of the insurance company. The Lessee shall secure and maintain such insurance as will protect him and the City as a named insured from claims for bodily injury, death, or property damage. The Lessee shall also secure and maintain Worker's Compensation Insurance. The minimum limits of coverage shall be: (A) Alaska Worker's Compensation, and (A) Statutory (B) Employer's Liability Insurance (B) $500,000 per occurrence Comprehensive General Liability and Auto Liability with included $1,000,000 Operations, Contractual Liability, and Combined Single Limit Owned, Hired, and Non-owned Vehicles The Lessee shall secure certificate of insurance which shall be filed with this Lease as an Attachment and this certificate shall provide for not less than thirty days written notice to the City of cancellation or substantial change in policy conditions or coverage. Notwithstanding anything to the contrary, if Lessee fails or neglects to secure required insurance or if said policy or policies are terminated, altered, or changed in any manner not acceptable to the City, then and in that event this lease may be canceled and terminated without penalty, as provided herein. 24. Lease Subordinate to Financing Requirements: Lessee agrees that City may modify this Lease to meet revised requirements for Federal or State grants, or to conform to the requirements of any revenue bond covenant. However, the Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-6 modification shall not act to reduce the rights or privileges granted the Lessee by this Lease, nor act to cause the Lessee financial Toss. 25. Surrender on Termination: Lessee shall, on the last day of the term of this Lease or upon any earlier termination of this Lease, surrender and deliver upon the premises into the possession and use of City without fraud or delay in good order, condition, and repair, except for reasonable wear and tear since the last necessary repair, replacement, restoration or renewal, free and clear of all lettings and occupancies unless expressly permitted by the City in writing, and free and clear of all liens and encumbrances other than those created by and for loans to City. Upon the end of the term of this Lease or any earlier termination thereof, title to the buildings, improvements and building equipment shall automatically vest in City without requirement of any deed, conveyance, or bil( of sale thereon. However, if City should require any such document in confirmation hereof, Lessee shall execute, acknowledge, and deliver the same and shall pay any charge, tax, and fee asserted or imposed by any and all governmental units in connection herewith. 26. Rules: Lessee shall observe, obey, and comply with all applicable rules, etc., of the State or Federal governments. 27. Rioht to Enjoyment and Peaceable Possession: City hereby agrees and covenants that the Lessee, upon paying rent and performing other covenants, terms, and conditions of this Lease, shall have the right to quietly and peacefully hold, use, occupy, and enjoy the said leased premises, except that any inconvenience caused by public works projects in or about the leasehold premises shall not be construed as a denial of the right of quiet or peaceable possession. 28. Lessee to Pay Taxes: Lessee shall pay alt lawful taxes and assessments which, during the term hereof may become a lien upon or which may be levied by the State, Borough, City, or any other tax levying body, upon any taxable possessory right which Lessee may have in or to the property by reason of its use or occupancy or the terms of this lease, provided however, that nothing herein contained shall prevent Lessee from contesting any increase in such tax or assessment through procedures outlined in State statutes. 29. Special Services: Lessee agrees to pay City a reasonable charge for any special services or facilities required by Lessee in writing, which services or facilities are not provided for herein. Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-7 30. No Partnership or Joint Venture Created: It is expressly understood that the City shall not be construed or held to be a partner or joint venturer of Lessee in the conduct of business on the demised premises; and it is expressly understood and agreed that the relationship between the parties hereto is, and shall at all times remain landlord and tenant. 31.Nondiscrimination: The Lessee, for himself, his heirs, personal representatives, successors in interest, and assigns, as a part of the consideration hereof, does hereby covenant and agree as a covenant running with the land, that: (a) No person on the grounds of race, color, or national origin shall be excluded from participation in, denied the benefits of, or be otherwise subjected to discrimination in the use of said facilities; (b) In the construction of any improvements on, over or under such land and the furnishing of services thereon, no person on the grounds of race, color, or national origin shall be excluded from participation, denied the benefits of, or otherwise be subjected to discrimination; (c) The Lessee shall use the premises in compliance with all other requirements imposed by or pursuant to Title 49, Code of Federal Regulations, Department of transportation, Subtitle A, Office of the Secretary, Part 21, Nondiscrimination in Federally-assisted Programs of the Department of Transportation -Effectuation of Title VI of the Civil Rights Act of 1964, and as said Regulations may be amended; (d) In the event facilities are constructed, maintained, or otherwise operated on the said property described in this Lease, for a purpose involving the provision of similar services or benefits, the Lessee shall maintain and operate such facilities and services in compliance with all other requirements imposed pursuant to Title 49, Code of Federal Regulations, Department of Transportation, Subtitle A, Office of the Secretary, Part 21, Nondiscrimination in Federally-assisted Programs of the Department of Transportation -Effectuation of Title VI of the Civil Rights Act of 1964, and as said Regulations may be amended. 32. Partial Invalidity: If any term, provision, condition, or part of this Lease is declared by a court of competent jurisdiction to be invalid or unconstitutional, the remaining terms, provisions, conditions, or parts shall continue in full force and effect as though such declaration was not made. 33. Modifications: No lease may be modified orally or in any manner other than by an agreement in writing, signed by all parties in interest or their successors in interest. Any such modification shall require City Manager's approval. Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-8 34. Warranty: The City does not warrant that the property that is the subject of this Lease is suited for the use authorized herein, and no guarantee is given or implied that it shall be profitable or suitable to employ the property to such use. 35.Compliance With Laws: Lessee shall comply with all applicable laws, ordinances, and regulations of public authorities now or hereafter in any manner affecting the leased premises or the sidewalks, alleys, streets, and ways adjacent thereto or any buildings, structures, fixtures and improvements or the use thereof, whether or not any such laws, ordinances, and regulations which may be hereafter enacted involve a change of policy on the part of the governmental body enacting the same. Lessee agrees to hold City financially harmless: (a) From the consequences of any violation of such laws, ordinances, and/or regulations; and (b) From al! claims for damages on account of injuries, death, or property damage resulting from such violation. (c) Lessee further agrees it will not permit any unlawful occupation, business, or trade to be conducted on said premises or any use to be made thereof contrary to any law, ordinance, or regulation as aforesaid with respect thereto, including zoning ordinances, rules and regulations. 36. Care of Premises: Lessee, at its own cost and expense shall keep the leased premises, all improvements which at any time during the term of this Lease may be situated thereon, and any and all appurtenances thereunto belonging, in good condition and repair during the entire term of this Lease. 37. Lessee's Obligation to Remove Liens: Lessee will not permit any liens including, but not limited to, mechanics', laborers', or material-men's liens obtainable or available under the then existing laws, to stand against the leased premises or improvements for any labor or material furnished to Lessee or claimed to have been furnished to Lessee or to the Lessee's agents, contractors, or sub-lessees, in connection with work of any character performed or claimed to have been performed on said premises or improvements by or at the direction or sufferance of Lessee, provided, however, Lessee shall have the right to provide a bond as contemplated by Alaska law and contest the validity or amount of any such lien or claimed lien. On final determination of such lien or such claim for lien, Lessee will immediately pay any judgment rendered with all proper costs and charges and shall have such lien released or judgment satisfied at Lessee's own expense. Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-9 38.Condemnation: In the event the leased premises or any part thereof shall be condemned and taken for a public or aquasi-public use, then upon payment of any award or compensation arising from such condemnation, there shall be such division of the proceeds, such abatement in rent payable during the term or any extension of the term hereof, and such other adjustments as the parties may agree upon as being just and equitable under all the circumstances. If the City and Lessee are unable to agree within thirty (30) days after such an award has been paid into Court, upon what division, annual abatement in rent, and other adjustments are just and equitable, the dispute shall be determined by arbitration. 39.Surrender: At the expiration of the term fixed or any sooner termination of the Lease, the Lessee will peaceably and quietly quit and surrender the premises to the City. 40. Protection Of Subtenants: To protect the position of any subtenant(s) hereafter properly obtaining any interests in the leasehold estate granted Lessee hereunder, City agrees that in the event of the cancellation, termination, expiration, or surrender of this Lease (the ground lease}, the City will accept the Subtenant, its successors and assigns, as its lessee for a period equal to the full un-elapsed portion of the term of the sublease, including any extensions or renewals thereof, not exceeding the term of this Lease, upon the same covenants and conditions therein contained, to the extent that said covenants and conditions are not inconsistent with any of the terms and conditions of this Lease, provided such subtenant shall make full and complete attornment to the City for the balance of the term of such sublease so as to establish direct privity of estate and contract between the City and the subtenant with the same force and effect as though such sublease was originally made directly between the City and such subtenant; and further provided such subtenant agrees to comply with all the provisions of the ground lease and all the terms of any mortgage, deed of trust, or security assignment to which such leasehold estate is subject, except the payment of rent under the ground lease and the payment of any debt service under any such mortgage, deed of trust, or security assignment. 41. Successors In Interest: This Lease shall be binding upon and shall inure to the benefit of the respective successors and assigns of the parties hereto, subject to such specific limitations on assignment as are provided for herein. 42. Governing Law: This indenture of Lease shall be governed in all respects by the laws of the State of Alaska. Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-10 43. Notices: (a) Any notices required by this Lease shall be in writing and shall be deemed to be duly given only if delivered personally or mailed by certified or registered mail in a prepaid envelope addressed to the parties at the address set forth in the opening paragraph of this lease unless such address has been changed pursuant to sub-paragraph (b) hereafter, and in that case shall to the most recent address so changed. Any notice so mailed shall be deemed delivered on the date it is deposited in a U.S. general or branch post office. The City shall also mail a copy of any notice given to the Lessee, by registered or certified mail, to any leasehold lender (mortgagee, beneficiary of a deed of trust, security assignee) who shall have given the City notice of such mortgage, deed of trust, or security assignment. (b) Any such addresses may be changed by an appropriate notice in writing to all other parties affected provided such change of address is given to the other parties by the means outlined in paragraph (a) above at least fifteen (15) days prior to the giving of the particular notice in issue. 44.Entry and Re-Entry: In the event that the Lease should be terminated as herein before provided, or by summary proceedings or otherwise, or in the event that the demised (ands or any part thereof should be abandoned by the Lessee during said term, the Lessor or its agents, servants, or representatives may, immediately or any time thereafter, re-enter, and resume possession of said lands or such part thereof, and remove all persons and property therefrom, either by summary proceedings or by a suitable action or proceeding at law without being liable for any damages therefor. No re-entry by the Lessor shall be deemed an acceptance of a surrender of the Lease. 45. Written Waiver: The receipt of rent by the Lessor with knowledge of any breach of the Lease by the Lessee, or any default on the part of the Lessee in observance or performance of any of the conditions or covenants of the Lease, shall not be deemed to be a waiver of any provisions of the Lease. No failure on the part of the Lessor to enforce any covenant or provision therein contained, nor any waiver of any right thereunder by the Lessor, unless in writing, shall discharge or invalidate such covenants or provisions, or affect the right of the Lessor to enforce the same in the event of any subsequent breach or default. The receipt, by the Lessor, of any rent or any other sum of money after the termination, in any manner, of the term therein demised, or after the giving of the Lessor of any notice thereunder to effect such termination, shall not reinstate, continue, or extend the resultant term therein demised, or destroy, or in any manner impair the efficacy of any such notice of termination as may have been given thereunder by the Lessor to the Lessee prior to the receipt of any such Kenai Boating Facility Lease of Stations No. 2 and No. 3 G-11 sum of money or other consideration, unless so agreed to in writing and signed by the Lessor. 46. Expiration of Lease: Unless the Lease is renewed or sooner terminated as provided herein, the Lessee shall peaceably and quietly leave, surrender, and yield up unto the Lessor all of the leased land on or before the last day of the term of the lease. 47. Fire Protection: The Lessee will take all reasonable precautions to prevent, and take all necessary action to suppress destructive or uncontrolled fires and comply with all Taws, regulations, and rules promulgated and enforced by the City for fire protection within the area wherein the leased premises are located. 48. Mutual Cancellation: Leases in good standing may be canceled in whole or in part at any time upon mutual written agreement by Lessee and the City. 49. Unlawful Use Prohibited: Lessee shall not allow the leasehold premises to be used for an unlawful purpose. 50.Approval of Other Authorities: The issuance by the City of leases does not relieve the Lessee of responsibility of obtaining licenses or permits as may be required by duly authorized Borough, State or Federal agencies.
