WHEREAS, on May 20, 1999 the City entered into a 99-year lease with the Alaska Center for Space Technology, Inc. (Challenger Center), recorded in the Kenai Recording District at Book 0559 Page 796 through 807, for the operation of the "Challenger Learning Center"; and, WHEREAS, on October 24, 2025, the Board of Directors of the Challenger Center formally notified the City of its request to terminate the lease with the City effective November 15, 2025; and, WHEREAS, on November 5, 2025, the City authorized the City Manager to execute a lease termination effective November 15, 2025; and, WHEREAS, upon termination of the Lease, title to the building vested in the City, and the City assumed responsibility for all utilities, operating expenses, and other obligations necessary for the continued operation and preservation of the facility; and, WHEREAS, the City's assumption of natural gas, electricity, internet services, insurance, and routine building maintenance costs for the period from November 15, 2025, through June 30, 2026, is estimated to total approximately $82,950, and an appropriation is required to cover these unbudgeted expenditures; and, WHEREAS, providing for the continued operation and preservation of the former Challenger Center building is in the best interest of the City. NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF KENAI, ALASKA, AS FOLLOWS: Section 1. As Council is aware, the Challenger Learning Center provided formal notice to the City that it would cease operations and terminate its lease, which occurred on November 15, 2025. Administration has worked cooperatively with Challenger Learning Center representatives to ensure a smooth transition. Upon termination of the lease, title to the building vested in the City, and the City assumed responsibility for all utilities, insurance, routine building maintenance, and related costs necessary to preserve the facility. The City's estimated costs for the period from November 15, 2025, through June 30, 2026, are: • Electric — approximately $3,250 per month • Gas — approximately $3,300 per month • City of Kenai Water/Sewer — approximately $160 per month • Fire alarm/satellite connection — approximately $55 per month • Building Automation — approximately $1,550 annually • Internet — approximately $160 per month • Insurance — approximately $16,000 • Chairs, Tables, and Equipment — $10,000 The total estimated cost for this period is approximately $82,950, which was not included in the adopted FY26 budget. An appropriation from the General Fund balance is necessary to cover these unbudgeted expenditures. Approval of this ordinance will provide the City with the funding necessary to maintain the former Challenger Learning Center building until Council can consider options for its future use. The City Council will discuss potential uses of the facility at a Work Session scheduled for December 17, 2025. Thank you for your consideration. Page 6 Page 7 KENAI CITY OF KENAI RESOLUTION NO. 2025-70 Sponsored by: Administration A RESOLUTION AUTHORIZING A CHANGE ORDER WITH HDR ENGINEERING, INC. FOR PRELIMINARY DESIGN OF THE BLUFF STRUCTURE ACCESS PATHWAYS. WHEREAS, the City is responsible for long-term maintenance of the bluff stabilization structure; and, WHEREAS, no access path exists to get small vehicles and equipment to the maintenance pathway constructed on top of the bluff stabilization structure; and, WHEREAS, HDR Engineering, Inc. is the Designer of Record for the Bluff Stabilization Project and is familiar with the site, soils, structure and access; and, WHEREAS, HDR Engineering, Inc. can complete preliminary design services to design access paths to the bluff structure for $63,742; and, WHEREAS, preliminary design may be completed to develop cost estimates and next steps to complete the project, but designs will not be finalized until the bluff stabilizes; and, WHEREAS, it is in the best interest of the City to execute a change order with HDR Engineering, Inc. HDR is the Designer of Record for the Bluff Stabilization Project and is very familiar with the project and access needs for the City of Kenai to maintain the structure in the future. The cost for the design services is $63,742. This would produce a 30% plan set, 30% cost estimate, memo of hydraulic and hydrology and a memo on the steps to complete the design and construction. Design services will be paid for utilizing a State Grant for the bluff project. It is anticipated that the City of Kenai will construct the access path after the bluff begins to vegetate and cease major erosion. Approval of this change order is in the best interest of the City. Page 8 Page 9 KENAI CITY OF KENAI RESOLUTION NO. 2025-71 Sponsored by: Legal A RESOLUTION APPROVING A COOPERATIVE AGREEMENT BETWEEN KENAITZE/SALAMATOF TRIBALLY DESIGNATED HOUSING ENTITY, THE KENAI PENINSULA BOROUGH, AND THE CITY OF KENAI. WHEREAS, the City and Kenai Peninsula Borough (KPB) have been working with the Kenaitze/Salamatof Tribally Designated Housing Entity (TDHE) to enter into a cooperative agreement for housing projects in the City; and, WHEREAS, the TDHE is a recipient of financial assistance from the U.S. Department of Housing and Urban Development (HUD); and, WHEREAS, as a condition of funding, HUD requires the TDHE work with local governing bodies to reach a cooperative agreement regarding payment -in -lieu -of -taxes at amounts set by law; and, WHEREAS, KPB and City will split, equally, the payments by the TDHE in accordance with the agreement; and, WHEREAS, the housing projects will be used exclusively for elder and low-income housing under the terms of the agreement. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF KENAI, ALASKA: Section 1. That the City Council hereby approves the cooperative agreement between the City and the Kenaitze/Salamatof Tribally Designated Housing Entity, and authorizes the City Manager to execute an agreement substantially in the form of the accompanying agreement to this Resolution. The City and Kenai Peninsula Borough (KPB) have been working with the Kenaitze/Salamatof Tribally Designated Housing Entity (TDHE) to enter into a cooperative agreement for housing projects in the City. This agreement provides for a payment -in -lieu of taxes (PILOT) conditioned on the housing projects being used exclusively for senior (referred to as Elder Housing in the agreement) and low-income housing, which is defined as persons at or below 80 percent of the median income for the Kenai Peninsula Borough. The PILOT amounts will be paid in an amount equal to the greater of $150 per dwelling unit or ten percent (10%) of the difference between the shelter rent and the utility costs per dwelling unit, which is the maximum amount under the Native American Housing Assistance and Self Determination Act of 1996. Your consideration is appreciated. Cooperation Agreement Kenaitze/Salamatof Tribally Designated Housing Entity Elder Housing Project and Eadies Way Project This agreement is effective January 1, 2026, and entered into by and between the Kenaitze/Salamatof Tribally Designated Housing Entity (hereinafter called the "Recipient"), and the Kenai Peninsula Borough and the City of Kenai (hereinafter collectively called the "Local Governing Bodies"). In consideration of the mutual covenants hereinafter set forth, the parties do hereby agree as follows: 1. Whenever used in this agreement: a. The term "projects" shall mean the following properties developed or acquired by the Recipient with financial assistance of the United States of America, acting by and through the Secretary of the Department of Housing and Urban Development ("Government"), and under the Native American Housing Assistance and Self Determination Act of 1996 or the United States Housing Act of 1937 ("Laws"): A housing project to be constructed at 1000 Redoubt Avenue in Kenai, Alaska ("Elder Housing"), consisting of 36 units. The Elder Housing project will consist solely of improvements constructed for the project, and will not include any part of the land in the parcel on which the project will be located. The land is not included in the Elder Housing project due to the fact that the project will occupy a small portion of the 160-acre parcel and will not be subdivided as part of the housing project. • Existing property to be acquired for a housing project, located at 408, 410, and 412 Eadies Way in Kenai, Alaska ("Eadies Way"), consisting of 12 units, and inclusive of both the land and all structures thereon. b. The term "commencement date" shall mean: • For the Elder Housing project, the date on which construction of the project is substantially complete. • For the Eadies Wayproject, the later of January 1, 2026 or the date the Recipient acquires the Eadies Way property. c. The term "low-income rental or lease -purchase homeownership purposes" shall mean (1) providing housing to persons with an income at or below 80 percent of the median income for the Kenai Peninsula Borough and (2) providing housing and relocation assistance to the tenants of a property, to the extent consistent with and mandated by Government regulations and the Laws. d. The term "elder housing rental or lease -purchase homeownership purposes" shall mean providing housing to persons aged 55 years or older. e. The term "shelter rent" shall mean the total of all charges to all tenants of a project for dwelling rents, excluding all other income of such project. 2. The Recipient shall endeavor to secure funding from the Government for the cost to develop and administer the projects. The projects are located within the jurisdictional limits of the Local Governing Bodies. The obligations of the parties hereto shall apply to each such project, and the units therein, within the jurisdictional limits of the Local Governing Bodies as those jurisdictional limits are delineated on the date of this agreement and hereafter may be modified. 3. For each project, beginning on the commencement date and thereafter so long as the project continues to be used exclusively for elder housing and/or low-income rental or lease -purchase homeownership purposes, the Recipient shall make Payments in Lieu of Taxes ("PILOT") payments to support public services and facilities furnished from time to time without other cost or charge to the project. 4. For each project, beginning on the commencement date and thereafter so long as (1) the Recipient continues to make PILOT payments and (2) the project continues to be used exclusively for elder housing and/or low-income rental or lease -purchase homeownership purposes, the Local Governing Bodies shall not levy or impose any real and personal property taxes upon such projects or upon the Recipient, the Kenaitze Indian Tribe, or the Salamatof Tribe with respect thereto as required by Section 101(d) of the Native American Housing and Self Determination Act of 1996, 25 U.S.C. § 4111(d). 5. Nothing in this agreement shall be construed to express an opinion by any party as to whether the projects, or other properties used for elder housing and/or low-income rental or lease - purchase homeownership purposes, would be eligible for tax exemptions enumerated in the Kenai Peninsula Borough Code and applicable state law. 6. PILOT payments shall be made to the Local Governing Bodies annually at the time when real and personal property taxes on such projects would be paid if they were subject to taxation, in an amount equal to the greater of $150 per dwelling unit or ten percent (10%) of the difference between the shelter rent and the utility costs per dwelling unit. The allocation of each annual payment between the Local Governing Bodies shall be determined between them by mutual agreement. For each project, a representative template rental agreement and documentation of actual rents charged for each unit will be provided to the KPB Assessor on an annual basis; however, the names of occupants and any other personal identifying information may be redacted or withheld. 7. The Kenai Peninsula Borough does not levy special assessments within the City of Kenai and the parties to this agreement agree that all of the proposed projects are within the city boundaries of the City of Kenai. This agreement does not exempt the Recipient from City of Kenai special assessments benefitting the projects (the costs of which will be spread proportionately among property owners subject to the assessments, including the Recipient). 8. Notwithstanding the Recipient's agreement to make PILOT payments, the Local Governing Bodies agree that no lien against the projects or assets of the Recipient shall attach, nor shall any interest or penalties accrue or attach on account thereof, for the failure to make such PILOT payments. This clause does not apply to City of Kenai special assessments benefitting the properties. 9. For each project, beginning on the commencement date and thereafter so long as (1) the Recipient continues to make PILOT payments and (2) the project continues to be used exclusively for elder housing and/or low-income rental or lease -purchase homeownership purposes, the Local Governing Bodies, without cost or charge to the Recipient or the tenants of such projects other than PILOT payments or special assessments as described above, shall furnish or cause to be furnished to the Recipient and the tenants of such projects any and all public services, facilities, and infrastructure of the same character and to the same extent as are furnished from time to time without cost or charge to other dwellings and inhabitants within the Local Governing Bodies' jurisdictional limits. 10. If, by reason of the Local Governing Bodies' failure or refusal to furnish or cause to be furnished any and all public services, facilities, and infrastructure which it has agreed hereunder to furnish or to cause to be furnished to the Recipient or to the tenants of the projects, the Recipient incurs any expense to obtain such services or facilities, then the Recipient may deduct the amount of such expense from any PILOT payments due or to become due to the Local Governing Bodies with respect to the projects. 11. No cooperation agreement previously entered into between the Local Governing Bodies and the Recipient shall be construed to apply to the projects covered by this agreement. 12. The Recipient grants to the Local Governing Bodies a limited waiver of its sovereign immunity from suit, for the sole purpose of allowing a suit to be filed seeking enforcement of the Local Governing Bodies' rights and the Recipient's obligations under the terms of this agreement, subject to the following conditions: a. Suit must be filed in the Alaska Superior Court located in either Anchorage or Kenai, Alaska. b. The Recipient's sovereign immunity is not waived as to the Recipient's employees, Board members, or agents of the Recipient, and no personal assets of the Recipient's employees, Board members, or agents are subject to levy or execution, or other mechanisms to enforce a judgment. c. No provision of this limited waiver of sovereign immunity shall be interpreted as granting the Recipient's consent for a suit to be brought directly against the Recipient by any party other than the Local Governing Bodies, nor shall this limited waiver be construed as creating in any person or entity a third -party benefit or to otherwise authorize any person or entity not a party to the agreement to maintain a suit under the terms of this agreement. d. Nothing in this agreement permits, nor shall be construed as permitting, a waiver of the sovereign immunity of the Kenaitze Indian Tribe, the Salamatof Tribe, or their employees, officials, Council members, or agents for any purpose. e. Nothing in this agreement shall be construed as a waiver or consent to levy any judgment, lien, or encumbrance upon the funds, assets, or income of the Recipient, or real property of the Recipient other than the projects. f. Nothing in this agreement shall be construed as a waiver or consent to levy any judgment, lien, or encumbrance upon the funds, assets, income, or real property of the Kenaitze Indian Tribe or the Salamatof Tribe, and the Tribes shall not be liable for the debts or obligations of the Recipient. g. This limited waiver of sovereign immunity shall remain in effect so long as the agreement remains in effect, plus the statute of limitations period on any cause of action or claim permitted under this limited waiver. 13. This agreement shall not be abrogated, changed, or modified without the consent of both the Local Governing Bodies and the Recipient. The privileges and obligations of the parties hereunder shall remain in full force and effect with respect to each project so long as the Recipient holds title to such projects. However, if at any time the title to, or possession of, the projects is held by a public body or governmental agency, including the Government, the provisions hereto shall inure to the benefit of and may be enforced by such public body or governmental agency, including the Government. If at any time the title to, or possession of the projects is held neither by the Recipient nor by a public body or governmental agency, this agreement shall terminate. WHEREAS, the City of Kenai recognizes the positive economic and cultural impact of commercial fisheries in the Upper Cook Inlet Region; and, WHEREAS, the City supports the Upper Cook Inlet salmon fishery and City residents, families and businesses that participate in the salmon fishery along with other users of this fishery's resource; and, WHEREAS, in 2025, the East Side Setnet fishery's very limited harvest and fishing opportunities resulted in an approximate 82% loss of traditional harvest; and, WHEREAS, the dramatic loss of the fishery threatens the livelihood of the individuals, families, and businesses participating in the fishery, and jeopardizes the continued viability of the commercial fishing industry in the Upper Cook Inlet Region; and, WHEREAS, a Governor's disaster declaration creates a means for financial assistance for those involved in the fishery and could also provide assistance for science and resource management benefiting all users; and, WHEREAS, it is in the best interest of the City of Kenai to request that Governor Dunleavy proclaim an Economic Disaster in the Upper Cook Inlet Fisheries Region, and support a recovery plan that directly assists fisheries participants and benefits all users of this important natural resource. Mr. McPherson provided a project update on the Kenai Bluff Stabilization Project, reporting construction was complete, with the final barge departing on October 11, 2025; summarized details regarding the make up of the rock wall; clarified the structure was designed to prevent erosion from wave action, storm surges, river current and ice. He provided an overview of potential future slope profiles, noting erosion should be mitigated by the berm; with the installation of the berm vegetation should recover; however, erosion would continue until the vegetation was stabilized. Clarification was provided that adding fill material or using heavy equipment on the bluff was not recommended, due to risk of causing further instability; and that proactive seeding with native vegetation would be beneficial. C. SCHEDULED PUBLIC COMMENTS 1. Brandi Bell, Kenaitze Indian Tribe Transportation Manager Ms. Bell provided an overview on the Kenaitze Indian Tribe new public bus service; reporting there were four buses in service; routes were between Nikiski and Sterling; providing information on stop locations, route structure, fares, monthly passes, and hours of operation. She presented photographs and video images, noting the bus service is open to the entire community and they were interested in conversations with the City regarding adding additional stops within the City. There was discussion regarding future stop locations; parking availability at stops; door-to-door services available using ADA equipped shuttles; additional locations granted by the Kenai Peninsula Borough, including some seasonal locations; and the system was supported by the Federal Transit Administration formula funding. D. UNSCHEDULED PUBLIC COMMENTS - None. E. PUBLIC HEARINGS 1. Resolution No. 2025-67 - Authorizing the Purchase of Property Interests from the Kenai Native Association for the Wildwood Drive Rehabilitation Project and Determining that the Public Interest will not be Served by an Appraisal. All necessary licenses and permits; all lawful taxes and assessments which, during the term hereof may become a lien upon or which may be levied by the State, Borough, City, or by any other tax levying body, upon any taxable possessory right which Permittee may have in or to the Premises by reason of its use or occupancy or by reason of the terms of this Permit, provided however, that nothing herein contained shall prevent Permittee from contesting any increase in such tax or assessment through procedures provided by law. The use by the Permittee of the Premises is limited to the purpose of Truck Trailer Storage. This use is subject to City, Borough, and State laws and regulations and the reasonable administrative actions of the City for the protection and maintenance of the Premises and of adjacent and contiguous lands or facilities. Use of the Premises is subject to the following conditions: A. Permittee shall use the Premises only for truck trailer storage. B. Trailers must be stored in a manner that will not limit sight lines or create other unsafe driving conditions on adjacent right-of-ways. C. The premises shall be returned to its current condition prior to the end of the term of this Special Use Permit. This shall include the removal of any trash or debris. D. Trailers must be stored in a manner that will not impact any City snow clearing or moving activities. E. Trailers shall be stored such that there will not be oil or other hazardous fluids leaking onto the premises. F. Trailers shall be stored such that there will not be grass or vegetation growing between trailers. G. The Permittee shall follow requirements of the City Fire Marshal and allow City staff to inspect the premises if requested. H. The premises shall not be used to store junked vehicles or other salvaged vehicle or trailer parts. 5. INSURANCE. Permittee shall secure and keep in force adequate insurance, as stated below, to protect City and Permittee. Where specific limits are stated, the limits are the minimum acceptable limits. If Permittee's insurance policy contains higher limits, the City is entitled to coverage to the extent of the higher limits. A. Garage Liability or Commercial General Liability Insurance, including Premises, all operations, property damage, personal injury and death, broad -form contractual, with a per -occurrence limit of not less than $1,000,000 combined single limit. The policy must name the City as an additional insured. B. Worker's Compensation Insurance with coverage for all employees engaged in work under this Permit or at the Premises.. Permittee is further responsible to require Worker's Compensation Insurance for any subcontractor who directly or indirectly provides services to Permittee under this Permit. C. Commercial Automobile Coverage with not less than $1,000,000 combined single limit per occurrence. This insurance must cover all owned, hired, and non -owned motor vehicles the Permittee uses for snow moving and storage activities to, from, or on the Premises. The policy must name the City as an additional insured. Special Use Permit — TOTE Maritime Alaska, LLC — 2026 Truck Trailer Storage Page 2 of 6 D. All insurance required must meet the following additional requirements: i. All policies will be by a company/corporation currently rated "A-" or better by A.M. Best. Permittee shall submit to the City proof of continuous insurance coverage in the form of certificates, endorsements, or a combination thereof iii. Permittee shall request a waiver of subrogation against City from Permittee's insurer and the waiver of subrogation, where possible, shall be provided at no cost to City. iv. Provide the City with notification at least 30 days before any termination, cancellation, or material change in insurance coverage of any policy required hereunder. v. Evidence of insurance coverage must be submitted prior to the effective date of the Special Use Permit. The effective date of the insurance shall be no later than January 1, 2026. vi. This insurance shall be primary and exclusive of any other insurance carried by the City of Kenai and shall be written on an occurrence basis 6. INDEMNITY, DEFEND, AND HOLD HARMLESS AGREEMENT. The Permittee shall fully indemnify, hold harmless, and defend the City of Kenai, its officers, agents, employees, and volunteers at its own expense from and against any and all actions, damages, costs, liability, claims, losses, judgments, penalties, including reasonable Attorney's fees of or for liability for any wrongful or negligent acts, errors, or omissions of the Permittee, its officers, agents or employees, or any subcontractor under this Permit. The Permittee shall not be required to defend or indemnify the City for any claims of or liability for any wrongful or negligent act, error, or omission solely due to the independent negligence of the City. If there is a claim of or liability for the joint negligence of the Permittee and the independent negligence of the City, the indemnification and hold harmless obligation shall be apportioned on a comparative fault basis. Apportionment shall be established upon final determination of the percentage of fault. If any such determination is by settlement, the percentage of fault attributed to each party for purposes of this indemnification provision shall only be binding upon the parties included in the settlement agreement. "Permittee" and "City" as used in this article include the employees, agents, officers, directors, and other contractors who are directly responsible, respectively, for each party. The term "independent negligence of the City" is negligence other than in the City's selection, administration, monitoring, or controlling of the Permittee. 7. PERMITTEE'S OBLIGATION TO PREVENT AND REMOVE LIENS. Permittee will not permit any liens, including mechanic's, laborer's, construction, supplier's, mining, or any other liens obtainable or available under existing law, to stand against the Premises or improvements on the Premises for any labor or material furnished to Permittee or to any related entity or claimed entity. Upon the final determination of the lien or claim for lien, the Permittee will immediately pay any judgment rendered with all proper costs and charges and shall have such lien released or judgment satisfied at Permittee's own expense. 8. PERSONALTY. Permittee shall remove any and all personal property, including all vehicles, from the Premises at the termination of this Permit. Personal property placed or used upon the Premises and not removed upon termination of this Permit will be removed and/or impounded by the City. Property removed or impounded by the City may be redeemed by the owner thereof only upon the payment to the City of the costs of removal plus a storage fee of $25 per day. The City of Kenai is not responsible for any damage to or theft of any personalty of Permittee or its customers. 9. FORBEARANCE. Failure to insist upon a strict compliance with the terms, conditions, and/or any requirement herein contained, or referred to, shall not constitute or be construed as a waiver or relinquishment of the right to exercise such terms, conditions, or requirements. 10. TERMINATION, DEFAULT. This Permit may be terminated by either party hereto by giving 30 days advance written notice to the other party. The City may terminate the Permit immediately, or upon notice shorter than 30 days, to protect public health and safety. The City may also terminate this Permit immediately, or upon notice shorter than 30 days, due to a failure of Permittee to comply with conditions and terms of this Permit, which failure remains uncured after notice by City to Permittee providing Permittee with a reasonable time period to correct the violation or breach. 11. NO DISCRIMINATION. Permittee will not discriminate on the grounds of race, color, religion, national origin, ancestry, age, or sex against any patron, employee, applicant for employment, or other person or group of persons in any manner prohibited by federal or State law. Permittee recognizes the right of the City to take any action necessary to enforce this requirement. 12. ASSIGNMENT. Permittee may not assign, by grant or implication, the whole any part of this Permit, the Premises, or any improvement on the Premises without the written consent of the City. Unless the City specifically releases the Permittee in writing, the City may hold the Permittee responsible for performing any obligation under this permit which an assignee fails to perform. 13. ASSUMPTION OF RISK. Permittee shall provide all proper safeguards and shall assume all risks incurred in its activities on the Premises and its exercise of the privileges granted in this Permit. 14. NO JOINT VENTURE. The City shall not be construed or held to be a partner or joint venturer of Permittee in the conduct of its business or activities on the Premises. 15. SURVIVAL. The obligations and duties of Permittee under paragraphs 5 and 6 of this Permit shall survive the cancellation, termination, or expiration of this Permit. Kenai Municipal Code (KMC) 23.35.032 establishes the Arbitration Panel, which consists of twelve members who are chosen by the City Council from nominees made by City employees and by members of the City Council. Members of the Arbitration Panel must be a resident of the City of Kenai and may not hold any other office or position in the government of the City of Kenai. The Board meets on an as needed basis to hear appeals from City employees in the classified service on disciplinary actions which resulted in suspension, demotion, or dismissal. (KMC 23.35.030(e)) There are currently three vacancies on the panel, and three members whose terms end on December 31, 2025 who have indicated that do not intend to reapply. During October 2025 City employees and City Council members were notified that nominations were being accepted for the Arbitration Panel. Four nominations have been received, the applicants have been verified as residents of the City and do not hold any other office or position with the City of Kenai. Applicants who were interviewed had limited experience working for a Municipal Airport. The Police Department was able to recruit a new Chief Animal Control Officer who is scheduled to start in mid -January. They began recruitment for a new Police Officer. Public Works recruited and hired an Equipment Operator for the Streets Department. The Parks Department filled a part time Recreation Center Attendant position. Safety One accident was reported in November and a Workers Compensation claim was filed. Special Projects Human Resources worked with the City's health and life insurance benefits broker, IMA, to provide information to employees during this year's benefits open enrollment period. Shortly after Halloween, the Parks team begins installing light -pole decorations in preparation for the holiday season, aiming to have all lights and decorations in place by Christmas Comes to Kenai. The Multi -Purpose Facility (MPF) is fully open and consistently busy with skaters. Due to warmer temperatures, ice could not be installed in Nikiski, so the Nikiski Hockey Association has primarily been using the MPF for practices. November holds quite a few City Holidays. The Kenai Rec Center is typically closed or partially open on these holidays. Several holidays occurred this month, including Veterans Day, Thanksgiving, and the day after Thanksgiving. The facility was open regular hours on Veterans Day and partial hours on the day after Thanksgiving and on Thanksgiving Day it was closed. Because of the warm weather, the ski trails are no longer skiable. Trails were groomed at the beginning of the month, providing good skiing conditions for approximately one week. Municipal Park walking trails continue to be maintained through regular plowing and sanding of entrances. Recently, approximately 0.5 miles of trails were sanded to help provide a safer walking surface. The City of Kenai is a voting member of this advisory board. The Kenai River Special Management Area Advisory Board was originally created in 1985 under the authority of A.S. 41.21.510. The original Board was charged with developing a comprehensive management plan for the Kenai River. The original Comprehensive Plan was completed, and the Board disbanded in 1986. In 1988, a new board was appointed to advise the Department of Natural Resources on implementing the Plan. In 1997, the Board worked to update the Kenai River Comprehensive Management Plan, and it was adopted in December 1997. In May 2004, the Alaska Legislature passed a bill that changed the composition of the board from what the law had directed in the original 1984 KRSMA statute. Attached is a recap of the KRSMA meeting held on October 9th at 5:30 pm at the DNR office at Morgan's Landing. The next meeting will tentatively be at Kenai Wildlife Refuge at 5:30 pm on December 11 th. Kenai River Special Management Area Advisory Board Meeting Recap I attended the Kenai River Special Management Area Advisory Board meeting on November 13th at 5:30 p.m. The Board consists of 17 members: nine public members, three agency voting members, and five agency non -voting members. Public Comment No public comment. Alaska State Parks Report • Alaska Department of Natural Resources Commissioner resigned in late October 2025. Deputy Commissioner John Crowther is now serving as Acting Commissioner. • Work continues on design and construction improvements at Eagle Rock. Plans are being developed to 65% and will be presented to the Board when ready. • Recreation grooming has taken place at Morgan's Landing and Bing's Landing. • Crews are working to remove old well casings near the Kenai Keys, with the goal of completing removal by spring. DEC Report — Mary Inovejas • Water quality programs are progressing faster than anticipated. • Homer beach pathogen data will be released soon. • Recent focus has been on typhoon disaster relief efforts. ADF&G Report -Phil Stacey • Fish and Game will host a town hall next Wednesday. • Approved to hire a new assistant, which will help with workload. U.S. Fish and Wildlife Service — No Report U.S. Forest Service — Alex McLain Russian River Road construction is complete. The gate is currently closed due to snow, but the area remains open for recreation. The Cooper Landing group that manages the campground will begin work soon. City of Kenai — Tyler Best • The Dip Net Report has been completed and will be available on the City website within the next several days. • The City celebrated completion of the Kenai Bluff Stabilization Project. City of Soldotna — Joel Todd • Dump stations at both city campgrounds have been removed. The City is exploring a centrally located dump station in Soldotna. Officers made 26 arrests. Traffic enforcement resulted in 165 traffic contacts with 31 traffic citations issued and there were 4 DUI arrests. There were 14 reported motor vehicle collisions. There were 7 collisions involving a moose or caribou, and one collision involving drugs or alcohol. Two officers attended a week-long Sexual Assault Response Team (SART) training in Anchorage. Two lateral police officers that started employment in 2025, started the two -week long lateral academy in Sitka. The School Resource Officer attended a two -week DARE instructor training in Mississippi. In addition to attending DARE training for two weeks, the SRO responded to a significant amount of police related calls in the schools during the month of November. We processed a total of 92 permits in calendar year 2024 and 96 in calendar year 2023. We have a temporary Building Official to help as needed and are working to fill the vacant position. The Streets crew has spent a considerable amount of time sanding as of late. They are starting work on dock float replacements. The Shop is working on outfitting new police vehicles and repairing issues as they arise. The Buildings crew continues working on regular maintenance of our facilities. The Utility Department is completing regular operations. The Cook Inlet Regional Citizens Advisory Council held its regular meeting December 4th and 5th in Anchorage. Our speakers included Rear Admiral Bob Little, Commander, Arctic District, United States Coast Guard. He laid out his priorities and expected mission outcomes for the Council. These include controlling and securing maritime borders; facilitating commerce in a way that promotes economic security with a focus on Alaska -specific areas such as fishing, tourism and oil and gas; and emergency response. Admiral Little shared his vision for his command in the context of the $24 billion federal appropriation that will bolster funding for USCG priorities with investments in new ships, aircraft, and updates to Coast Guard infrastructure like housing, ports, and piers. He also reported that he has been updated by his staff on Alaska's exemptions to Western Alaska oil spill planning criteria. Admiral Little assumed command of the USCG District that oversees CIRCAC's area of operations in July of 2025. Department of Environmental Conservation Commissioner -designee Randy Bates also addressed the Council. He highlighted the philosophy he brings to his latest role in state government as being an advocate for responsible resource development. Commissioner Bates also noted the importance of affirming states' rights in terms of resource development and his goal to "get fish back to the rivers". Bates is currently awaiting legislative confirmation to his position, which is expected in the coming legislative session. He brings nearly a quarter century of experience working in regulatory agencies at the state level and CIRCAC supports his appointment as ADEC Commissioner. Current CIRCAC Board member Sean MacKenzie, who represents the Municipality of Anchorage, was our other presenter. A USCG veteran and former Captain of the Port for the Arctic District, Capt. MacKenzie is the Emergency Programs Manager for Anchorage's Office of Emergency Management. He detailed the Municipality's ongoing role in providing resources and relief for the 646 evacuees from Western Alaska communities affected by flooding from the remnants of Typhoon Halong in October of 2025. Captain MacKenzie's presentation served as a good reminder of the importance of strong regional and statewide partnerships to successfully address such incidents. We would like to thank Prince William Sound RCAC for inviting our board and staff to its annual Science Night and holiday party while we were in Anchorage. Those events are a great opportunity to engage with our colleagues and help maintain a productive relationship with their board and staff members. All necessary licenses and permits; all lawful taxes and assessments which, during the term hereof may become a lien upon or which may be levied by the State, Borough, City, or by any other tax levying body, upon any taxable possessory right which Permittee may have in or to the Premises by reason of its use or occupancy or by reason of the terms of this Permit, provided however, that nothing herein contained shall prevent Permittee from contesting any increase in such tax or assessment through procedures provided by law. C. Interest at the rate of eight percent (8%) per annum and penalties of ten percent (10%) of any amount of money owed under this Special Use Permit which are not paid on or before the due date. D. The use by the Permittee of the Premises is limited to the purpose of Truck Trailer Storage. This use is subject to City, Borough, and State laws and regulations and the reasonable administrative actions of the City for the protection and maintenance of the Premises and of adjacent and contiguous lands or facilities. Use of the Premises is subject to the following conditions: A. Permittee shall use the Premises only for truck trailer storage. B. Trailers must be stored in a manner that will not limit sight lines or create other unsafe driving conditions on adjacent right-of-ways. C. The premises shall be returned to its current condition prior to the end of the term of this Special Use Permit. This shall include the removal of any trash or debris. D. Trailers must be stored in a manner that will not impact any City snow clearing or moving activities. E. Trailers shall be stored such that there will not be oil or other hazardous fluids leaking onto the premises. F. Trailers shall be stored such that there will not be grass or vegetation growing between trailers. G. The Permittee shall follow requirements of the City Fire Marshal and allow City staff to inspect the premises if requested. H. The premises shall not be used to store junked vehicles or other salvaged vehicle or trailer parts. 5. INSURANCE. Permittee shall secure and keep in force adequate insurance, as stated below, to protect City and Permittee. Where specific limits are stated, the limits are the minimum acceptable limits. If Permittee's insurance policy contains higher limits, the City is entitled to coverage to the extent of the higher limits. A. Garage Liability or Commercial General Liability Insurance, including Premises, all operations, property damage, personal injury and death, broad -form contractual, with a per -occurrence limit of not less than $1,000,000 combined single limit. The policy must name the City as an additional insured. B. Worker's Compensation Insurance with coverage for all employees engaged in work under this Permit or at the Premises.. Permittee is further responsible to require Worker's Compensation Insurance for any subcontractor who directly or indirectly provides services to Permittee under this Permit. C. Commercial Automobile Coverage with not less than $1,000,000 combined single limit per occurrence. This insurance must cover all owned, hired, and non -owned motor vehicles the Permittee uses for snow moving and storage activities to, from, or on the Premises. All insurance required must meet the following additional requirements: i. All policies will be by a company/corporation currently rated "A-" or better by A.M. Best. ii. Permittee shall submit to the City proof of continuous insurance coverage in the form of certificates, endorsements, or a combination thereof iii. Permittee shall request a waiver of subrogation against City from Permittee's insurer and the waiver of subrogation, where possible, shall be provided at no cost to City. iv. Provide the City with notification at least 30 days before any termination, cancellation, or material change in insurance coverage of any policy required hereunder. v. Evidence of insurance coverage must be submitted prior to the effective date of the Special Use Permit. The effective date of the insurance shall be no later than January 1, 2026. vi. This insurance shall be primary and exclusive of any other insurance carried by the City of Kenai and shall be written on an occurrence basis 6. INDEMNITY, DEFEND, AND HOLD HARMLESS AGREEMENT. The Permittee shall fully indemnify, hold harmless, and defend the City of Kenai, its officers, agents, employees, and volunteers at its own expense from and against any and all actions, damages, costs, liability, claims, losses, judgments, penalties, including reasonable Attorney's fees of or for liability for any wrongful or negligent acts, errors, or omissions of the Permittee, its officers, agents or employees, or any subcontractor under this Permit. The Permittee shall not be required to defend or indemnify the City for any claims of or liability for any wrongful or negligent act, error, or omission solely due to the independent negligence of the City. If there is a claim of or liability for the joint negligence of the Permittee and the independent negligence of the City, the indemnification and hold harmless obligation shall be apportioned on a comparative fault basis. Apportionment shall be established upon final determination of the percentage of fault. If any such determination is by settlement, the percentage of fault attributed to each party for purposes of this indemnification provision shall only be binding upon the parties included in the settlement agreement. "Permittee" and "City" as used in this article include the employees, agents, officers, directors, and other contractors who are directly responsible, respectively, for each party. The term "independent negligence of the City" is negligence other than in the City's selection, administration, monitoring, or controlling of the Permittee. 7. PERMITTEE'S OBLIGATION TO PREVENT AND REMOVE LIENS. Permittee will not permit any liens, including mechanic's, laborer's, construction, supplier's, mining, or any other liens obtainable or available under existing law, to stand against the Premises or improvements on the Premises for any labor or material furnished to Permittee or to any related entity or claimed entity. The Permittee shall have the right to provide a bond as contemplated by State of Alaska law and contest the validity or amount of any such lien Special Use Permit — TOTE Maritime Alaska, LLC — 2026 Truck Trailer Storage Page 3 of 6 or claimed lien. Upon the final determination of the lien or claim for lien, the Permittee will immediately pay any judgment rendered with all proper costs and charges and shall have such lien released or judgment satisfied at Permittee's own expense. 8. PERSONALTY. Permittee shall remove any and all personal property, including all vehicles, from the Premises at the termination of this Permit. Personal property placed or used upon the Premises and not removed upon termination of this Permit will be removed and/or impounded by the City. Property removed or impounded by the City may be redeemed by the owner thereof only upon the payment to the City of the costs of removal plus a storage fee of $25 per day. The City of Kenai is not responsible for any damage to or theft of any personalty of Permittee or its customers. 9. FORBEARANCE. Failure to insist upon a strict compliance with the terms, conditions, and/or any requirement herein contained, or referred to, shall not constitute or be construed as a waiver or relinquishment of the right to exercise such terms, conditions, or requirements. 10. TERMINATION, DEFAULT. This Permit may be terminated by either party hereto by giving 30 days advance written notice to the other party. The City may terminate the Permit immediately, or upon notice shorter than 30 days, to protect public health and safety. The City may also terminate this Permit immediately, or upon notice shorter than 30 days, due to a failure of Permittee to comply with conditions and terms of this Permit, which failure remains uncured after notice by City to Permittee providing Permittee with a reasonable time period to correct the violation or breach. 11. NO DISCRIMINATION. Permittee will not discriminate on the grounds of race, color, religion, national origin, ancestry, age, or sex against any patron, employee, applicant for employment, or other person or group of persons in any manner prohibited by federal or State law. Permittee recognizes the right of the City to take any action necessary to enforce this requirement. 12. ASSIGNMENT. Permittee may not assign, by grant or implication, the whole any part of this Permit, the Premises, or any improvement on the Premises without the written consent of the City. Unless the City specifically releases the Permittee in writing, the City may hold the Permittee responsible for performing any obligation under this permit which an assignee fails to perform. 13. ASSUMPTION OF RISK. Permittee shall provide all proper safeguards and shall assume all risks incurred in its activities on the Premises and its exercise of the privileges granted in this Permit. 14. NO JOINT VENTURE. The City shall not be construed or held to be a partner or joint venturer of Permittee in the conduct of its business or activities on the Premises. 15. SURVIVAL. The obligations and duties of Permittee under paragraphs 5 and 6 of this Permit shall survive the cancellation, termination, or expiration of this Permit.
