The Council on Aging have recommended two by -law changes indicated at Article III,
Meetings (removing the specific 7:00 p.m. meeting start time) and the addition of
Article IX, Honorary Member Appointment. A copy of the Council on Aging By -Laws is
attached noting the recommended amendments.

The members of the Council on Aging, Kenai, Alaska, a local committee organized
under the laws of the State of Alaska, pursuant to federal and state funding, having
as its object, the following code of by -laws and rules of procedure as its guidelines in
all future operations.
The mission of the Council on Aging is to advise the Mayor, City Council, Director,
and the City of Kenai, of the needs of the elderly in the area, support the programs
which enable the continued independence of senior citizens and serve as an advisory
committee, whose purpose and make -up will be set forth under Article I, Section 3.
The adoption of these by -laws and rules supersedes, replaces, and nullifies any and
all previously enacted, utilized, or governing rules or by -laws and further, by adoption
of these by -laws and rules, the previously existing Council on Aging is deemed
dissolved.
Article I
MEMBERSHIP
The Council shall have a membership of nine (9) members. Over one -half of the
members shall be participants of the Senior Citizens' programs, sponsored by the City
of Kenai.
The members of the Council shall be chosen in the following manner:
1. Members shall be chosen from among persons who have shown an
interest in the areas of the problems of the elderly.
2. The Mayor will appoint members to the Council on Aging subject to
confirmation by the City Council.
3. There shall be a nine - member Council on Aging appointed by the Mayor
of Kenai. Five (5) members will be chosen from senior citizens who
participate in the senior citizen programs sponsored by the City of Kenai.
More than one -half of the Council on Aging members shall be
participants of City of Kenai sponsored senior citizens' programs.
The duties of the Council will be as follows:
a. Advise the Director of Senior Citizen Programs on matters dealing
with the budgets for senior programs and programs operated at
the Senior Center.

b. Forward copies of meeting summaries to the Mayor of the City of
Kenai, who, in turn, will forward the report to the City Council.
c. To the extent practical, communications, advice, and reports shall

Article II
ELIGIBILITY
A member of the Council shall be an adult person residing in the Kenai Peninsula
area, and 51% of which must be sixty (60) years of age or older.
No employee of the City of Kenai is eligible for membership.
There will be no more than one member per household.
Article III
MEETINGS
Regular meetings shall be held monthly on the second Thursday of the month [AT
7:00 P.M.] at the Senior Center. There shall be one annual meeting held in January
of each year with fifteen days' notice given to all members of the Council. Special
meetings may be called by the chairperson with approval of the Kenai City Clerk and
notification of Council and City Manager. Meetings may be cancelled by the City
Clerk, with notification of Council and City Manager, if cancellation is warranted, i.e.
lack of agenda items, pre - knowledge of lack of quorum, etc. Participating senior
citizens shall be notified of the date, time, and place of the meeting by the monthly
newsletter, as well as receipt of the meeting agenda and packet. All meetings shall be
open to the public. However, this does not automatically ensure participation by non-
members of the Council.

PLACE OF MEETINGS
The meetings shall be held at the place designated as the Kenai Senior Citizens
Center in Kenai, Alaska, or at the City of Kenai offices.
Article V
QUORUM
A majority of the current membership shall constitute a quorum for the transaction of
all business.

Article VI
POWERS OF THE COUNCIL
The powers of the Council are advisory only and are derived from the federal, state,
and city local governments which provide the funds for operation and all powers and
activities shall be exercised in accordance with law. All action taken by this Council
shall be submitted to the City Administrator and shall be subject to approval by the
Kenai City Council.
Article VII
OFFICERS
Officers shall be elected for one -year terms at the annual meeting. There shall be a
Chairperson and Vice - Chairperson. Officers are limited to two (2) successive terms in
the same office.
Article VIII
TERM OF APPOINTMENT AND ATTENDANCE
Members of the Council are appointed by the City of Kenai to serve three (3) years or
until termination by:
1. Resignation;
2. Request of Council on Aging;
3. Upon request of the City of Kenai; or
4. If the member is absent, without the body excusing the absence for good
cause, from more than one -half of all the meetings of the Council on
Aging, regular and special, held within any period of three (3)
consecutive calendar months, the member shall thereupon cease to hold
the seat. A member may not have more than three (3) excused absences
during a twelve -month calendar year.
The term of each appointed member of the Council shall be three (3) years. The terms
shall be staggered so that three (3) members shall be appointed every third year and
three (3) members shall be appointed in each of the other years of every such three -
year period.
Article IX
HONORARY MEMBER APPOINTMENT
When a member is no longer able to actively participate on the Council on Aging, the
remaining membership may, by majority vote, request the Mayor to appoint the non -
active member to the Council on Aging as an honorary member. The honorary
member would be a non - voting member.

VOLUNTEERS
Volunteers wishing to serve upon committees established by the Council on Aging
may be appointed by the Council chairperson or his representative to do so without,

parliamentary practice and, in the absence of other authority, shall be governed by

A RESOLUTION OF THE COUNCIL ON AGING, KENAI, ALASKA, RECOMMENDING
AND SUPPORTING A CITY OF KENAI REQUEST TO THE STATE OF ALASKA
DEPARTMENT OF HEALTH AND SOCIAL SERVICES TO FULLY FUND MEDICAID
REIMBURSABLE RATES FOR HOME - DELIVERED AND CONGREGATE MEALS.
WHEREAS, the mission of the Council on Aging is to advise the Mayor, City Council,
Director, and the City of Kenai, of the needs of the elderly in the area, and support the
programs which enable the continued independence of senior citizens; and,
WHEREAS, through the Medicaid Choice Waiver Program, Kenai Senior Services (City
of Kenai) receives Medicaid funding to provide home and congregate meals; and,
WHEREAS, in 1994 the standard Medicaid reimbursement rate for meals was $8.32
per meal and the current reimbursement rate of 58.78 per meal has not increased
since 2004; and,
WHEREAS, the cost to provide a congregate meal is $9.95 per meal and the cost to
provide a home - delivered meal is $1.0.36 per meal; and,
WHEREAS, in FY 2010, Kenai Senior Services provided 12,294 home - delivered meals
and 1,684 congregate meals; and,
WHEREAS, in FY 2010, the under - reimbursement of $1.17 per congregate meal and
$1.58 per home - delivered meal resulted in a total under - reimbursement of
521,394.80; and,
WHEREAS, the Kenai Senior Services ability to continue to provide a quality Medicaid -
funded meal program is significantly affected by a reimbursement rate which is below
the cost of providing the service; and,
WHEREAS, an increase in the reimbursement rates of 51.17 per congregate meal and
$1.58 per home - delivered meal, would provide full reimbursement for the Kenai Senior
Services Medicaid Choice Waiver Program.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL ON AGING, KENAI,
ALASKA, it recommends and supports the City of Kenai's request to the State of
Alaska Department of Health and Social Services to fully fund Medicaid reimbursable
rates for home - delivered and congregate meals.

Information concerning Choice Waiver (Medicaid) Rates
Kenai Senior Center is a Medicaid Provider under the Choice Waiver Program. The Choice
Waiver Program is funded for adults with physical disabilities ages 21 to 65 and for Older
Alaskans ages 65 and older who meet nursing home level of care requirements, qualify for
Medicaid and wish to stay in their own home for as long as possible. The program provides a
variety of home and community based services for eligible Alaskans so they may remain in their
community safely. Through the Choice Wavier Program, Kenai Senior Services receives
funding to provide home and congregate meals and transportation.
Medicaid rates have been in place since 1993. The regulations in 1993 stated an agency could
apply for a cost based rate and could be reviewed annually or the agency could choose to apply
for the standard rate. Most agencies across the state opted for the standard rate. Very few
agencies opted for a cost based rate because of the difficulty and length of the application. The
State set the standard rate for the agencies. We have been a Medicaid provider since 1994 at
which time we applied to the state for a standard rate. Our standard rate for meals in 1994 was
$8.32. Currently our standard rate is $8.78 a meal, Since 2004, Alaska has frozen the cost
based rates. The cost to provide our congregate meal is $9.95 and the home meal cost is $10,36.
Usually if an agency has a cost based rate it is higher than the standard rate of $8.78, i.e.
Anchorage's Salvation Army /Older Alaskans Program's cost based rate is $12.67. Their cost
based rate for transportation for a one way ride is $15.83. It has been valid since 2001 and valid
until 2012. Our Medicaid standard rate for transportation is $6
In 2007, Alaska Department of Health and Social Services requested agencies complete a survey
regarding provider costs for home and community based services. December 2008, the
recommendations from that survey were released. Myers & Stauffer, LC provided a 69 page
study suggesting methodologies for setting rates. It was obvious that agencies with standard
rates were tower than cost based rates. The HCBS (Home, Community Based Services) cost
survey results reflected a variety of rate ranges Based upon the survey, the weighted average
rate in 2007 for a congregate meal was $12.56 and the mean range was $17.89. So the
recommendation was to take the weighted average rate of $12.56 and add 4% each year until
2013. I believe, as a result of this survey is we have received a small increase in our standard
rate each year and that is why our current meal rate of $8.78 is what it is today. It still does not
cover the cost of providing a meal.
NOTE: Ideally the waiver service would be self sustaining and is not suppose to subsidize any
other non - waiver program(s) that said, while the "reasonable costs" comparison would apply in
determining the rates, it does not prevent an agency or City from making otherwise higher cost
business decisions or contracts.

RE: COUNCIL ON AGING REQUEST /AMENDMENT TO BY -LAWS
At its March 13, 2008 meeting the Council on Aging discussed a by -law amendment to
allow for appointment of honorary members. These would be people who may be long-
standing members of the Council on Aging who, due to illness, age, etc. may no longer
be able to participate and /or attend meetings, i.e. Fiocla Wilson, who has been ill for
some time and cannot attend meetings.
The discussion and motion follows:
A request was made to amend the by -laws to allow for naming Fiocla Wilson as an
honorary member as she had been a charter member of the Council on Aging and, due
to illness had not be able to attend Aging meetings during the past year. It was
anticipated, Wilson would then be replaced on the membership roll.
MOTION:
Member Osborn MOVED to change the by -laws to allow for honorary members and
name Fiocla Wilson an honorary member. Member Geller SECONDED the motion.
There were no objections. SO ORDERED.
I wrote an amendment and have attached a draft for your review. Let me know what
you think. I would like to include the item on the Council on Aging's August 14
agenda.

Attached is a copy of the Council on Aging By -Laws with proposed amendments recommended
by the Council on Aging membership and those proposed by Administration.
The main changes are:
I. Removal of "Mayor's" relating to Council on Aging These changes are being
made to be consistent with the remainder of the document. (Administration request.)
2. Article III -- Amendment provides for the monthly meeting to be held on the
second Thursday of the month instead of the first. (Membership request.)
"Note: Administration suggested changing from monthly to quarterly meetings (the Council
policy for commissions /committees, etc. allows for special meetings) and is acceptable with the
Department of Senior and Disability Services in Juneau.
3. Article III -- The amendment to the annual meeting day designation will provide
flexibility for setting the date and providing required advertisement, etc. (Administrative
request.)
4. Article VIII(4), Term of Appointment and Attendance -- Removal of wording
related to absences and replaced with wording from KMC 1.90.050(b) which provides for three
excused and unexcused absences, as well as loss of membership. This amendment will provide
consistency with KMC 1.90.050(b) as well as all other City commissions /committees.

5. Article VIII, second paragraph relating to appointment as an honorary advisor.
Removal of this paragraph provide the ability of a member to continue as an active voting
member as long as he /she desires and reappointment is made by the Mayor, and will provide
consistency with other commission /committees. (Administration request.)
6. Article VIII, third paragraph relating to removal due to missed meetings.
Removal of this paragraph would provide consistency with KMC 1.90.050. The suggested
amendment to Article VIII(4) will provide for removal due to missed meetings.

interest in the areas of the problems of the elderly.
2. The Mayor will appoint members to the Council on Aging subject to
confirmation by the City Council.
3. There shall be a nine- member Mayor's Council on Aging appointed by
the Mayor of Kenai. Five (5) members will be chosen from senior citizens
who participate in the senior citizen programs sponsored by the City of
Kenai. More than one -half of the Mayor's Council on Aging members

meeting by the monthly newsletter, as well as receipt of the meeting agenda and

under the laws of the State of Alaska. pursuant to federal and state funding, having as its object
the following code of by -laws and rules of procedure as its guidelines in all future operations.
The mission of the Mayor's Council on Aging is to advise the Mayor, City Council, Director,
and the City of Kenai, of the needs of the elderly in the area, to support the programs which
enable the continued independence of senior citizens and to serve as an advisory committee
whose purpose and make -up will be set forth under Article I, Section 3.
The adoption of these by -laws and rules supersedes, replaces, and nullifies any and all previously
enacted, utilized, or governing rules or by -laws; and further, by adoption of these by -laws and
rules, the previously existing Mayor's Council on Aging is deemed dissolved.
Article I
MEMBERSHIP
The Council shall have a membership of nine (9) members. Over one -half of the members shall
be participants of the Senior Citizens' programs, sponsored by the City of Kenai.
The members of the Council shall be chosen in the following manner:
1. Members shall be chosen from among persons who have shown an interest in the
areas of the problems of the elderly.
2. The Mayor will appoint members to the Council on Aging subject to confirmation
by the City Council.
3. There shall be a nine - member Mayor's Council on Aging appointed by the Mayor
of Kenai. Five (5) members will be chosen from senior citizens who participate
in the senior citizen programs sponsored by the City of Kenai. More than one-
half of the Mayor's Council on Aging members shall be participants of City of
Kenai sponsored senior citizens' programs.
The duties of the Council will be as follows:
a. Advise the Director of Senior Citizen Programs on matters dealing with
the budgets for senior programs and programs operated at the Senior
Center.
b. Forward copies of written minutes of meetings to the Mayor of the City
of Kenai who, in turn, will forward the report to the City Council.
c. To the extent practical, communications, advice, and reports shall be in
written form and shall represent a consensus of the committee.
Article II
ET IGIBILITY
A member of the Council shall be an adult person residing in the Kenai Peninsula area; and 51 %
of the members must be sixty (60) years of age or older.
No employee of the City of Kenai is eligible for membership.
There will be no more than one member per household.
Article III
MEETINGS
Regular meetings shall be held bi- monthly. There shall be one annual meeting held on the
second Monday of March of each year with fifteen (15) days' notice given to all members of the
Council. Special meetings may be called by the chairperson. Participating senior citizens shall
be notified of the date, time and place of the meeting by the monthly newsletter. All meetings
shall be open to the public. However, this does not automatically ensure participation by non-
members of the Council.
Article IV
PLACE OF MEETINGS
The meeting shall be held at the place designated as the Kenai Senior Citizens Center in Kenai,
Alaska, or at the City of Kenai offices.
Article V
QUORUM
A majority of the current membership shall constitute a quorum for the transaction of all
business.

POWERS OF THE COUNCIL
The powers of the Council are advisory only and are derived from the federal, state, and city
local governments which provide the funds for operation, and all powers and activities shall be
exercised in accordance with law. All action taken by this Council shall be submitted to the City
Administrator and shall be subject to approval by the Kenai City Council.
Article VII
OFFICERS
Officers shall be elected for one -year terms at the annual meeting. There shall be a Chairperson
and Vice - Chairperson. Officers are limited to two (2) successive terms in the same office.
Article VIII
TERM OF APPOINTMENT AND A °1'1'ENDANCE
Members of the Council are appointed by the City of Kenai to serve three (3) years or until
termination by:
1. Resignation;
2. Request of Kenai Mayor's Council on Aging;
3. Upon request of the City of Kenai; or
4. Three (3) consecutive absences from bi- monthly meetings.
The term of each appointed member of the commission shall be three (3) years. The terms shall
be staggered so three (3) members shall be appointed every third year and three (3) members
shall be appointed in each of the other years of every such three -year period.
After six (6) years active membership on the Council, the member may be appointed as an
honorary advisor to the Council without voting privileges.
Any member who misses three (3) successive regular bi- monthly meetings will be removed from
the Council and a replacement will be appointed by the Mayor.
Article IX
VOLUNTEERS
Volunteers wishing to serve upon committees established by the Kenai Mayor's Council on Aging
may be appointed by the Council Chairperson or his representative to do so without, therefore,
becoming members of the Council.
Article X
RULES OF MEETING
All meetings of the Council shall be conducted in accordance with rules of parliamentary practice
and, in the absence of other authority, shall be governed by the provisions of Roberts Rules of
Order.

14.05.020 Fees.
In order to defray the expenses connected with
the consideration of applications for variances and
conditional use permits, the person presenting the
application shall pay to the City Clerk a fee in the
amount of one hundred dollars ($100.00). A fee in
the amount of one hundred dollars ($100.00) shall
accompany an application for amendment to the
Kenai Zoning Code or Official Map. Whether an
application is granted or denied by the Commission,
the petitioner or applicant shall not be entitled to the

1.90.010 Creation.
All boards, commissions and committees created
by the Council of the City of Kenai, shall consist of

1.90.020 Duties.
(a) Members of boards, commissions and commit-
tees shall be required to establish policies relat-
ing to their respective organization. They shall
act in an advisory capacity to department heads
within the City Administration if there are such
departments in the City organization that di-
rectly relate to the board, commission or com-
mittee.
(b) If the board, commission or committee has in-
come stated within the City of Kenai annual
budget, said board, commission or committee
shall work with the City Manager to establish

1.90.030 Qualifications.
(a) A member ofa board, commission or committee
must be a resident of the City of Kenai, unless
the board, commission or committee is specifi-
cally exempted by Council from this require-

ployee of the City of Kenai. If any member
should move his residence from the corporate
limits of the City of Kenai (if applicable), is an
officer or employee of the City of Kenai, or shall
be elected or appointed as an officer or ern -
ployee of the City of Kenai, the service of such
member shall terminate immediately. He should
be aware that he will serve without salary, but
will be reimbursed for all reasonable expenses
incurred in connection with this service, only af-
ter approval by Council.
(b) The Beautification Committee, and Harbor, Li-
brary, and Parks and Recreation Commissions
may at the discretion of the Council have up to
two non - resident members each. (Ord. 1948-

1.90.040 Terms.
(a) A member ofa hoard, commission or committee
shall serve for a term of three (3) years, unless

ment. At renewal date, the Mayor, with consent

Commission and Committee Powers
The Council asked me to write a memorandum regarding the powers of the various city
commissions and committees (hereinafter "commissions "). KM.0 1.90 outlines the standard
procedures for them. The general procedures apply unless there are specific code sections
regarding the commission or committee that specify otherwise. KMC 1.90.020(a) states that
commissions and committees "shall act in an advisory capacity to department heads within the
City Administration." (Emphasis added.) KMC 1.90.050 states, "All acts of boards,
commissions and committees are subject to the paramount authority of the City Council."
The impetus behind this memorandum was a move by a Commission Chair to independently go
out for and craft a request for proposals for management of a city facility. In that case, it
appeared the Commission Chair intended for the commission to bypass the City Council and
Manager and do its own process for the selection of management of the facility. Such a process
clearly exceeded the scope of the intended powers of a commission.
Of the various commissions, the one with primary independent authority is the Planning and
Zoning Commission. That commission has independent authority under AS 29.40 and KMC
14.05.010 for the determination of various zoning issues such as granting of variances or
conditional use permits. Those decisions, however, are still subject to appeal to the City Council
acting as the Board of Adjustment and then the Superior Court. In other areas, that commission
acts only in an advisory capacity to the city and borough.
The other commissions act almost exclusively as advisory bodies. They, subject to council
approval, adopt master plans for the physical development of facilities and some of them (e.g.
Library, and Parks and Recreation) also make advisory recommendations as to hiring of a
department head. The duties of the various commissions are in the code as follows: I) Planning

Officers shall be elected for one -year terms at the annual meeting. There shall be a Chairperson
and Vice- Chairperson. Officers are limited to two (2) successive terms in the same office.
Article VIII
TERM OF APPOINTMENT AND Al I I NDANCE
Members of the Council are appointed by the City of Kenai to serve three (3) years or until
termination by:
1. Resignation;
2. Request of Kenai Mayor's Council on Aging;
3. Upon request of the City of Kenai; or
4. Three (3) consecutive absences from bi- monthly meetings.
The term of each appointed member of the commission shall be three (3) years. The terms shall
be staggered so three (3) members shall be appointed every third year and three (3) members
shall be appointed in each of the other years of every such three -year period.
After six (6) years active membership on the Council, the member may be appointed as an
honorary advisor to the Council without voting privileges.
Any member who misses three (3) successive regular bi- monthly meetings will be removed from
the Council and a replacement will be appointed by the Mayor.

Article IX
VOLUNTEERS
Volunteers wishing to serve upon committees established by the Kenai Mayor's Council on Aging
may be appointed by the Council Chairperson or his representative to do so without, therefore,
becoming members of the Council.
Article X
RULES OF MEETING
All meetings of the Council shall be conducted in accordance with rules of parliamentary practice
and, in the absence of other authority, shall be governed by the provisions of Roberts Rules of
Order.

APPROVAL OF MINUTES
MOTION
Sam Huddleston made the motion to accept the minutes as submitted and asked for
unanimous consent. Lucille Billings seconded. There being no objection the minutes
were accepted and passed by unanimous consent.
OLD BUSINESS
1. Vehicle Purchase
Georgette Funk reported that the city will purchase a new vehicle. She stated the City
Attorney would research whether or not it has to be wheel chair accessible.
Pat Porter stated the City Attorney did research the wheel chair accessible question. The
attorney found that since we already have a wheel chair accessible vehicle, we do not
have to purchase another one. Porter added that our transportation system is not open
to the public so we are not obligated to buy another wheel chair accessible van. Porter
said she has spoken with the Shop Foreman regarding specifications for the bid and the
money will be available July 1. Porter said they will ask for a raised roof on the vehicle
to make it easier to get in and out of the vehicle.
2. Bylaws
Porter stated no action was previously taken on accepting the changes to the Bylaws.
She suggested going over the changes again, then voting. It was agreed by all
commissioners to do so.
Porter stated the changes are as follows: Article 3 - meeting dates notice changed to 15
days Notice from 20 days notice; no longer "President," it is now "Chairperson;" Article
4 - Place of Meetings, deleted "Community;" Article 7 - strike the titles President, Vice
President, Secretary/Treasurer and use "Chairperson" and "Vice- Chair."

Lucille Billings made a motion to accept the Bylaws with the suggested changes and
asked for unanimous consent. Pauline Gross seconded. There being no objections the
motion passed by unanimous consent.
NEW BUSINESS
1. Barbara Knapp - Division of Senior Services
Barbara Knapp said she has no troubles to report, the Kenai Senior Center looks very
good. She said Pat passed out a copy of the form she uses to evaluate the senior
centers so everyone can see what is evaluated. Knapp went over a few of the things
evaluated and said she is available to explain anything not understood. She said the
Older Americans Act (OAA) is being taken out of the block grant concept, which will be
good. Knapp stated the OAA will come up for reauthorization this fall and is scheduled
to be introduced to congress in July.
Pat Porter said the OAA is where the Sr. Center gets the bulk of its grant money. Knapp
added it is federal funds given to the state which is divided up among the state centers.
She said there has been a small increase put in for some programs. Knapp said that on
the state level, the Division of Sr. Services came through pretty good this year with only
approximately $60,000 cut.
2. United Way Fund
Pat Porter said she is not sure how much the center will receive from all of the funding
agencies. She said the center received the same amount from the Borough, $50,253 and
as far as she knows it should stay the same from the Division of Sr. Services, $124,322.
Porter said there was a $5,507 loss from the United Way this year. She added this loss
is not because of anything the Kenai Sr. Center has done, rather because of some major
changes through -out United Way. Porter said the center went through the United Way
reviews very well and were accepted for another three years of funding.
3. Budaet Review
Pat Porter said she will be glad to go over the budget with anyone who would like some
extra explanation or she can meet with a group, which ever is easier.

Comments
Pauline Gross stated there is a lot of food waste going on. She said maybe too much
food is being served. Gross suggested maybe cutting the soup in the summer and the
salad in the winter.
Georgetta Funk said there are some people that eat the soup and salad and not the
meal. Gene Seay said there will always be people who don't like things. Porter stated
there are those who ask for only what they want so as not to waste food. She offered
to put up a sign or table tent that says "Please don't waste - if you don't want something
that is being served - don't order it.' It was agreed to put up table tents.

FORWARD THE REPORT TO THE CITY COUNCIL.

ARTICLE II
ELIGIBILITY

NO EMPLOYEE OF THE CITY OF KENAI IS ELIGIBLE FOR MEMBERSHIP.

MEETINGS
REGULAR MEETINGS SHALL BE HELD BI- MONTHLY. THERE SHALL BE ONE
ANNUAL MEETING HELD ON THE SECOND MONDAY OF MARCH OF EACH YEAR
WITH TWENTY DAYS' NOTICE GIVEN TO ALL MEMBERS OF THE COUNCIL.
SPECIAL MEETINGS MAY BE CALLED BY THE PRESIDENT. PARTICIPATING
SENIOR CITIZENS SHALL BE NOTIFIED OF THE DATE, TIME, AND PLACE OF
THE MEETING BY THE MONTHLY NEWSLETTER. ALL MEETINGS SHALL BE
OPEN TO THE PUBLIC. HOWEVER, THIS DOES NOT AUTOMATICALLY INSURE

BY -LAWS AND RULES OF PROCEDURE FOR
MAYOR'S COUNCIL ON AGING, KENAI, ALASKA
THE MEMBERS OF THE MAYOR'S COUNCIL ON AGING, KENAI, ALASKA:
A LOCAL COMMITTEE ORGANIZED UNDER THE LAWS OF THE STATE OF
ALASKA, PURSUANT TO FEDERAL AND STATE FUNDING, HAVING AS ITS
OBJECT, THE FOLLOWING CODE OF BY -LAWS AND RULES OF PROCEDURE AS
ITS GUIDELINES IN ALL FUTURE OPERATIONS. THE MISSION OF THE
MAYOR'S COUNCIL ON AGING IS TO ADVISE THE MAYOR, CITY COUNCIL
DIRECTOR AND THE CITY OF KENAI OF THE NEEDS OF THE ELDERLY IN THE
AREA, SUPPORT THE PROGRAMS WHICH ENABLE THE CONTINUED INDEPENDENCE
OF SENIOR CITIZENS AND SERVE AS AN ADVISORY COMMITTEE WHOSE
PURPOSE AND MAKE -UP WILL BE SET FORTH UNDER ARTICLE I, SECTION 3.
THE ADOPTION OF THESE BY -LAWS AND RULES SUPERCEDES, REPLACES, AND
NULLIFIES ANY AND ALL PREVIOUSLY ENACTED, UTILIZED, OR GOVERNING
RULES OR BY- LAWS AND FURTHER, BY ADOPTION OF THESE BY -LAWS AND
RULES, THE PREVIOUSLY EXISTING MAYOR'S COUNCIL ON AGING IS DEEMED
DISSOLVED.
ARTICLE I
MEMBERSHIP
THE COUNCIL SHALL HAVE A MEMBERSHIP OF NINE MEMBERS. OVER ONE
HALF OF THE MEMBERS SHALL BE PARTICIPANTS OF THE SENIOR CITIZENS
PROGRAMS SPONSORED BY THE CITY OF KENAI.
THE MEMBERS OF THE COUNCIL SHALL BE CHOSEN IN THE FOLLOWING
MANNER:
1. MEMBERS SHALL BE CHOSEN FROM AMONG PERSONS WHO HAVE
SHOWN AN INTEREST IN THE AREAS OF THE PROBLEMS OF THE
ELDERLY.
2. THE MAYOR WILL APPOINT MEMBERS TO THE COUNCIL ON AGING
SUBJECT TO CONFIRMATION BY THE CITY COUNCIL.
3. THERE SHALL BE A NINE MEMBER MAYOR'S COUNCIL ON AGING
APPOINTED BY THE MAYOR OF KENAI. FIVE MEMBERS WILL BE
CHOSEN FROM SENIOR CITIZENS WHO PARTICIPATE IN THE
SENIOR CITIZEN PROGRAMS SPONSORED BY THE CITY OF KENAI.
MORE THAN ONE HALF OF THE MAYOR'S COUNCIL ON AGING
MEMBERS SHALL BE PARTICIPANTS OF CITY OF KENAI SPONSORED
SENIOR CITIZENS PROGRAMS.
THE DUTIES OF THE COUNCIL WILL BE AS FOLLOWS:
a. ADVISE THE DIRECTOR OF THE SENIOR CITIZENS
PROGRAMS ON MATTERS DEALING WITH THE BUDGETS FOR
SENIOR PROGRAMS AND PROGRAMS OPERATED AT THE
SENIOR CENTER.

b. FORWARD COPIES OF WRITTEN MINUTES FROM MEETINGS TO
THE MAYOR OF THE CITY OF KENAI, WHO, IN TURN, WILL
FORWARD THE REPORT TO THE CITY COUNCIL.
c. TO THE EXTENT PRACTICAL, COMMUNICATIONS, ADVICE,
AND REPORTS SHALL BE IN WRITTEN FORM AND SHALL
REPRESENT A CONCENSUS OF THE COMMITTEE.
ARTICLE II
ELIGIBILITY
A MEMBER OF THE COUNCIL SHALL BE AN ADULT PERSON RESIDING IN THE
KENAI PENINSULA AREA, 51% OF WHICH MUST BE 60 YEARS OF AGE OR
OLDER.
NO EMPLOYEE OF THE CITY OF KENAI IS ELIGIBLE FOR MEMBERSHIP.
THERE WILL BE NO MORE THAN ONE MEMBER PER HOUSEHOLD.
ARTICLE III
MEETINGS
REGULAR MEETINGS SHALL BE HELD BI- MONTHLY, ON THE SECOND MONDAY.
THERE SHALL BE ONE ANNUAL MEETING HELD ON THE SECOND MONDAY OF
JANUARY OF EACH YEAR WITH TWENTY DAY NOTICE GIVEN TO ALL MEMBERS
OF THE COUNCIL. SPECIAL MEETINGS MAY BE CALLED BY THE PRESIDENT.
PARTICIPATING SENIOR CITIZENS SHALL BE NOTIFIED OF THE DATE, TIME
AND PLACE OF THE MEETING BY THE MONTHLY NEWSLETTER.
ALL MEETINGS SHALL BE OPEN TO THE PUBLIC, HOWEVER, THIS DOES NOT
AUTOMATICALLY INSURE PARTICIPATION BY COUNCIL NON- MEMBERS.
ARTICLE IV
PLACE OF MEETINGS
THE MEETINGS SHALL BE HELD AT THE PLACE DESIGNATED AS THE KENAI
SENIOR CITIZENS COMMUNITY CENTER IN KENAI, ALASKA; OR AT THE CITY
OF KENAI OFFICES.
ARTICLE V
QUORUM
A MAJORITY OF THE CURRENT MEMBERSHIP SHALL CONSTITUTE A QUORUM
FOR THE TRANSACTION OF ALL BUSINESS.

ARTICLE VI
POWERS OF THE COUNCIL
THE POWERS OF THE COUNCIL ARE ADVISORY ONLY AND ARE DERIVED FROM
THE FEDERAL, STATE AND CITY LOCAL GOVERNMENTS WHICH PROVIDE THE
FUNDS FOR OPERATION AND ALL POWERS AND ACTIVITIES SHALL BE
EXERCISED IN ACCORDANCE WITH LAW. ALL ACTION TAKEN BY THIS
COUNCIL SHALL BE SUBMITTED TO THE CITY ADMINISTRATOR AND SHALL BE
SUBJECT TO APPROVAL BY THE KENAI CITY COUNCIL.
ARTICLE VII
OFFICERS
OFFICERS SHALL BE ELECTED FOR ONE -YEAR TERMS AT THE ANNUAL
MEETING. THERE SHALL BE A PRESIDENT, VICE - PRESIDENT AND
SECRETARY /TREASURER. OFFICERS ARE LIMITED TO TWO SUCCESSIVE
TERMS IN THE SAME OFFICE.
ARTICLE VIII
TERM OF APPOINTMENT AND ATTENDANCE
MEMBERS OF THE COUNCIL ARE APPOINTED BY THE CITY OF KENAI TO
SERVE THREE (3) YEARS OR UNTIL TERMINATION BY:
a. RESIGNATION
b. REQUEST OF KENAI MAYOR'S COUNCIL ON AGING
c. UPON REQUEST OF THE CITY OF KENAI
d. THREE CONSECUTIVE ABSENCES FROM BI- MONTHLY MEETINGS.
THE TERM OF EACH APPOINTED MEMBER OF THE COMMISSION SHALL BE
THREE (3) YEARS. THE TERMS SHALL BE STAGGERED SO THAT THREE (3)
MEMBERS SHALL BE APPOINTED EVERY THIRD YEAR AND THREE (3) MEMBERS
SHALL BE APPOINTED IN EACH OF THE OTHER YEARS OF EVERY SUCH THREE
(3) YEAR PERIOD.
AFTER SIX (6) YEARS ACTIVE MEMBERSHIP ON THE COUNCIL, THE MEMBER
MAY BE APPOINTED AN HONORARY ADVISOR TO THE COUNCIL WITHOUT
VOTING PRIVILEGES.
ANY MEMBER WHO MISSES THREE SUCCESSIVE REGULAR BI- MONTHLY
MEETINGS WILL BE REMOVED FROM THE COUNCIL AND A REPLACEMENT WILL
BE APPOINTED BY THE MAYOR.
ARTICLE IX
VOLUNTEERS
VOLUNTEERS 'WISHING TO SERVE UPON COMMITTEES ESTABLISHED BY THE
KENAI MAYOR'S COUNCIL ON AGING MAY BE APPOINTED BY THE COUNCIL
PRESIDENT OR HIS REPRESENTATIVE TO DO S0, 'WITHOUT THEREFORE
BECOMING MEMBERS OF THE COUNCIL.

COMMISSION /COMMITTEE REPORTS
Council on Aging
Councilwoman Swarner reported the minutes of the last meeting
were included in the packet. There were some corrections needing
to be made and will be at the next meeting. Swarner added the
members would like to remove the secretary /treasurer position and
change the name of president to chairperson in the bylaws.
Attorney Graves stated he would review the bylaws to see if the
changes could be made administratively or if they would need
Council approval.
Williams asked Director Porter if the Council on Aging handled
any of the city funds. Porter stated they have totally separate
LDfunding from the Senior Center funding. Swarner asked if Council
had any objections. There were none stated.
-2. Airport Commission
Councilman Measles reported there was no meeting because there
was no quorum.
D -3. Harbor Commission
Councilman Bookey reported there was no meeting due to a lack of
quorum.
Measles suggested it should be stated the commissions did not
have meetings due to a lack of interest of some of the
commissioners. Williams agreed and suggested Council meet in a
work session to discuss commissions and committees of the city.
Williams added he would like to meet in a work session before

Pat Porter read the minutes from the March 14th meeting. An error was noted in the
second motion which should have read: Sam Huddleston moved that there not be a
Senior of the Year Award. Minutes APPROVED as amended.
4. OLD BUSINESS
a. New Board Appointments
Pat Porter introduced and welcomed the new Board members who were: Lucille
Billings, and Loretta Breeden.
b. Bylaws
Porter reported that besides the change from seven members to nine members on the
Council there was one more change. It was decided that the Council did not need a
Secretary or Treasurer, just a Chairperson and Vice - Chair.
c. Funding Sources
Pat Porter reported that annual budgets must be submitted to Council at the first of
the year. Funding sources are not confirmed until June, so Porter must estimate the
budget, and then submit a new budget when sources are confirmed. Income to date
includes:

3. APPROVAL OF MINUTES
Pat Porter read the minutes from the March 14th meeting. Minutes APPROVED as
read.
4. OLD BUSINESS
a. Population Statistics for Senior Citizen Districts
Pat Porter reported that she had attended a meeting where Senior Population Counts
were discussed. She presented the Council with a sheet showing district totals
(attached). The major changes from previous statistics were an increase of 56 in the
Kenai service area and a decrease of 149 for Soldotna. The allocation represents
approximately $60 per person in funding based on the statistics. Porter invited
members of the Council to attend another meeting on this item on May 17 at the
Borough.
5. NEW BUSINESS
cm a. By -Law Revisions
Pat Porter asked if the Council wished to remain at 7 members or if they would like to
expand to 9. After a brief discussion the following action was taken:

MOTION AND VOTE:
Sam Huddleston MOVED that the Council on Aging be expanded to 9 members
as per the City of Kenai requirements. Roger Meeks SECONDED. PASSED
UNANIMOUSLY.
b. Senior Citizen of the Month
Joanna Hollier reported that Jim Spraker had presented the idea of having such an
award and also a Senior of the Year Award. People would be nominated and then the
seniors would select the award recipient. The only criteria would be that the
nominated seniors be members of the $5.00 a Month Club.
Sam Huddieston said he was not in favor of such a contest. Roger Meeks agreed
and felt some very good volunteers may be overlooked and it would become a
popularity contest.
MOTION AND VOTE:
Sam Huddleston MOVED that there not be a Senior of the Year Award. Roger
Meeks SECONDED. PASSED UNANIMOUSLY.
6. ADJOURNMENT
There being no further business Huddleston moved to adjourn, Pease seconded. The
meeting was adjourned at approximately 10:00 a.m.

Williams asked Police Chief Morris if he had any reason for the
application not to be approved. Morris referred to the
application and noted all questions on the back page under Item
12 had been marked "no."
Williams stated even if Council does not approve this
application, the State will probably still approve it. Williams
added the organization is known by him to be a legitimate group
and the L. Rude Scholarship Fund is operating out of Anchorage.
Williams added he had no objections to the approval of the
application.

ITEM D: COMMISSION /COMMITTEE REPORTS
Swarner: No
D -1. Council on Aging
Councilwoman Swarner reported the minutes of the last meeting
were included in the packet. Swarner added the by -law changes
discussed during the Council on Aging meeting were included on
tonight's agenda.
Williams referred to New Business Item H -10, By -Law amendments.
Williams noted one of the changes was for a seven - member board
instead of a nine - member board. Williams stated the City Council
can allow for a nine - member board if they so wish. Porter stated
she believed it would be better representation if it were a nine -
member board. Porter added there had never been a nine - member
board because the Code states boards, etc. are to have seven
members. Porter added the Council on Aging thought the by -laws
had been incorrect from the beginning.
Williams requested the topic be re- reviewed by the Council on
Aging and brought back to Council at the next meeting. There
were no objections from the City Council.
6. NEW BUSINESS
By -Law Revisions
Seay reported that the biggest change was that the original by -laws recommended 9
members be on the Council. The City requires 7 members for their Commission,
Committees, etc.
MOTION AND VOTE:
Sam Huddleston MOVED that the By- laws be amended to 7 members as per the
City of Kenai requirements. Georgetta Funk SECONDED. PASSED
UNANIMOUSLY.
Porter reported that she and Joanna Hollier would be meeting with Mayor Gilman to
discuss the Borough's funding plans for Senior Programs in the upcoming year. Also
there will be a proposal introduced at the Assembly meeting March 15th, to get rid of
the Borough property tax exemption for Senior Citizens. The public hearing on this
item will be held in April if seniors would like to attend and participate.
ADJOURNMENT
There being no further business Huddleston moved to adjourn, Pease seconded. The
meeting was adjourned at approximately 11:00 a.m.
